Do I need an NDA before showing financials?

Book a confidential intro

Yes. You need an NDA before you show financials. A grocery sale leaks through vendors, shoppers, and the front end faster than a manufacturing plant leaks through a press release. The blind teaser can go out first: format, a sales band, a metro grain, inventory at cost. The P&L, the scan data, the vendor files, and the employee list wait for a signature. Buyers who “just stop by the store” after signing are how confidentiality dies in a small town.

Grocery Store Business Broker — HedgeStone Business Advisors’ grocery practice, led by Jason Taken — sequences teaser, NDA, then CIM. Book a confidential intro when you want that circle drawn on your store. Bring last week’s sales if that is all you have. That is a useful hour.

FMI counted 45,575 U.S. supermarkets in 2024. Independents in that count still live on payroll, shrink, and a wholesaler book. Those facts are valuable to a competitor and frightening to a cashier. Treat them as such.

The teaser is public-ish; the P&L is not

A teaser exists to qualify. It says enough that an operator can decide whether they have capital and format fit. It does not name the corner, the banner, or you. Once someone wants the file, they sign. If they will not sign, they were collecting comps. They were not buying.

Financials in grocery are not a one-page tax return. They are weekly sales, department mix, shrink, related-party rent, and the add-backs that make SDE honest. A buyer who sees that without an NDA can shop your mix to the next independent, or to your landlord. You cannot unsay a meat-department margin.

Counsel should own the form. A generic tech NDA that only mentions “confidential information” is thin for grocery. You want language that covers the CIM, scan files, employee identities, vendor terms, and the fact that the store is for sale. You want a mark-back of copies when they walk. You want a time limit that is long enough to cover a slow license calendar.

This is not a substitute for a non-compete. The NDA covers the marketing period. The covenant covers the years after close. Read non-competes and confidentiality. Enforceability is state-specific. Keep the covenant narrow enough to keep.

BizBuySell’s 3.38 average earnings multiple on 2025 grocery and supermarket sold businesses is a listing-site sample. Pasting it onto a teaser without a recast is how you attract tire-kickers. Recast first, teaser second, NDA third, CIM fourth. Read what is a grocery store CIM.

What a grocery NDA should actually bar

Bar use of the information except to evaluate a purchase. Bar sharing it with anyone who has not signed — including “my cousin the accountant” until that cousin is named. Bar contacting employees, the wholesaler, DSD vendors, and the landlord without your written consent while the store is in market. Bar a drop-in visit dressed as a shopper with a notebook.

Those bars are the deal. A buyer who needs a landlord conversation will get one when you set it. A buyer who needs a warehouse credit check will get one when consent is due. A buyer who interviews your night crew in week one is not diligence. That is a leak.

Name the permitted advisors: counsel, CPA, lender. SBA 7(a) change-of-ownership loans go to a published $5 million maximum. Lenders will need the file. Put the lender under the same duty, or have them sign their own. Do not email raw scan files to a random loan officer because someone asked.

Sellers sometimes waive the NDA for “people I know.” That is how a known operator becomes the rumor at the co-op meeting. If they are a friend, they can still sign. If they are a competitor, they especially sign. If they are your manager, they sign and you still run a real process. See can I sell to my manager.

When scan data and employee lists come out

Stage the file. After NDA: CIM, recast, lease abstract, license list. After interest is real: department scan data, EBT settlements, vendor terms, and a redacted employee roster if headcount matters. After LOI: tax returns, bank statements, full payroll, and the ugly lease riders.

Weekly sales without mix is still a rumor. Department mix is how you see whether meat and produce sink a “healthy” storewide gross margin. Do not hand that over to a stranger who has not signed. Do not withhold it forever from a funded operator who has. The NDA is the gate, not a wall.

Employee lists are a WARN, union, and retention file on larger headcounts. They are also how a buyer poaches your meat cutter before you have a deposit. Release names when paper is real enough that you need a transition plan. Until then, give counts and roles.

USDA FNS still requires a new SNAP application for new owners. That fact can sit in the CIM. The FNS correspondence drawer waits for diligence under NDA. Do not email sanction letters to a teaser reply.

Family, managers, and the “just stop by” buyer

Insiders still get an NDA. Family sales and manager sales fail on soft language: “we’ll figure the number later,” “you already know the books.” They need a real price, a real note if there is one, and a real close. The NDA marks the moment the file became a deal instead of a kitchen conversation.

The drop-in buyer is the other failure. They signed, then they walked the aisles asking cashiers how business is. Train yourself and your broker: visits are scheduled, after hours or as a mystery shop without interviews, and only when you have agreed. How to keep the sale confidential is the companion answer.

Compare buyers on whether they treat the NDA as a speed bump or as the process. The operator who signs in a day and asks for the recast is useful. The operator who wants the P&L “to see if it’s worth signing” is not. FMI’s 2.1 percent average net profit for food retailers in 2025 is thin. You do not give that economics away for free.

Book a confidential intro when you want Jason Taken to set the teaser-NDA-CIM order on your store. Bring a sense of who already knows — counsel, CPA, spouse — and who must not. The parent guide is sell a grocery store confidentially. The seller hub and how a sale works put financials back where they belong: behind a signature, in front of a qualified operator.

How a buyer would price Do I need an NDA before showing financials?

Use this napkin recast on Do I need an NDA before showing financials? when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15.

Input or output Illustrative figure
Weekly sales (illustrative) $141,000
Annual sales $7,332,000
Recast SDE $300,612 (4.1% of sales)
Inventory at cost $366,600 (~20 turns)
Occupancy check $190,632 / year (2.6% of sales)
Low going-concern $922,732 at 1.85x SDE + inventory
High going-concern $1,223,344 at 2.85x SDE + inventory

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.

Frequently asked questions about Do I need an NDA before showing financials?

Can I send last year’s P&L to a “serious” buyer without an NDA?

No. If they are serious, they will sign. If they will not sign, they were shopping, not buying. The blind teaser is what they get first.

What should a grocery NDA actually bar?

Using the information except to evaluate the deal, and approaching staff, vendors, the wholesaler, and the landlord without your consent during marketing.

When do scan data and employee lists come out?

After the NDA, and usually after a CIM-level conversation. Weekly sales without mix is still a rumor. Department scan data is the store.

Does an NDA replace a non-compete?

No. An NDA covers the marketing file. A non-compete is a close document. They do different jobs.

What about selling to my manager?

Still use an NDA and a real price. Soft language with insiders creates hard lawsuits. Read the manager-sale answer linked from this page.

Where is the confidential-sale sequence?

Sell on your terms, not on a listing site

HedgeStone Business Advisors runs a quiet process: recast, qualified operators, and a close that survives the count. The only next step is the intro call.
