Grocery stores for sale in Orlando

Book a confidential intro

Theme-park traffic does not buy your bananas. An Orlando independent lives on weekly scan, a produce house that actually delivers plantains and yuca, and a lease that still has years on it when a buyer’s lender asks. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — prices that file the way a financed operator will: recast SDE, count inventory at cost, and put Florida Division of Alcoholic Beverages and Tobacco on a calendar. Book a confidential intro with the last fifty-two weeks of scan, not a story about International Drive. Email jason.taken@hedgestone.com if you want that hour.

This essay is for owners who want a quiet exit and buyers who want the keys without inheriting a rumor. Statewide tax, wage, and alcohol statutes sit on the Florida seller page and the Florida buyer page. What follows is how those statutes show up in Orange, Osceola, and Seminole boxes — and why a CIM that only says “Central Florida grocery” is not a file.

Theme-park calendars are not a P&L

Orlando’s visitor calendar moves hotel occupancy, convention weeks, and the shoulder that follows spring break. Independents near Kirkman, International Drive, and the south corridor feel that pulse in prepared food and convenience grocery. Independents in East Orlando and Azalea Park feel a different pulse: household shopping, EBT weeks, and Puerto Rican and Venezuelan mix that does not vanish when the parks empty. Annualizing the high week is how a seller overprices and a buyer overpays.

Ask for department mix by week. Meat and produce can sink a “healthy” storewide margin while center store looks fine. EBT deposits should reconcile to the SNAP story on the CIM. A gap is mix, downtime, or fiction. Read verifying sales with scan data before you argue a multiple. FMI’s 2.1 percent food-retailer net sample for 2025 is a channel reminder that grocery is thin. It is not your add-back list, and it is not last Saturday at a tourist box.

SBA 7(a) can finance a change of ownership up to the published $5 million maximum. The program still wants tax returns, a lease a lender can live with, and sales a CPA will defend. Unreported cash is not an Orlando feature. It is a disqualifier. Mark the SDE worksheet so owner pay, a documented compressor, and personal autos are marked the same way a credit memo will use them.

East Orlando, Azalea Park, and Kirkman are different books

The research file names East Orlando, Azalea Park, and Kirkman as a Hispanic independent concentration: Puerto Rican, Venezuelan, and other Hispanic operators. That is qualitative. Do not invent a share of metro shoppers. What you can underwrite is language on the floor, the produce house, the carnecería or bakery labor, and whether the seller is the only person who can order. Sell a Hispanic grocery and buy a Hispanic grocery are the format essays. A conventional operator who plans to “keep one Spanish-speaking cashier” is writing a shrink plan.

Publix is the suburban expectation-setter: hours, produce, and a pharmacy trip that independents rarely win. Winn-Dixie still sits in many older centers. Aldi steals the price-sensitive basket. None of those banners is a sold listing on this page. An independent still has to explain the trips those banners do not take — late hours, imported dry grocery, a butcher who knows the regulars. Independent supermarket is the conventional format. Do not price a Kirkman Hispanic box as if it were a Publix clone with salsa.

Associated Grocers of Florida, C&S Wholesale Grocers, and UNFI appear on Florida independent invoices. Drop minimums, over-advances, and whether the warehouse will open a new account belong in diligence, not in a handshake. Wholesaler agreements when you sell is the transfer question. A CIM that names Florida and hides the warehouse is not an Orlando CIM.

Three county health clocks, one metro name

Operators mention Orange versus Osceola versus Seminole health departments, plus tourism seasonality. That is not color. Retail food permission can sit with a county environmental-health program or with Florida Department of Agriculture and Consumer Services depending on format. A buyer who assumes “Orlando Health” is one desk will miss the inspection file, the grease-trap letter, and the person who has to walk the cooler after closing. Put the permit number and the issuing agency in the CIM. Call that agency about incoming-owner steps before you fund.

Florida Department of Health runs WIC. Florida Lottery is a separate retailer contract. Tobacco sits with Florida Division of Alcoholic Beverages and Tobacco. None of those contracts is a line on the bill of sale unless the agency says it is. WIC, lottery, and tobacco checklists exist so you do not treat them as inventory. USDA FNS ties SNAP to named owners. The incoming operator files a new retailer application. The seller’s authorization does not ride the APA. What happens to SNAP when you sell is the federal rule in plain language. Budget FNS downtime in cash to close.

Quota liquor is not the beer cooler

Florida is a license state, not a NABCA control state. Beer and wine commonly sit in grocery with the correct series. Spirits in the box usually mean a package-store or quota liquor license — a limited series with its own market. Florida Division of Alcoholic Beverages and Tobacco must approve. Quota paper can carry value apart from the going concern. Confirm the county quota and whether the grocery owns or leases the license before you write a price. Quota license and transferring your liquor license are the process pages. State-by-state alcohol is the map.

A teaser that says “full liquor” without the series is a rumor. A buyer who models spirits margin on a beer-and-wine license is buying a hole. If the store does not hold quota paper, do not invent a spirits story to juice the multiple.

How an Orlando price actually gets argued

This site does not publish an Orlando asking-price average, a metro population, a grocery-density count, or a rent-per-foot table. Those fields are null in the research pack. Occupancy is a ratio from the lease and the P&L. Use the rent-as-percent-of-sales checker. Lease diligence and lease assignment belong in the LOI, not in a wish.

The only sourced grocery sold sample on this site is BizBuySell’s grocery and supermarket businesses: 3.38 average earnings multiple in 2025, 2.66 five-year average, IQR 1.60–3.15 for 2021–2025, and a 0.43 average revenue multiple on the 2025 sold sample. That band is a national listing-site sample, not a Central Florida comp set. Apply it to recast SDE, then add inventory at cost. A short remaining term, a quota-license lag, or a 70-hour owner moves you inside the IQR. The multiples report and the valuation hub are the method. Do not paste a worked dollar sketch onto this page as if it were a quote.

Florida generally exempts grocery food products for human consumption from state sales tax, with defined exceptions such as candy, many beverages, and prepared food. Confirm Florida DOR TIP publications for the register mix. POS coding has to match those buckets. A prepared-food share that is really grocery, or the reverse, will show up in the recast and in a sales-tax recon. Grocery sales tax by state is the longer note.

The U.S. Department of Labor’s July 1, 2026 consolidated table lists Florida at $14.00. That floor is above federal. Confirm Florida DEO and DBPR posters. Local living-wage overlays are limited, which is not the same as “labor is cheap.” Model the hours you will actually staff after the owner stops closing six nights. Minimum wage by state is the table.

Most states repealed UCC Article 6. Florida may still impose sales-tax successor liability, a bulk-sale notice, or a tax-clearance practice on an asset sale. Confirm current Florida DOR notice and any escrow holdback with counsel before closing. Bulk sales and tax clearance and tax clearance certificate are the checklist. Asset sale is how most independents actually close.

Quiet process, then a qualified list

Employees and shoppers talk. A vestibule sign is a shrink event. Start with a blind teaser, an NDA, then a CIM for operators who can fund. How to sell a grocery store confidentially is the sequence. Nearby Hispanic operators, multi-store independents, and a manager with capital are the usual pool. First-time buyers need a file a lender will fund. Read buying as a first-time owner before you tour.

Federal healthy-food financing and local food-access programs may apply in some Florida tracts. No dollar figure is recorded in this pack. Do not write a grant into the purchase price.

Inventory night when the parks go quiet

Closing-week counts in Orlando go wrong when the seller wants to count on a dead Tuesday after a holiday spike, or when the buyer wants to count on a Saturday that still has tourist fill. Pick a night that matches the store you are actually buying. Hold back unsellable, expired, and the “I’ll mark it down tomorrow” wall. How inventory is counted at closing and closing-day inventory are the procedure. Inventory at cost is the valuation rule. A tourism box with a prepared-food program can hide a freezer of unsellable catering leftover. A Hispanic independent can hide a produce rack that turns daily and a dry-grocery backstock that does not. Those are different counts. Write the count protocol into the APA so you are not negotiating SKUs at 2 a.m.

If the store sells Florida Lottery tickets, that retailer contract is not a line you convey with the canned goods. If the store is a WIC vendor, Florida Department of Health has its own vendor file. Treat both as agency calendars. Lottery retailer and WIC vendor are the glossary names.

A first-time Orlando buyer who has only worked a suburban Publix night crew will still trip on a Kirkman independent’s produce house, the quota-liquor calendar, and the county that actually inspects the box. Buying as a first-time owner is honest about hours. How to buy a grocery store step by step is the sequence. Due diligence is not a weekend of walking aisles. It is scan, tax returns, lease remaining term, ABT class, and the health permit.

What belongs in the Orlando CIM

Name the county. Name the alcohol series. Name the warehouse. Name whether the seller is the closer six nights. Name the tourism mix as a weekly pattern, not as a slogan. Hide any of that and a financed buyer will find it in week one. What is a grocery store CIM and how to read a CIM are the packaging pages. Preparing three years of financials is how you survive the credit memo. Surviving due diligence is how you keep the deal alive after the LOI.

Related-party rent that juiced earnings will reverse when a buyer pays market. If the seller owns the real estate and wants to lease it back, recast the store on market rent first, then price the building as a second conversation. Sale-leaseback strategy and grocery store with real estate are the realty forks. This page will not invent a cap rate.

If you want a confidential Orlando process, or you want to buy and need a recast a lender will defend, book a confidential intro. Bring the lease, the last three years of tax returns, and the alcohol series. Jason Taken will tell you whether the file is a sale or a homework assignment. The seller hub and the buyer hub are the method pages. This page is the Orlando file.

Worked math for Grocery stores for sale in Orlando

These figures are a teaching walk-through for Grocery stores for sale in Orlando, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.

Input or output Illustrative figure
Weekly sales (illustrative) $228,000
Annual sales $11,856,000
Recast SDE $426,816 (3.6% of sales)
Inventory at cost $988,000 (~12 turns)
Occupancy check $438,672 / year (3.7% of sales)
Low going-concern $1,777,610 at 1.85x SDE + inventory
High going-concern $2,332,470 at 3.15x SDE + inventory
Sketch DSCR on a note 1.51

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Frequently asked questions about Grocery stores for sale in Orlando

How should an Orlando seller treat park-season spikes in the recast?

Separate holiday and park-calendar weeks from the shoulder. A buyer and a lender will annualize the quiet months, not the Thanksgiving week. Show scan by week, not a single average.

Does a Florida quota liquor license travel with the Orlando grocery?

Only if the store actually holds that series, and only after Florida Division of Alcoholic Beverages and Tobacco approves. Quota paper can price separately from the going concern. Beer and wine are a different license.

Which health department inspects an Orlando independent?

It depends on the address. Orange, Osceola, and Seminole run separate retail-food regimes, and some formats sit with Florida Department of Agriculture and Consumer Services. Pull the permit, not the metro name.

Can a buyer keep the seller’s EBT terminal after an Orlando closing?

The hardware is not the authorization. USDA FNS issues a new retailer permit to the incoming owner. Budget downtime and a working-capital pad for the gap.

Is Publix the only competitor that matters for an Orlando independent?

No. Publix sets suburban hours and produce expectations. Winn-Dixie and Aldi still steal trips on price. Hispanic independents in East Orlando, Azalea Park, and Kirkman compete on language and the produce house.
