Lead with BOLI tier and OLCC class before you argue a multiple, then book a confidential intro. Grocery Store Business Broker work with Jason Taken at HedgeStone packages Oregon independents around wage-tier-honest SDE, costed inventory, and OLCC timing on dated clocks. Email jason.taken@hedgestone.com when tier and class are ready.

Vintage 2024 puts Oregon at 4,272,371 residents; CBP 2023 counts 753 NAICS 445110 boxes — Portland-heavy with a long valley and coast tail. Scale is not a multiple. Those figures describe a West Coast grocery map with a Portland-heavy independent book and a long valley and coast tail. They are not a sold-comp. The city reading lives on Portland. The sibling search essay is buy a grocery store in Oregon. This essay is the seller file.

OLCC beer-and-wine is not a liquor-store appointment

Oregon is a NABCA control state. The named agency is the Oregon Liquor and Cannabis Commission. Beer and wine in grocery are common with an OLCC off-premises license. Distilled spirits sell through OLCC-appointed liquor stores, not typical grocery aisles. Liquor-store appointments are limited. OLCC must approve a beer-and-wine license transfer. Appointments are a separate contract. Confirm any grocery that also holds an appointment. Liquor license due diligence and transferring your liquor license are the process. State-by-state alcohol regime is the map.

A buyer who underwrote a California Type 21 will mis-read every Oregon independent. A seller who capitalizes whiskey margin the appointment does not allow is selling a story. Write the class the way OLCC writes it. Give any liquor-store appointment its own paragraph in the LOI.

An 82nd Avenue beer-wine grocery and a store that also holds an appointed liquor contract are not the same underwriting paragraph. Put OLCC timing on a dated workplan next to county health and landlord consent. A hoped-for spirits aisle that the appointment does not allow is not an add-back. Eugene–Springfield natural-food files and Portland immigrant corridors do not share the same cooler story even when both sit inside the same state name.

Oregon does not levy a general retail sales tax on groceries. That fact is sourced. It does not mean there is no Department of Revenue conversation. Confirm business-tax and transit-tax clearance on the entity or asset sale. Repealed UCC Article 6 does not erase every successor question. Bulk sales belongs in the memo. Successor liability is still a counsel word.

Three wage floors on one map

The DOL July 1, 2026 table lists Portland metro $16.80, standard $15.55, and nonurban counties $14.55. Recast on the address. Confirm BOLI posters. Portland predictive-scheduling and sick-leave rules can sit on top of the metro floor. A related-party wage that only works because housemates are unpaid will reverse. State-by-state minimum wage is the longer table. Price after BOLI-tier honesty — not after a national listing-sample slogan. This page invents no Oregon sold-comp mean.

Recasting a grocery P&L is the method. Print the SDE worksheet. Handling employees, union contracts, and WARN if a contract or headcount rule is in the file.

Retail food sits with the Oregon Health Authority and county health departments. Write the county. WIC sits with Oregon Health Authority — WIC. Tobacco sits with Department of Revenue and OLCC as applicable. Oregon Lottery is a separate retailer contract. Walk WIC, lottery, and tobacco as its own calendar.

USDA FNS authorization does not transfer. The purchaser applies as a new retailer. This pack left SNAP retailer counts null. Pad working capital for the filing gap. What happens to SNAP authorization when you sell is the federal rule. Write the filing into the LOI.

BizBuySell’s licensing article includes Oregon among states that commonly require a real estate license for business brokerage. Lists conflict at the edges. Confirm the Oregon real estate commission before you hire anyone to broker the going concern. If the building conveys, a real-estate licensee is required. This page does not list a brokerage license for Jason Taken or HedgeStone.

82nd Avenue is not Bend

Portland’s east side and 82nd Avenue are a documented Asian and immigrant independent corridor. Portland suburbs and Beaverton mix conventional and Asian independents. Eugene–Springfield runs university and natural-food independents. Salem, Bend, and Medford are secondary metros; Bend occupancy cost is the underwriting issue in the research file. Those are qualitative notes. This pack left metro population and rent null, so this page invents neither a rent-per-foot nor a density premium.

A tourist who wants “an Oregon grocery” without naming the city is not underwriting. Buying an ethnic market outside your community applies on 82nd. Language on the floor and the importer list are diligence. A Bend specialty box that cannot carry occupancy will not become a going concern because the teaser said “Oregon lifestyle.” If you run an Asian grocery or a natural-food independent, say which. Name the city in the blind teaser.

Fred Meyer and QFC (Kroger), Safeway and Albertsons, WinCo Foods, and New Seasons set trip expectations. Fred Meyer, QFC, Safeway/Albertsons, WinCo, and New Seasons set Portland and valley price perception. An 82nd Avenue independent still wins trips those banners skip — hours, language, and SKUs a supercenter will not carry. Do not price yourself as a New Seasons clone. An 82nd Avenue independent does not recast as a New Seasons lookalike with a different fascia.

UNFI, URM Stores, and C&S Wholesale Grocers invoice independents in this pack. Consent and drop terms belong in the LOI. Wholesaler and wholesaler agreements when you sell are first-week work. Print personal guarantees before you argue a multiple. An 82nd Avenue import mix and a Medford conventional box do not share the same drop conversation even when both sit inside the same state name. A close that ignores the warehouse book reopens when the Tuesday drop will not schedule. URM terms in secondary metros can be the whole deal—ask whether the next name keeps the book before you write the close Tuesday.

Keep the rumor off 82nd and off a Eugene natural-food box. Confidential sale starts with a blind teaser and an NDA, then a CIM with departmental sales, the lease abstract, the OLCC class, and the wage-tier address. Should I tell my employees is a date. Vendors learn from a vestibule sign faster than buyers learn from a teaser—keep the floor quiet until OLCC paper and the wage tier are written as dated steps.

Federal HFFI and Portland food-access programs may apply. No dollar figure is recorded. Do not write a grant into the purchase price or into SDE.

Price the wage tier and the recast, not a New Seasons circular

Apply a national grocery earnings sample to recast SDE after you put the correct wage tier back in, then add inventory at cost. That band is not a Portland sold-comp and it is not a Bend occupancy premium. This page will not invent a worked dollar sketch. How to value a grocery store and the valuation hub are the method. An OLCC lag, a wrong wage tier, or a short remaining lease sits toward the cautious end of any national range.

SBA 7(a) can finance a change of ownership up to the published $5 million maximum. OLCC lag, the wage tier, and county health belong in the credit memo. DSCR still has to work. Unreported cash will not—selling with unreported cash.

If the building conveys, price dirt as a second asset with a real-estate licensee. Recast the store on a market rent you can defend. Selling with a lease versus real estate keeps the piles apart. Lease due diligence is assignment, remaining term, and exclusive use. This pack publishes no rent-per-foot.

Inventory is counted at cost at close. How inventory is counted at closing is the procedure. An 82nd Avenue import box and a Medford conventional box do not share a count clock. Write department rules into the APA. Hold back unsellable.

Occupancy is rent—base, CAM, tax, insurance—divided by this store’s sales. Pull both from the lease and the P&L. Do not invent an 82nd Avenue rent-per-foot or a Bend rent target. Bend occupancy cost is the underwriting issue in the research file; that is a qualitative caution, not a published dollar figure. A landlord who recasts rent as the price of consent changes SDE. Write assignment language into the LOI before you argue a band. Training hours after close keep an 82nd Avenue mix alive when the next operator has never ordered that importer list. A seller who wants retail on the stockroom is selling a markup the buyer cannot keep. A UNFI or URM over-advance is debt, not inventory. Portland predictive-scheduling rules can sit on top of the metro wage floor—confirm BOLI before you staff the transition week.

Pull three years of returns and twenty-four months of scan data. Owner pay and a documented one-time repair can move SDE. Recurring shrink cannot. Related-party rent comes out. Transition hours should name who can order from UNFI or URM on Monday—transition and training. Compare offers on cash at close, note terms, inventory treatment, and OLCC risk—comparing offers.

Book the Oregon intro

Bring the OLCC class, any liquor-store appointment contract, the county health permit, the wage-tier address, and three years of returns. Grocery Store Business Broker will not invent an Oregon sold-comp, a spirits-aisle story the appointment does not allow, or a SNAP-retailer count. We will recast the store you run and sequence OLCC, DOR, county health, and landlord consent on one calendar.

A funded Oregon buyer will ask for the OLCC beer-wine class, whether a liquor-store appointment sits with the store, the correct wage tier for the address—Portland metro, standard, or nonurban—BOLI and any Portland scheduling rules, three years of returns with departmental sales, scan that ties to filings, remaining lease term, and whether UNFI, URM, or C&S will keep the next name. They will ask whether the corridor is 82nd Avenue Asian and immigrant, Beaverton conventional-plus-Asian, Eugene–Springfield natural-food, or Bend occupancy underwriting. They will not ask for a statewide multiple. Put those answers in the CIM before you argue a band.

Preparing three years of financials and verifying sales with scan data keep the week honest. The LOI terms that matter for sellers is the longer list once a name is real. Operators who already survive OLCC lag and Fred Meyer or WinCo across town underwrite faster than a tourist who expects a California Type 21 story. Quiet outreach starts with those operators—not with a public listing that teaches 82nd you are leaving.

Portland and Bend are different teasers. Do not blend them. Neighbor essays for West Coast thinking include sell in Washington and sell in California, but Oregon’s OLCC paper and three wage floors still stand alone on this file.

Close the Oregon file on OLCC and BOLI

Arrive with the OLCC off-premises class, any liquor-store appointment note, the BOLI wage tier for the address, three years of returns, and who can place the first UNFI or C&S order after Monday. HedgeStone packages Oregon independents around wage-tier-honest SDE — not around a West Coast slogan.

82nd Avenue, Beaverton, Eugene–Springfield, and Bend are different teasers. Do not blend them. A tourist who expects California open spirits in grocery will waste a week. Operators who already live with OLCC lag underwrite faster.

Worked math for Sell an Oregon grocery: OLCC class before the multiple

Use this napkin recast on Sell an Oregon grocery: OLCC class before the multiple when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.

Input or output Illustrative figure
Weekly sales (illustrative) $78,000
Annual sales $4,056,000
Recast SDE $190,632 (4.7% of sales)
Inventory at cost $289,714 (~14 turns)
Occupancy check $121,680 / year (3.0% of sales)
Low going-concern $613,788 at 1.70x SDE + inventory
High going-concern $833,015 at 2.85x SDE + inventory
Sketch DSCR on a note 1.40

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.
