Book a confidential intro with a Michigan map that names Dearborn, Hamtramck, Ann Arbor, Grand Rapids, or a Lansing–Flint–Saginaw food-access file — not “Michigan” as one store. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — underwrites the independent as corridor mix, Michigan Liquor Control Commission timing, and a hired-labor DSCR test. Email jason.taken@hedgestone.com when the MLCC class and the SpartanNash or UNFI letter are in the packet.

Census Vintage 2024 estimates Michigan at 10,140,459 people as of July 1, 2024. Census County Business Patterns 2023 counted 1,685 establishments in NAICS 445110, all legal forms. That headcount describes a large Great Lakes grocery industry. It is not a for-sale list and not a SNAP-retailer census. This pack left SNAP retailer counts null.

Dearborn and Hamtramck are not one Detroit multiple

Detroit / Hamtramck / Dearborn corridors carry Arab, Bangladeshi, and African-American neighborhood independents with well-documented Dearborn trade. Underwrite SKU depth, shrink, security, and EBT mix as corridor facts. A buyer who only knows suburban Meijer parking will mis-read both the opportunity and the risk.

Ann Arbor / Ypsilanti mixes university and specialty independents with occupancy stories that do not travel to a Grand Rapids Hispanic corridor. Grand Rapids is West Michigan conventional plus Hispanic independents — different wholesale habits and different wage pressure than a Flint food-access box. Lansing, Flint, and Saginaw smaller metros need honest trip analysis, not a Detroit slogan pasted onto thin density.

Competition analysis is the method. Drive the true corridor at open and close. Do not price a Hamtramck import file as if it were a suburban Family Fare clone.

MLCC control wholesale and the SDM you may not keep

Michigan is a control state on the spirits wholesale side through the Michigan Liquor Control Commission. Beer and wine SDM licenses are common in grocery. Spirits may appear under licensed specialty or SDD arrangements — verify the exact privilege on the store before you treat spirits gross as grocery SDE. Secondary national lists are starting points; local exceptions apply.

MLCC plus the local legislative body typically must approve an ownership change. Transfer is not automatic. Privilege lag belongs in the DSCR calendar next to retail food. Liquor license due diligence is the worksheet; Michigan adds the local body hearing.

Retail food sits with Michigan Department of Agriculture and Rural Development and local health departments. Incoming operators file as a new retail food operation. Call the desk that inspects this address. Tobacco and lottery, where present, are separate retailer contracts.

SpartanNash membership as the real going concern

Meijer, Kroger banners, SpartanNash banners (Family Fare / D&W and related), and Aldi set price perception across large parts of Michigan. They are weather. They are not your sold comps, and this page will not invent a Michigan earnings multiple.

Many independents live inside SpartanNash, UNFI, or C&S Wholesale Grocers economics. Drop minimums, over-advances, private-label access, and personal guarantees travel with the buyer. Ask whether the wholesaler will keep the incoming operator before you argue continuity of margin. A Family Fare-adjacent independent that depends on SpartanNash terms is a membership and supply file, not a banner fantasy.

Recasting a grocery P&L means replacing unpaid owner weeks, reversing related-party rent, leaving recurring shrink in, and tying weekly sales to scan data and EBT deposits. Department mix — meat, produce, import — decides whether the corridor story can carry debt service.

Testing the note after $13.73 and hired cutters

DOL’s July 1, 2026 consolidated table lists Michigan at $13.73. Confirm Michigan posters and any local overlays. Run the SBA 7(a) payment and DSCR calculator only after hired labor is in the recast. A seller who is also the only cutter is key-person risk the payment cannot survive.

Michigan generally exempts eligible grocery food from sales tax; prepared food is taxable. Confirm Treasury RAB food guidance for hot food and fountain before you treat deli gross as staple margin. On the asset sale, confirm Treasury tax clearance / successor practice. Repealed UCC Article 6 does not erase notice or escrow habits.

Occupancy is rent plus CAM as a share of proven sales. This pack does not publish metro rent. Remaining term under twenty-four months without options is a price cut. If the seller owns the realty, split ops from brick — buying a store with real estate is two conversations.

West Michigan versus Flint food-access files

Grand Rapids Hispanic independents and West Michigan conventional boxes can show steadier weekly tapes than a Flint or Saginaw food-access independent — and still fail if occupancy share is wrong. Food-access sites may involve federal Healthy Food Financing Initiative language; this pack records no dollar figure. Do not plug an invented grant into DSCR.

Ann Arbor specialty independents often pay for labor and occupancy that a thinner metro cannot support. Recast what you will staff, not what the seller worked for free. Anatomy of a grocery P&L is the department read.

Closing cash when FNS starts over

USDA FNS: SNAP retailer authorization does not transfer. File a new application. Model EBT dark time in working capital. WIC sits with the state WIC agency as a separate vendor file. EBT / SNAP diligence belongs in the LOI.

SBA 7(a) can finance a change of ownership; the published maximum is $5 million. That ceiling is not a quote. Cash to close stacks equity, inventory at cost counted at close, working capital through FNS downtime, closing costs, and any Treasury holdback. Hold back unsellable; retail tags are not cost. The cash-to-close estimator is a worksheet.

If the deal includes the building, close it with a Michigan real-estate licensee. Confirm current statute on business-brokerage licensing with counsel. Jason Taken and HedgeStone are not listing a Michigan brokerage license here.

SDM lag, local bodies, and the Great Lakes wage that still bites

Michigan’s control wholesale system on spirits does not make beer and wine automatic goodwill. An SDM license still needs Michigan Liquor Control Commission process and, typically, local legislative approval. Build privilege lag into the payment calendar the same way you build FNS downtime. A Dearborn independent that prints package gross as durable without naming the local body is selling a brochure.

Corridor ethnography is underwriting, not tourism. Hamtramck Bangladeshi independents, Dearborn Arab corridors, and African-American neighborhood boxes in Detroit do not share shrink profiles, security costs, or SKU turns. Ann Arbor specialty independents pay for labor that a Saginaw food-access box cannot support. Grand Rapids Hispanic independents sit in West Michigan conventional weather that looks nothing like a Flint tape. Write the corridor in the search memo before you open the CIM.

SpartanNash continuity can be the going concern. Private label, drop schedules, and over-advances are not soft benefits; they are balance-sheet items that move with the buyer. Ask whether you can assume the guarantee. If not, price the payoff or walk. UNFI and C&S files need the same honesty. Meijer and Kroger banners set milk-and-egg perception; they do not hand you a sold-comp set.

Treasury food guidance on prepared and fountain items belongs in the register sample. Exempt grocery staples next to taxable hot food will confuse a lazy recast. Tie scan data to tender types. On the asset sale, Treasury clearance and successor practice still matter even when staple food is exempt.

Wage at $13.73 is not “cheap labor.” It is a floor that breaks notes modeled on unpaid owner weeks. Staff the cutter and the night crew at hired cost. Run the SBA 7(a) payment and DSCR calculator after that replacement. Occupancy share on university-adjacent Ann Arbor leases can fail even when sales look healthy — this pack will not invent rent comps; it will insist you run the document.

Food-access language and federal Healthy Food Financing Initiative references may appear on Flint or Detroit files. Keep them qualitative until a specific program notice is in the packet. Do not plug invented grant dollars into DSCR. Distressed boxes still require inventory counted at cost and a lease a lender will fund — buying a distressed store is the worksheet.

Transition hours for bilingual cutters and department leads belong in the APA. Post-close, do not rewrite the import mix in week one while FNS is dark. Post-closing 90-day plan discipline protects the note. Red flags include cash that never hits the tape and a lease that expires inside the SBA term.

Detroit weather versus West Michigan membership economics

A Detroit-adjacent independent can print strong Saturday volume and still fail Monday if security, shrink, and hired cutter cost were never in the model. West Michigan files often live or die on SpartanNash membership continuity rather than corridor ethnography. Grand Rapids Hispanic independents need both: membership honesty and shift coverage. Lansing, Flint, and Saginaw food-access independents need working-capital honesty about thinner weeks — not a Detroit slogan.

MLCC specialty or SDD arrangements for spirits, where present, must be verified on the store. Secondary national grocery-spirits lists are not closing opinions. Local legislative body calendars slip; size cash accordingly. MDARD and local health incoming-operator steps sit on the same whiteboard as MLCC.

Treasury clearance on the asset sale still matters when staple food is exempt. Prepared and fountain items create remittance lines a lazy storewide margin ignores. Sample tender types. Anatomy of a grocery P&L is the department read; shrink, margin, and turns shows whether perimeter is already eating the week.

If you are buying the building, environmental and refrigeration stand alone in freeze-thaw markets. Recast ops on market rent first. Seller carry can close a stack hole only after recast SDE and the count support the combined payment. Bring corridor name, MLCC abstract, and the warehouse letter — then pressure-test the note.

What a lender will ask after the corridor story

Lenders fund hired-labor cash flow, not Dearborn slogans. Bring three years of filings, thirteen weeks of scan-tied sales with EBT mix, the MLCC class abstract, local body timing notes, and the SpartanNash, UNFI, or C&S letter. Show occupancy as rent plus CAM over proven sales on the actual lease. Show a SNAP restart calendar with working capital sized to the next drop. Show wage at $13.73 loaded for nights and weekends. If those pages are missing, the corridor story is tourism. How to buy a grocery store step by step is the sequence; this page is the Michigan file inside it.

Book a confidential intro. HedgeStone will pressure-test whether the recast covers debt service inside a honest hired-labor model — and which desk still has to move. An illustrative recast on Buy a Michigan grocery after you name the corridor and the MLCC class

Use this napkin recast on Buy a Michigan grocery after you name the corridor and the MLCC class when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.

Input or output Illustrative figure
Weekly sales (illustrative) $195,000
Annual sales $10,140,000
Recast SDE $476,580 (4.7% of sales)
Inventory at cost $633,750 (~16 turns)
Occupancy check $365,040 / year (3.6% of sales)
Low going-concern $1,443,936 at 1.70x SDE + inventory
High going-concern $2,134,977 at 3.15x SDE + inventory
Sketch DSCR on a note 1.52

Rent at 3.6% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.

Bring proof of funds or a lender pre-screen, your format, and geography. Jason will tell you whether a store like this can clear SBA or seller-carry math.

Frequently asked questions about Buy a Michigan grocery after you name the corridor and the MLCC class

Why do Dearborn and Hamtramck need separate underwriting from a generic Detroit file?

Arab, Bangladeshi, and African-American neighborhood independents win on SKU depth and community trips that Meijer circulars do not cover. Mix, shrink, and security differ by corridor. Do not paste one “Detroit” multiple onto both.

How does MLCC control wholesale change a grocery alcohol story?

Michigan Liquor Control Commission operates a NABCA control wholesale system. Beer/wine SDM licenses are common in grocery; spirits arrangements require verifying the exact license on the store. MLCC plus the local legislative body typically must approve — transfer is not automatic.

What do 1,685 establishments and 10,140,459 people mean for pricing?

They are Census CBP 2023 NAICS 445110 industry headcount and Vintage 2024 population. They describe market density. They are not listings, sold comps, or a SNAP-retailer count.

When is SpartanNash membership the real going concern?

When the independent’s supply, private label, and drop economics live inside SpartanNash terms. Continuity, guarantees, and over-advances travel with the buyer. Read the warehouse letter before you treat banner weather as your earnings story.

Which wage floor belongs in a Michigan DSCR model?

DOL’s July 1, 2026 consolidated table lists Michigan at $13.73. Confirm current posters and any local overlays. Recast hired cutters at what you will actually pay — not unpaid owner weeks.
