SDE — Seller’s discretionary earnings: recast pre-tax cash available to one owner-operator after adding back that owner’s compensation, personal expenses that leave with the seller, and costs that truly will not repeat. In grocery it is built from a recast P&L, not from the tax-return bottom line alone.

Print the SDE worksheet and open last year’s P&L next to it. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — uses SDE the way a grocery file uses it: tied to a recast, to inventory at cost as a separate check, and to a multiple you can source. Book a confidential intro when the worksheet has a number you can defend line by line.

What grocery SDE counts

Start with book or tax profit. Add back the compensation the owner took — W-2, draws, guaranteed payments, and the payroll tax on that pay if the buyer will not keep that person. Add back personal autos, personal insurance, a house billed through the store, and a family trip coded as a conference. Add back a one-time legal bill that settled, or a remodel that will not happen again next year. That stack is the add-back conversation. The how-to is recasting a grocery P&L.

Leave the store in the number. Recurring shrink is the business. Couponing that happens every week is the business. A cousin on the schedule who bags and closes is labor a buyer must replace. An “inventory adjustment” that shows up every year is shrink wearing a journal-entry costume.

FMI’s 2.1 percent average net profit for food retailers in 2025 is a food-retailer net sample. It reminds you that grocery is thin. It is not your SDE. SDE sits above that net because it puts the owner’s living back into cash. A store can look unprofitable on a return because the owner took the living as rent, auto, and a low W-2, and still throw real SDE. The reverse is also true: a pretty net that depends on unpaid family hours is not SDE a buyer can keep.

Owner hours versus a hired closer

SDE assumes one owner-operator in the box. If you work seventy hours and a buyer will hire a closer, a cutter, and a produce lead, that buyer does not keep your unpaid weeks. They subtract a market wage for the hours they will not work. That subtraction is how SDE becomes cash a hired operator can live on — closer to EBITDA than to owner SDE. SDE versus EBITDA for grocery is the fork. Owner-operated neighborhood stores usually stay on SDE. Multi-store files with a hired general manager usually talk EBITDA. Do not mix the add-back sets on the same CIM page.

BizBuySell’s 2025 grocery and supermarket sold sample shows an average earnings multiple of 3.38, a five-year average of 2.66, and an interquartile range of 1.60 to 3.15. Those multiples attach to recast earnings, not to a tax-return bottom line and not to a weekly-sales rumor. The valuation hub is where the multiple argument lives. This page is the earnings definition.

Inventory, licenses, and the LOI

Do not bury the stockroom inside SDE. Inventory at cost is counted at close and paid as its own line. A buyer who “includes inventory in the multiple” is hiding a six-figure check. Write the count rules into the LOI: what is unsellable, who pays the crew, how disputes resolve. How inventory is counted at closing is the procedure.

SDE also does not buy licenses. USDA FNS SNAP authorization does not transfer; that is a cash-flow gap after Monday, not an add-back. Alcohol is a class, a quota, or a control-state product. Write those clocks next to the earnings number so a lender can see DSCR on a recast they believe. DSCR is the coverage test. How to value a grocery store is the longer method.

If the question is only the definition, the SDE question page is the short answer. If you have a file, mark the worksheet and book the valuation conversation. Bring P&Ls, a lease page, and an honest inventory guess. The hour is for the recast, not for a trophy headline.

How a buyer would price SDE for a grocery store

These figures are a teaching walk-through for SDE for a grocery store, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band.

Input or output Illustrative figure
Weekly sales (illustrative) $78,000
Annual sales $4,056,000
Recast SDE $146,016 (3.6% of sales)
Inventory at cost $225,333 (~18 turns)
Occupancy check $121,680 / year (3.0% of sales)
Low going-concern $517,365 at 2.00x SDE + inventory
High going-concern $641,479 at 2.85x SDE + inventory
Sketch DSCR on a note 1.35

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.

Frequently asked questions about SDE for a grocery store

Is grocery SDE the same as tax-return profit?

No. Tax profit is a filing result. SDE is a recast of cash to one owner-operator after owner pay, personal items, and true one-time costs. The return is an input, not the answer.

Does SDE include the stockroom?

No. Inventory at cost is counted at close and paid as its own line. Do not bury the room inside SDE or inside the earnings multiple.

When does a grocery file talk EBITDA instead of SDE?

When a hired general manager already runs the box and the buyer will not work owner hours. Owner-operated neighborhood stores usually stay on SDE.

Can I skip the recast and still quote SDE?

You can multiply a rumor. A buyer and a lender will recast anyway. Owner pay, related-party rent, and one-time legal are the first lines that move the number.
