Grocery stores for sale in San Antonio

Book a confidential intro

If you own a San Antonio grocery or you want the keys, recast SDE against the H-E-B trip sitting in the same trade area, then book a confidential intro with the lease, TABC paper, and three years of tax returns. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — will not invent a San Antonio store count, a metro rent table, or a homemade earnings multiple. Statewide Texas tax and TABC teaching live on the seller and buyer pages. This essay is how an independent survives in H-E-B’s home market.

City boxes usually lease. Some older neighborhood stores and inner-ring suburbs own real estate. Confirm the file. Occupancy is rent and CAM as a share of sales. This pack left metro rent, population, and grocery density null. Do not paste a Houston or Dallas occupancy story onto a San Antonio address.

Why H-E-B shapes every San Antonio file

H-E-B is the competitive set recorded for this metro, with Walmart and Aldi in the same list. Those banners are not listings on this page. They are the reason a San Antonio independent cannot price from weekly sales as if it were the only full-line box in the neighborhood.

An independent still has a job: explain the trips H-E-B does not take. That can be a west-side carneería, a produce mix a chain circular will not carry, credit for a contractor, hours a supercenter will not staff, or a language on the floor. If the CIM cannot name those trips, the buyer will underwrite the store as a smaller, weaker H-E-B and cut the multiple. If the CIM can name them and the scan supports them, the store is a going concern next to a giant, not a liquidation waiting for the next banner opening.

Do not import Houston’s Bellaire or Dallas–Fort Worth Asian corridors into a San Antonio file. Those are other Texas geographies. San Antonio / South Texas in the state research pack is an H-E-B home market with Hispanic independents. Underwrite the address in front of you.

FMI’s 2025 food-retailer net of 2.1 percent and $668,377 average weekly supermarket sales are national channel figures. They describe a supermarket sample, not this west-side independent. Scan, EBT, and the return are the sales story.

West and south San Antonio Mexican independents

West and south San Antonio are the qualitative Mexican independent corridors in this pack. That is a language, meat, produce, and tortilla-house note, not a population percentage. Do not invent a share. A Hispanic and Latino grocery in an H-E-B-dominated market lives on department margin and shrink, not on a hope that the banner will ignore the neighborhood.

Buyers who only know H-E-B’s prepared-food and private-label machine will mis-read a Mexican independent. The recast has to show what the meat case actually contributes, what the produce house charges, and whether the owner’s hours are in the payroll. Associated Wholesale Grocers, Grocers Supply / C&S heritage independents, and UNFI appear in Texas supply. Read drop minimums and whether the relationship survives a change of ownership. Wholesaler agreements when you sell belong in the CIM appendix.

Drive west and south. A tour that only hits Alamo Heights or a northern suburb will not teach you the file you are buying. Do not mix another city’s streets into the teaser.

TABC wet-dry at the metro edge

Texas Alcoholic Beverage Commission rules still include wet/dry elections in metro-edge counties. Beer and wine in grocery are common in wet jurisdictions. Package-store off-premise spirits are a separate class; Texas is not treated as a general grocery-spirits state on the secondary grocery-spirits list used in this research pack. Confirm TABC at the address. Publicly traded retailers face additional package-store restrictions that will not describe most independents — still verify the class on the wall.

TABC must approve a transfer. It is not automatic with the asset purchase. Package-store licenses can have separate value and ownership limits. Liquor license due diligence is the workstream. Do not bury alcohol inside grocery SDE if the privilege is a quota-like or package-store asset with its own market.

The City of San Antonio metro health district is the local retail-food desk recorded for this metro, sitting with Texas DSHS. The incoming operator is a new health file. WIC sits with Texas Department of State Health Services. Texas Lottery is a real transfer item in this state — unlike Utah — so list it only if the store actually holds it.

City health, Texas food tax, and the $7.25 floor

Texas generally exempts eligible grocery food from state sales tax. Prepared food, many heated items, and defined snack and soft-drink categories are taxable. Confirm Comptroller Publication 96-280 for grocery and convenience stores. A CIM that treats the whole register as exempt will mis-state tax collected and, with it, the recast. Confirm Comptroller tax clearance and successor liability on the asset sale. UCC Article 6 bulk-transfer statutes have been repealed in most states; Texas may still impose sales-tax successor liability or a clearance practice. Confirm current notice with counsel.

DOL’s July 1, 2026 consolidated table lists Texas at the federal minimum of $7.25. Confirm Texas Workforce Commission posters. Grocery work in San Antonio is nights, weekends, and perishable skill. Recast on the wages you will pay, not on a floor that a going-concern independent may already exceed.

USDA FNS: SNAP authorization does not transfer. After close, the buyer may not ring EBT on the seller’s permit. File a new retailer application. Budget downtime. This pack does not publish a SNAP-retailer headcount for San Antonio. SNAP when you sell is the federal rule.

Recasting before you walk the vestibule

Going-concern value is recast SDE or EBITDA times a negotiated multiple, plus inventory at cost. BizBuySell’s grocery and supermarket sold sample is the only sourced transaction set on this site: 3.38 average earnings multiple in 2025, 2.66 five-year average, IQR 1.60–3.15, and 0.43 average revenue multiple in 2025. Those are national listing-site figures. They are not a Bexar County sold-comp set. Start inside the IQR. A trophy 3.38 belongs to a clean lease, a clean TABC file, and a recast that survives H-E-B next door. Walk how to value a grocery store and the multiples report.

Tie weekly sales to scan and EBT deposits. Hold back unsellable on the closing count. Recast on market rent if the seller owns the box. SBA 7(a) can finance a change of ownership; the published maximum is $5 million. Unreported cash will not survive that file.

Lease due diligence is not optional next to H-E-B. Remaining term, assignment consent, and co-tenancy if a shadow-anchor leaves will move price more than a debate about the circular.

What a San Antonio CIM has to prove

A San Antonio confidential information memorandum is a recast, a lease story, and a TABC story. It is not a photo of the produce table. Put three years of tax returns next to weekly scan, EBT settlements, and a department-margin recast that survives H-E-B. If the seller owns the real estate, show market rent in the store recast and price the dirt as a second asset. If the box is leased, show remaining term, options, assignment consent, and any radius or exclusive that a new H-E-B or Walmart could trip. How to read a CIM is the buyer checklist. Preparing three years of financials is the seller packet.

Name the competitor that actually sits on the trip. West-side Mexican independents compete with H-E-B and often with another independent, not with a Dallas Tom Thumb. South-side files can feel Walmart and Aldi in the same week. Do not write a city-name competitive set. Write the banners and the independents a shopper can reach without crossing the metro. Competition analysis is the method. This pack does not publish a trade-area population figure. Use the store’s scan and a drive, not an invented Census count.

TABC belongs in the CIM appendix: class, wet-dry status of the county, any package-store paper, and whether transfer is already queued. Health belongs there too: City of San Antonio metro health district as a new-operator file. WIC and Texas Lottery only if the store holds them. Tobacco with Comptroller / TABC as applicable. A buyer who learns at week six that the county is dry will re-trade. A seller who hides a short lease will meet the same re-trade from the other side.

Inventory is counted at cost. Hold back unsellable. Mexican dry grocery and spices can include long-tail SKUs; they still have to be on the count or carved out in the APA. Closing-day inventory is the procedure. Do not illustrate a homemade San Antonio SDE dollar figure on this page. Recast the store in front of you against the BizBuySell IQR, then add the count.

Associated Wholesale Grocers, Grocers Supply / C&S heritage, and UNFI are the Texas wholesaler names in the state pack. Read drop minimums, over-advances, and change-of-control. A west-side independent that lives on a personal produce house still has to show that house in diligence. Wholesaler and banner agreements are not a footnote.

SBA 7(a) can finance a change of ownership; the published maximum is $5 million. First-time operators get financed when scan, EBT mix, and lease remaining term tell one story. Buying as a first-time owner is the hours conversation. Unreported cash will not survive a 7(a) file or a serious conventional buyer. Selling a store with unreported cash is the warning, not a workaround.

Confirm Comptroller successor liability in escrow. Bulk sales and tax clearance is the statewide teaching. Counsel signs the opinion. This page teaches the grocery clocks.

Keeping a San Antonio sale quiet

Sellers should assume shoppers talk. Start with a blind teaser and an NDA, then a qualified list that already knows west-side Mexican grocery or conventional independent work. Confidential sale is the sequence. Keep TABC, the health file, and FNS off the sales floor while H-E-B is still in motion.

Buyers: underwrite occupancy as a share of sales before you tour. Confirm wet-dry. Plan FNS downtime. Drive west and south if that is the store, not a city-name tour of the River Walk.

National bands instead of a local asking average

This page does not publish a San Antonio asking-price average. Use the national bands, then argue the file. A 0.43 revenue multiple on the 2025 BizBuySell grocery sold sample is a sanity check, not a price. If implied revenue at the ask sits far above that sample, you are in a story, not a grocery conversation. Start inside the 1.60–3.15 IQR. H-E-B next door, a short TABC clock, and a 70-hour owner live at the low end. A clean lease with options, documented shrink, and a meat manager who stays can live higher in the band. Shrink, margin, and turns is how operations place the pin.

Mark the wet-dry line, the FNS line, and remaining term on a worksheet, then book a confidential intro with the lease, the TABC class, scan, and EBT settlements. Grocery Store Business Broker will not invent a metro multiple to make the banner next door feel smaller. The independent still has to earn its place on the trip.

How a buyer would price Grocery stores for sale in San Antonio

Price language for Grocery stores for sale in San Antonio is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.

Input or output Illustrative figure
Weekly sales (illustrative) $168,000
Annual sales $8,736,000
Recast SDE $506,688 (5.8% of sales)
Inventory at cost $436,800 (~20 turns)
Occupancy check $305,760 / year (3.5% of sales)
Low going-concern $1,374,173 at 1.85x SDE + inventory
High going-concern $1,804,858 at 2.70x SDE + inventory
Sketch DSCR on a note 1.53

Rent at 3.5% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.

Frequently asked questions about Grocery stores for sale in San Antonio

How does H-E-B change a San Antonio grocery valuation?

H-E-B is the competitive set, not a listing. An independent has to explain the trips H-E-B does not take. Price from recast SDE against national BizBuySell grocery bands, not from a hope that the banner will leave the trade area.

Do TABC wet-dry rules still matter in the San Antonio metro?

Yes. TABC wet/dry still exists in metro-edge counties. Beer and wine in grocery are common in wet jurisdictions. Confirm the county map and the license class at the address before you treat alcohol as a going-concern line.

Does SNAP transfer with a San Antonio store?

No. USDA FNS: SNAP authorization does not transfer. The new owner files a new retailer application and should budget EBT downtime in cash.

What is the sourced wage floor for Texas payroll?

DOL’s July 1, 2026 consolidated table lists Texas at the federal minimum of $7.25. Confirm Texas Workforce Commission posters. Recast on the wages you will actually pay in the store.

Who owns the retail food permit in San Antonio?

Texas DSHS and local health departments. The City of San Antonio metro health district is the local desk recorded for this metro. The incoming operator is a new file, not a sticker swap.
