Count the groceries on the map before you count a scarcity premium, then book a confidential intro. Census County Business Patterns 2023 lists 168 North Dakota establishments under NAICS 445110. Census Vintage 2024 estimates 796,568 people as of July 1, 2024. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — will recast the Fargo, Bismarck, Grand Forks, or oil-patch file you actually run. Email jason.taken@hedgestone.com if you want that hour with two years of scan already stacked.

Thin density is real. It is not a license to invent a “last store in town” dollar. FMI’s 45,575 U.S. supermarkets in 2024 and $1 trillion in 2025 supermarket sales describe the national channel. A 168-store state still prices on recast SDE plus inventory at cost. Buyer pools outside Fargo–Moorhead are measured carefully; that is still not permission to invent a scarcity multiple.

Oil-patch volume is a cycle, not a multiple

Minot and other energy-cycle towns can ring a week that looks like a different store when rigs move. Write the cycle into the CIM. Pull more than one year of scan. A seller who wants last winter’s patch week as next year’s run rate will meet a re-trade when the buyer’s credit officer asks for a second year. Verifying sales with scan data is the discipline. Preparing three years of financials is the stack. Thirteen-period reporting, if you have it, shows the swell and the pause better than a single “average week.”

Fargo–Moorhead on the North Dakota side is the primary independent and banner market. Bismarck–Mandan is the capital-region book. Grand Forks mixes university and air-base trade. Those are qualitative notes. This pack left metro population and rent null. Occupancy is this lease divided by this sales tape — not an invented Fargo rent-per-foot.

A traveling buyer who blends Fargo with a western oil town is not underwriting. Rural small-town grocery is a different format conversation when the box is the only full grocery for miles — still without an invented scarcity premium. Competition analysis is how you walk Walmart and the regional banners without pasting their circular into your CIM.

Hornbacher’s and other Coborn’s banners, Cash Wise, and Walmart set trip expectations. They are competitive context. They are not live listings. An independent that still beats them on hours or on a town they will not enter can recast. An independent that tries to beat Walmart on labor will donate the week.

UNFI and Associated Wholesale Grocers invoice independents in this pack. Consent and any over-advance belong in the LOI. Wholesaler and is my wholesaler agreement transferable are first-week questions. A close that ignores the warehouse letter reopens when the Monday drop still names the seller on the guarantee.

Spirits with a wall, food tax without a story

The named agency is the North Dakota Office of Attorney General, Alcoholic Beverage Control. Off-premise wine is commonly available. Spirits are generally allowed in grocery on the secondary list this pack uses, often with a physical separation requirement. Confirm the store layout against current statute. Local governing-body approval plus state approval is required. Approval is not automatic with the bill of sale. Liquor license due diligence and transferring your liquor license are the process.

A seller who capitalizes a hoped-for spirits set the layout does not allow is selling a story. A buyer who assumes North Dakota is a control state will mis-read the cooler. Write the class and the wall the way the Attorney General file writes them.

North Dakota generally exempts eligible food from state sales tax. Confirm Tax Commissioner food versus prepared-food definitions. A deli or hot bar can be a different tax story than center-store staples. State-by-state grocery sales tax is the map. Anatomy of a grocery P&L is how you see what the store remits.

UCC Article 6 bulk-transfer statutes have been repealed in most states. North Dakota may still impose successor liability, a bulk-sale notice, or a tax-clearance practice. Confirm the Tax Commissioner on the asset sale. Successor liability is the risk. Bulk sales belongs in the memo with any escrow holdback.

The DOL July 1, 2026 table lists North Dakota at the federal $7.25. Recast on what this store pays. Confirm Job Service and labor posters. Recasting a grocery P&L is the method. Owner pay and a documented one-time repair can move SDE. Recurring shrink cannot. Related-party rent comes out. Print the SDE worksheet. State-by-state minimum wage is the longer table.

Health, SNAP, and a quiet small-town rumor

Retail food sits with North Dakota Health and Human Services and local public health. The incoming operator is a new file. WIC sits with Health and Human Services — WIC. Tobacco sits with the Tax Commissioner. North Dakota Lottery is a separate retailer contract. Walk WIC, lottery, and tobacco as its own calendar so lottery and tobacco do not surprise the buyer after keys.

USDA FNS: SNAP authorization does not transfer. The new owner files a new application. Reservation-adjacent and rural boxes that ring a material EBT share need cash for the gap. Do not invent a SNAP-retailer headcount this pack left null. What happens to SNAP authorization when you sell is the federal rule. Pad working capital for the EBT downtime and for the first warehouse drop after close.

Federal HFFI may apply in reservation-adjacent and rural stores. No dollar figure is recorded. Do not write a grant into the purchase price. Healthy Food Financing Initiative is the qualitative name.

In a 168-store state, a vestibule sign teaches the town before a buyer has signed. Confidential sale starts with a blind teaser and an NDA. Employees learn from the beer driver. Should I tell my employees is a date. How do I keep the sale confidential is sequencing.

If the building conveys — common in older or rural independents — price dirt as a second asset with a real-estate licensee. Recast the store on a market rent you can defend. Selling with a lease versus real estate keeps the piles apart. Lease due diligence is assignment and remaining term. This pack publishes no rent-per-foot. Remaining term under twenty-four months without options is a price cut unless options are real.

National bands on a thin map, seller notes that bridge lag

BizBuySell’s grocery and supermarket sold sample: 3.38 average earnings multiple in 2025, 2.Oil-patch boom weeks that will not repeat come out of the North Dakota recast before any national band. No statewide sold-comp mean appears here.60–3.15, 0.43 average revenue multiple on the 2025 sold set. That band is national. It is not a Fargo sold-comp and it is not an oil-patch premium. Apply it to recast SDE after you take a boom week out of the run rate if the cycle will not repeat, then add inventory at cost. This page will not invent a worked SDE dollar sketch. A warehouse guarantee that will not assign, a spirits layout that fails separation, or a short lease sits toward the lower end of that IQR. How to value a grocery store and the valuation hub are the method.

SBA 7(a) can finance a change of ownership up to the published $5 million maximum. Density and experience tests can be harder in a thin market. That is a credit conversation, not a reason to invent a multiple. DSCR still has to work. A seller note is a structure some rural files use; it is not a substitute for a recast. Seller financing is the longer note. Unreported cash will not survive — selling with unreported cash.

Inventory night in a small stockroom still happens at cost. How inventory is counted at closing is the procedure. Department the room. Hold back unsellable and winter overstock the buyer cannot turn. A seller who wants retail on the stockroom is selling a markup. National weekly supermarket averages are channel context only — not this independent’s run rate.

People are the asset. A meat cutter who stays ninety days is worth more than a wide non-compete. In a single-store town, that person is the store. Transition and training belong in the LOI. Post-closing 90-day plan is Monday when the cooler still has to run and FNS has not posted.

Thin-market credit, owned boxes, and the Monday drop

SBA density and experience tests can be harder when the buyer pool outside Fargo is measured carefully. That is a credit conversation, not a reason to invent a scarcity multiple on a 168-store map. A seller note that bridges privilege lag or SNAP downtime is structure; it is not a substitute for taking boom weeks out of the run rate. Write the energy cycle into the credit memo the way you write it into the CIM — as shape, not as next year’s promise.

Owned boxes are common in older county-seat independents. Price dirt separately with a real-estate licensee. Recast the store on a market rent you can defend even if the seller has paid related-party rent for a decade. A Grand Forks university week and a Minot patch week do not share an occupancy story; this pack publishes no rent-per-foot for either.

Working capital has to cover spirits-layout approval, local health, SNAP downtime, and the Monday UNFI or AWG drop on a thin freight map. Reservation-adjacent EBT share needs more cash than a Fargo neighborhood box that rings a lighter SNAP week. Do not invent a North Dakota working-capital dollar; size it from this store’s settlements. How much working capital is the qualitative tool.

Timeline: local governing body, Attorney General Alcoholic Beverage Control, health, Tax Commissioner, landlord, warehouse, FNS. In a single-store town the rumor clock runs faster than the agency clock. Timeline to sell is the worksheet. Common reasons grocery sales fall apart puts energy-cycle overstatement and separation-layout misses near the top here. Surviving due diligence is the companion when the lender asks for a second winter of scan.

The LOI terms that matter for sellers should freeze inventory holdback, spirits separation layout, and warehouse consent. Allocation on the APA is a CPA conversation — taxes on selling a grocery store.

Book the North Dakota intro

Bring three years of returns that show the energy cycle if you have one, the alcohol class and the layout of any separated department, the health permit, and the warehouse letter. An illustrative recast on Sell a North Dakota grocery without selling last year’s patch week

Use this napkin recast on Sell a North Dakota grocery without selling last year’s patch week when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.
