What is the first number mismatch that should stop a tour?
Weekly sales, sales-tax filings, scan, and EBT deposits that refuse to tell one story. A gap is mix, downtime, or fiction.

Some grocery files should die before you put gas in the car. Mark the Buyer Underwriting Workbook, then book a confidential intro when you want a second set of eyes — or when you already know the week does not prove and you need someone to say it. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — would rather kill a tour than let you write earnest money on a story. Jason also sees grocery paper through Jaken Finance Group, which is how a DSCR conversation stays honest when the CIM is prettier than the bank.
The buyer hub is the method. How to buy a grocery store step by step is the calendar. This page is the stop list. FMI’s 2.1 percent average net profit for food retailers in 2025 is why a small lie in the week becomes a missed payment, not a rounding error.
Ask for weekly sales, sales-tax filings, scan data, wholesaler statements, and EBT deposits. Those five trails should tell one story. A gap is mix, downtime, or fiction. Read verifying sales with scan data before you ask to walk the aisles. How to read a CIM is the annotation method. A weekly-sales spreadsheet without department mix is a rumor.
FMI’s $668,377 average weekly sales per supermarket in 2025 is a channel benchmark. It is not this store, and it is not a reason to forgive a gap. Census NAICS 445110 names the industry. It does not reconcile the seller’s three stories.
Unreported cash does not survive SBA 7(a). It also does not survive a serious conventional buyer. If the seller’s lifestyle depends on a week that never hit the bank, you cannot borrow against it and you should not pay a multiple on it. Selling a store with unreported cash is the seller-side essay. On the buyer side, walk. SBA 7(a) can finance a change of ownership up to the published $5 million maximum. It will not finance a fiction.
Department gross margin hides in a storewide blend. Meat and produce can sink a “healthy” grocery number. Shrink that is “about 2 percent” with no count history is a claim. Turns are not one number. Center store and wine do not share a clock. See shrink, margin, and turns and evaluating a store’s P&L. If the seller will not let you see department scans, you do not have diligence. You have a brochure.
An oral lease is a walk. Assignment, exclusive use, and co-tenancy are the three clauses that surprise civilians in week six. You should find them in week one. Remaining term under twenty-four months with no options is a price cut, not a footnote. CAM true-ups can erase a year of “extra” SDE. Read lease diligence. Run the rent-as-percent-of-sales checker.
A below-market related-party rent juiced the seller’s earnings and will reverse on day one. Recast occupancy at market before you argue a multiple. Occupancy that eats the mid-single digits of sales needs a recast or a renegotiation. If the landlord will not talk assignment until after you are “in love with the box,” you are already late.
Owned real estate does not cure a bad store. Recast the store on market rent, then price the building as a second asset. Buying a store with real estate is two prices. A pretty building attached to a week that will not prove is still a kill.
A food-desert speech without a written lease and without sales proof is a donation. Buying in a food desert does not replace a P&L. HFFI and state healthy-food programs change. Do not quote a stale dollar cap as if it were a lease.
Add-backs that repeat every year are the business. Stop calling them one-time. Recurring shrink is not an add-back. A personal auto can be. Owner pay that is really unpaid family hours is not “extra SDE.” It is labor you will hire. Recasting a grocery P&L and anatomy of a grocery P&L are the worksheets. State minimum wage is a model input.
A wholesaler over-advance is debt. It is not an add-back. If you cannot assume the guarantee, price the payoff or walk. DSD vendors will keep delivering after a sloppy close only if someone is paying them. Banner fees and program charges belong in the recast as continuing costs if you keep the fascia. Buying a franchise or banner store versus independent is the consent problem. A book you cannot buy is not a going concern.
BizBuySell grocery sold figures — 3.38 average earnings multiple in 2025; IQR 1.60–3.15 for 2021–2025 — are a national listing-site sample. A cheap multiple on a dirty week is not a bargain. Revenue multiples hide rent and labor. Use 0.43 (2025 sold-sample average) only as a cross-check, then return to SDE. The valuation hub is the method. The multiples report is the sourced sample. Offer inside a band you can defend after you subtract holes — or do not offer.
Earn-outs on grocery are hard because the buyer controls mix after Monday. Do not use an earn-out to paper over a week you already do not believe. Escrow, holdbacks, and earn-outs exist for shrink and successor tax risk. They are not a cure for fiction.
USDA FNS: SNAP authorization does not transfer. The new owner files a new application. A SNAP-heavy mix with no compliance history is a kill, not a “we will figure it out.” EBT deposits should reconcile to the SNAP story. A gap is mix, downtime, or fiction. Read EBT / SNAP diligence and what happens to SNAP when you sell. Print the closing and license checklist. Budget downtime in cash or walk. How much money you need is the reserve conversation.
Alcohol is a class, a quota, or a control-state product — NABCA lists 17 control states plus local-control pockets. It is never “the liquor license” as one magical asset. If the privilege will not follow you, do not pay for the ring. Read alcohol regime and liquor license diligence. WIC is a vendor file, not a sticker on the door. Lottery contracts are often personal. Confirm before you count commission as durable. Tobacco sits with tax and health agencies, not with the APA automatically.
Tax clearance belongs in escrow language, not in a handshake. Bulk-sale or successor-liability practice can still exist after UCC Article 6 died. Read bulk sales and tax clearance. Attorneys and CPAs who have never closed a grocery file will rediscover SNAP in week six. Bring them working with attorneys and CPAs before they discover it for you.
Inventory at cost without rules is a 2 a.m. fight. Unsellable, who pays the crew, how disputes resolve — write it before count night. FIFO versus a messy room is how that fight starts. Read how inventory is counted at closing. If the seller will not let you set count rules in the LOI, you already know how inventory night ends.
Ethnic mix without language on the floor is a shrink plan. Buying an ethnic market outside your community is the essay. Hispanic, Asian, halal, and kosher files fail when the buyer cannot staff the counter. That is a kill before the multiple.
A store that only works because the seller is in the meat case seventy hours a week is a kill unless you have already hired the replacement and recast the labor. Buying as a first-time owner is honest about hours someone will underwrite. Capital without perishable skill is how lenders stall — and how first weeks miss.
Distressed stores still have inventory and a lease. Price those, not a turnaround novel. Buying a distressed store and buying and converting are the two essays. Conversion fantasies need a lease that allows them and a customer who will still come. Competition and trade-area math is how you stop using a ZIP-code story as diligence.
A rural box can be a good living and a terrible loan. Those are different questions. Rural grocery does not become financeable because the CIM used the word community. Multi-store sales need a shared recast and a shared license calendar, or they unravel store by store.
Non-competes have to be enforceable in the state and narrow enough to keep. Soft language creates hard lawsuits. Non-competes and confidentiality is the essay. Employees learn from vendors and shoppers. A seller who has already told the staff, the vendors, and the brother-in-law is not running a confidential process. That is not automatically a kill, but it is a price and a transition problem. Read transition and training periods.
WARN and union contracts are calendar items on larger headcount files. Read handling employees, union contracts, and WARN. Ignoring them is a kill if you needed a clean close date.
The LOI terms that matter for buyers can condition a fixable issue. They cannot resurrect a week that will not prove. Surviving due diligence is for files that already passed the stop list. Comparing offers means cash at close, note terms, inventory treatment, and license risk — not a headline price on a dead week.
How to value a grocery store will not save a file that failed sales proof. Common reasons grocery sales fall apart is the seller-side cousin of this page. On the buyer side, the job is to stop earlier.
Equipment that cannot hold temperature is a kill dressed as a remodel opportunity. Walk the compressor room. Ask for repair invoices. A pretty produce table in front of a dying rack is cap-ex you will fund after you have already paid a multiple. Due diligence includes the cold chain. A box that cannot hold product is not a going concern.
A CIM that omits the lease abstract, the license list, or department mix is telling you what the seller does not want examined. Preparing three years of financials is the seller-side standard. If you get one pretty year and a speech, walk. SDE versus EBITDA games — switching the label to fatten a multiple — are a cousin of add-back fiction. Translate, then decide.
Earnest money on a file that already failed the five trails is how buyers donate. Keep the money until the week proves. How to buy a grocery store step by step puts the tour last for this reason.
Working capital that is already spoken for before close is a kill you discover in receiving. If the buyer cannot fund the next load after paying goodwill, the week dies even if the CIM was honest. How much money you need is the stack. A pretty multiple on an empty register is still a miss.
Jason Taken would rather send you to the next file than tour you through this one. When you have a week that proves — or when you want help deciding that it does not — schedule the buyer strategy call. Bring the five trails. That is enough to start, or to stop.
Price language for Red flags that should kill a grocery deal is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL.
| Input or output | Illustrative figure |
|---|---|
| Weekly sales (illustrative) | $78,000 |
| Annual sales | $4,056,000 |
| Recast SDE | $210,912 (5.2% of sales) |
| Inventory at cost | $338,000 (~12 turns) |
| Occupancy check | $89,232 / year (2.2% of sales) |
| Low going-concern | $728,187 at 1.85x SDE + inventory |
| High going-concern | $939,099 at 2.85x SDE + inventory |
| Sketch DSCR on a note | 1.42 |
Rent at 2.2% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.
Bring proof of funds or a lender pre-screen, your format, and geography. Jason will tell you whether a store like this can clear SBA or seller-carry math.
Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.
Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.
Underwrite the deal before you fall in love with the store
Scan data, SNAP mix, rent-to-sales, and DSCR. If those four do not clear, the CIM photos do not matter.

No. A SNAP-heavy mix with no compliance history, plus the fact that SNAP does not transfer, can. Budget downtime or walk.
