Buyer questions about working with a grocery broker

Book a confidential intro

Working with a grocery broker as a buyer is a sequenced conversation, not a catalog request. Mark the Buyer Underwriting Workbook, then book a confidential intro with proof of funds, the format you can staff, and the states you will occupy. Grocery Store Business Broker is the grocery practice of HedgeStone Business Advisors, led by Jason Taken. Jason also sees grocery files through Jaken Finance Group, which is how a DSCR conversation stays honest before anyone asks to “just see what’s out there.”

The buyer hub is the method. How it works is the map after you are under NDA. This page is the relationship: what you bring, what Jason reviews, when a tour is earned, and when the honest answer is to walk. Email jason.taken@hedgestone.com is published on the about page. The call is how a file starts.

What you bring so a grocery file can open

Qualified on this side of the table is not a personality. It is proof of funds, a format you can staff, and a geography you will occupy. Grocery or other perishable hours help. Language on the floor is an operating requirement on ethnic files. Hours you will actually work are an operating requirement on neighborhood and rural files. Buying as a first-time owner is honest about the gap if you do not have those hours.

Bring a cash-to-close number, not a down-payment slogan. How much money you need is the stack: equity, inventory at cost, working capital, SNAP lag. The cash-to-close estimator exists so the first call is not a surprise. FMI’s 2.1 percent average net profit for food retailers in 2025 is why a thin reserve is a deal problem, not a lifestyle choice.

Name the format. An independent supermarket is a different file from a neighborhood grocery or a specialty market. Hispanic and Asian files fail when the buyer cannot staff the counter. Buying an ethnic market outside your community is the question to finish before you ask Jason to open one. Rural can be a good living and a difficult loan. Say which problem you came to solve.

State pages exist because wage, food tax, and alcohol differ. If you already know the state, start at California, Texas, or New York and bring that context to the call. Metro pages such as Los Angeles and Dallas–Fort Worth are trade-area teaching. They are not a menu of live listings.

NDA, CIM, and why the tour is the last thing you earn

Employees learn from vendors and shoppers. Confidentiality is a process, not a speech. A buyer who wants to “pop in as a customer and look around” before an NDA is asking the seller to donate the staff. Sign the NDA. Then read the CIM. How to read a CIM is the annotation method: every paragraph is a claim.

Weekly sales without scan data is a claim. “Shrink is fine” without counts is a claim. “The lease is no problem” without an abstract is a claim. Ask for sales-tax filings, wholesaler statements, and EBT deposits that tell one story. Read verifying sales with scan data. Recasting a grocery P&L happens before the tour, not in the parking lot.

BizBuySell grocery and supermarket businesses sold in 2025 printed a 3.38 average earnings multiple and a 1.60–3.15 interquartile range on the 2021–2025 sold sample. Those are national listing-site figures. They are not Jason’s quote on this file and they are not chain M&A. The valuation hub is the method. The multiples report is the sourced sample. A broker who leads with a multiple and hides the lease is selling a brochure.

How to buy a grocery store step by step puts the tour at the end of the sequence on purpose. You tour to confirm the box matches the paper — receiving, refrigeration, the cut room, the stockroom you will count. You do not tour to decide whether you like the paint. Surviving due diligence is the calendar after the LOI.

How Jason is paid and what that does to the conversation

How brokers get paid is the fee essay. Seller-side representation is typically paid from the seller’s proceeds at close. That incentive is why a serious buyer still has to do their own recast. Jason Taken would rather send you back to the workbook than walk a seller through a tourist. If a file is not a fit — capital, format, geography, or a week that will not prove — say so early. A dead tour helps no one.

Jason Taken and HedgeStone are not licensed business brokers in every state. If the sale includes the building, you need a real-estate licensee in that state. Check the current rule for how your deal is set up. The about page is the relationship in shorter form. This page is the buyer-side FAQ in full.

Counsel and a CPA sign the opinions. A broker is not your attorney and is not your lender. Working with attorneys and CPAs exists because grocery has SNAP, alcohol, and inventory night. Bring advisors who have closed a food-retail file. SBA 7(a) can finance a change of ownership; the published maximum is $5 million. Inventory treatment and equity injection are deal-specific. Do not ask Jason to invent SOP line items.

Site FAQ covers short questions. Comparing offers means cash at close, note terms, inventory treatment, and license risk — not the headline price a portal printed. A broker who only talks headline price is not doing grocery work.

When the honest answer is to walk

Jason would rather tell you to walk than let you write earnest money on a story. Red flags that should kill a grocery deal include scan, tax, and EBT that disagree; an oral lease; unreported cash; a wholesaler over-advance you cannot assume; and a SNAP-heavy mix with no compliance history. USDA FNS: SNAP authorization does not transfer. A broker cannot “handle the permit” onto your name.

A food-desert speech without a lease and without sales proof is a donation. Read buying in a food desert. A distressed box still has a lease and a stockroom — buying a distressed store. Conversion fantasies need a lease that allows them — buying and converting. If you cannot staff the language, the ethnic file is a shrink plan.

Unreported cash does not survive SBA. It also does not survive a serious conventional buyer. If the seller wants you to “understand the real numbers,” the real numbers are not on the tax return, and the loan will not either. Selling a store with unreported cash is the seller-side essay. On the buyer side, walk.

A CIM that omits the lease abstract is a brochure. Remaining term under twenty-four months with no options is a price cut. Related-party rent that juiced SDE will reverse on day one. Run the rent-as-percent-of-sales checker. Read lease diligence. Jason will raise those issues. You still have to decide.

After you are under NDA: files, paper, and the LOI

Once the NDA is signed, the work is a recast, a license list, and a cash-to-close sheet. Print the closing and license checklist. Alcohol is a class, a quota, or a control-state product — NABCA lists 17 control states plus local-control pockets. Read alcohol regime. WIC is a vendor file. Lottery is often personal. Tobacco sits with tax and health agencies. Write license outs into the LOI. The LOI terms that matter for buyers are inventory rules, license outs, lease assignment, and transition hours.

Asset purchase agreement essentials is where the real store lives: contracts, equipment, excluded assets. Most grocery files close as asset sales. You are not buying the seller’s SNAP permit. Tax clearance belongs in escrow language.

A seller note on standby is common behind a senior loan. Read the standby. Buying with seller financing is the buyer essay. Jason can explain what the paper usually does. Your lender still has to accept it.

Post-close questions — the first 90 days, vendor trust, mix you do not reset — live on the post-closing 90-day plan and transition and training periods. Ask them before close, while the seller still has a reason to teach.

FMI’s $668,377 average weekly sales per supermarket in 2025 and $19.59 weekly sales per selling square foot in 2025 are channel benchmarks. They are useful context on a call. They are dangerous as a quote you carry into an offer. Your file lives in scan, tax, EBT, and the wholesaler. Evaluating a store’s P&L and anatomy of a grocery P&L are the department-level read.

How to value a grocery store is the long method if the only number you brought is a multiple. Competition and trade-area math is how you stop using a ZIP-code story as diligence. Tools — valuation calculator, DSCR calculator — are teaching tools. They do not replace a booked conversation.

The first call has a shape. Jason will ask what format you can staff, which states you will occupy, and what cash you can document when inventory and SNAP lag sit beside equity. Have those answers. Then he will ask about perishable hours — yours or a partner’s. Then he will tell you whether a file in that lane is worth an NDA. That is the work. It is not a catalog browse.

After the LOI, the broker’s job is to keep the calendar honest: lease abstract, license outs, count rules, and a seller who is still answering. Your job is the recast and the lender. Surviving due diligence is that calendar. The LOI terms that matter for buyers should already have the outs. If a seller stalls scan exports or the landlord call, say so early. A dead file in week three is cheaper than a dead tour in week one only if you stop.

Preparing three years of financials is what a serious seller should have ready. Ask for it. SDE versus EBITDA is the translation when the CIM and the lender use different words. Due diligence on grocery includes the cold chain. Walk the compressor room after the paper stands.

What Jason will not do is invent a local sold-comp set or a state store count. The research pack leaves CBP and SNAP-count fields unused when they are null. National sourced figures — FMI channel facts, BizBuySell’s 3.38 2025 grocery sold-sample earnings multiple, SBA’s published $5 million 7(a) maximum, USDA FNS on SNAP — are the numbers on the table. Your file still has to prove its own week.

If you already have counsel, bring them after the recast, not instead of it. If you already have a lender, bring the recast to that lender with grocery hours on the resume. Jason can sit in that conversation. He cannot be your operator.

Downloads hold the workbook and the license checklist. Mark them before the call. About is the shorter relationship page. Bring both to the intro so the first conversation is a file, not a tour of the site.

When the workbook is marked and you can name format, geography, and capital, schedule the buyer strategy call. That is how you reach Jason. Bring the criteria. That is enough to start looking at real files.

Worked math for Buyer questions about working with a grocery broker

Use this napkin recast on Buyer questions about working with a grocery broker when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15.

Input or output Illustrative figure
Weekly sales (illustrative) $92,000
Annual sales $4,784,000
Recast SDE $224,848 (4.7% of sales)
Inventory at cost $398,667 (~12 turns)
Occupancy check $148,304 / year (3.1% of sales)
Low going-concern $814,636 at 1.85x SDE + inventory
High going-concern $1,106,938 at 3.15x SDE + inventory
Sketch DSCR on a note 1.43

Rent at 3.1% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.

Bring proof of funds or a lender pre-screen, your format, and geography. Jason will tell you whether a store like this can clear SBA or seller-carry math.

Download the worksheets, then book the call

Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.

What to bring to the call

Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.

Book the buyer call with this capital picture

Underwrite the deal before you fall in love with the store

Scan data, SNAP mix, rent-to-sales, and DSCR. If those four do not clear, the CIM photos do not matter.

Frequently asked questions about Buyer questions about working with a grocery broker

Do you send a listings board after I email?

Bring search criteria to a booked intro: format, geography, and documented capital. Files open after an NDA, not after a browsing request.

Who pays the broker on a grocery deal?

Seller-side representation is typically paid from the seller’s proceeds at close. Read how brokers get paid. Buyer work still starts with your criteria and your proof of funds.

When do I see the store?

After the NDA, the CIM, and a recast that still stands. Tours are last so employees and vendors do not learn from a tourist.

Does SNAP transfer if the broker handles licenses?

No. USDA FNS: SNAP authorization does not transfer. A broker does not change that federal rule.

How do I start?

Mark the buyer workbook, then book a confidential intro with proof of funds and the states you will occupy.
