Selling a Distressed or Declining Grocery

Book a confidential intro

Last updated 2026-09-04

A seller walking their grocery after hours.

Name the decline on one page, then decide how quiet the process has to be. Price remaining recast SDE, sellable inventory at cost, and the lease or building a buyer can actually take. Book a confidential intro with Jason Taken at Grocery Store Business Broker — HedgeStone’s grocery practice — and bring last week’s sales and the warehouse balance. A distressed grocery still has a stockroom and a door. Those are what sell. The novel about who will fix the week does not.

FMI published $1 trillion in 2025 supermarket sales and a 2.1 percent average net profit for food retailers in its Speaks sample. Those figures describe a channel that is still ringing. They do not describe your trailing year. The $668,377 average weekly sales per supermarket in 2025 and $19.59 weekly sales per square foot are supermarket-sample numbers. Do not paste them into a CIM to hide a slide. Start at the seller hub for the ordinary sequence. This page is the file that is already weaker than it was.

Put the slide on paper before anyone else does

Buyers will export scan data, match EBT deposits, and read the wholesaler statements. If the CIM pretends the peak year is the run-rate, the recast dies in week two and so does confidentiality. Download the Confidential Seller Playbook. Circle the hole. Read preparing three years of financials and how to read a CIM so you know what they will mark.

Suppose a normal week now rings $36,800 and rang $49,500 two years ago. Annualized sales on the current week are $1,913,600. If recast SDE after you put owner pay back and leave produce dumpage in the P&L is 3.9 percent of those sales, SDE is $74,630. That is a teaching walk, not a quote. That is the earnings a buyer can finance. The $49,500 week is history. It can explain why the equipment is still here. It cannot set the multiple.

Mark the SDE worksheet. Read recasting a grocery P&L. Add-backs that repeat every year are the business. A “reset” you have taken every spring is shrink. Department mix that admits meat and produce can sink a “healthy” storewide number. See shrink, margin, and turns.

The buyer-side twin is buying a distressed grocery. Read it so you know the recast they will run. Then stay on this page and decide whether you will meet that recast or fight it.

Recast without writing a recovery into the CIM

Owner pay, a personal auto, and a one-time legal bill can move SDE. Recurring shrink, couponing, and family payroll cannot. Wholesaler over-advances are debt. They are not an add-back. If the warehouse is already carrying next month’s load, put the balance on the first diligence list. See the wholesaler directory and wholesaler and banner agreements.

Food-desert rhetoric does not replace that recast. If the story is “this town needs a store,” read buying in a food desert so you know what a mission buyer will still demand. The Healthy Food Financing Initiative and state healthy-food programs change by notice. Do not quote a dollar cap. Do not treat a hoped-for award as a price.

Unreported cash will not survive SBA 7(a) or a serious conventional buyer. If the living only works on cash the returns do not show, read selling with unreported cash and decide whether you have a file. Soft language with a manager or a cousin still needs a real price and a real note. See selling to family or an employee. Soft language creates hard lawsuits.

FMI’s 2.1 percent net is a food-retailer average. Independent 1–3 percent net talk is a commonly cited working range, not an official NGA independents table in this pack. A declining box can still be a living and a difficult loan. Those are different questions you should say out loud on the intro.

Inventory quality when turns have slowed

Grocery custom is a third-party count at cost, usually FIFO, paid in addition to goodwill and fixtures. Slow turns mean dated product and a 2 a.m. fight if you have not written the unsellable rules. Short-code perishable, swollen cans, and yellowed bags are not “working capital.” They are a credit the buyer will take. Read how inventory is counted and closing-day count procedures. Write the rules into the LOI. See LOI terms for sellers.

Turns are not one number. Center store and a two-door wine case do not share a clock. A salvage or closeout mix is a different format — sell a discount salvage grocery — with opportunistic supply. This page is a going concern that is weaker, not a lot-purchase storefront.

Print the closing and license checklist. Circle count night and the license list. WIC is a vendor file, not a sticker. Lottery contracts are often personal. Tobacco sits with tax and health agencies. Alcohol is a class, a quota, or a control-state product. NABCA lists 17 control states. Promise none of those as if they ride along automatically.

Landlord, warehouse, and the clocks you are already missing

Lease remaining term under 24 months without options is a price cut, not a footnote. Assignment, exclusive use, and CAM true-ups still apply when the week is down. A landlord would rather assign a going concern than a dark box. That is a reason to sell now, not a reason to hide the slide. Read lease diligence and can I sell if my lease is ending.

If you own the dirt, recast the store on market rent and price the building as a second asset. Related-party gift rent juiced the earnings and will reverse for the buyer. See selling with a lease versus real estate and sell a grocery with real estate. This pack does not quote a cap rate.

USDA FNS: SNAP retailer authorization does not transfer. The new owner files a new application and may not use your permit. In a declining store, EBT may be a larger share of a smaller week. Budget that gap in the story you tell the buyer and the landlord. Match EBT settlements to the P&L before you send the CIM. Read what happens to SNAP when you sell.

DSD vendors keep delivering after a sloppy close only if someone is paying them. Put those accounts on an APA schedule. A route that has already thinned is information. Empty doors are not a merchandising choice you can recast away.

Tax clearance belongs in escrow language. See state bulk-sales notes. Most independents close as asset sales. Read asset sale versus stock sale and APA essentials. Holdbacks exist because grocery has shrink and successor tax risk. Earn-outs that pay you for a recovery the buyer controls after Monday are a poor fit. If you want a note, say so. If you want a novel, you will wait.

Who still buys a weaker week

Local managers. Adjacent-town independents adding a box. Operators who already know how to cut labor and reset a perimeter. Mission-driven or HFFI-oriented buyers who still need a P&L. That list is shorter than the list for a clean supermarket. A blind teaser still matters. The meat cutter and the route driver talk.

SBA 7(a) can finance a change of ownership. The published maximum is $5 million. Declining files often sit under that ceiling and still fail experience or repayment tests. Seller notes are common for that reason. Read seller financing and the standby if a note will sit behind 7(a). DSCR is annual cash flow over annual debt service. A buyer who cannot service the note on the current week is not a close.

BizBuySell grocery and supermarket sold businesses: 3.38 average earnings multiple in 2025; 2.66 five-year average; IQR 1.60–3.15 for 2021–2025; 0.43 average revenue multiple on the 2025 sold sample. Those figures are a national listing-site sample, not a distressed-only table and not chain M&A. A declining file usually sits toward the low end of that IQR. This pack does not invent a distressed multiple. Revenue multiples hide rent and labor. Use them to sanity-check, then return to SDE. See the valuation hub and how to value a grocery store.

Compare offers on cash at close, note terms, inventory treatment, and license risk — not the headline. Read comparing offers. A higher price that cannot fund SNAP downtime or assume the lease is a brochure.

Rural one-store towns have a thinner pool still. Read sell a rural grocery. A neighborhood box in a city is a different file — sell a neighborhood grocery. Do not paste this page onto those URLs.

Stay quiet while there is still a week

Employees learn from vendors and shoppers. Confidentiality is a process, not a speech. Read how to sell a grocery confidentially. Sequence the warehouse and the landlord after an NDA and a serious buyer. A vestibule sign is how you empty the stockroom before you have a bid.

Transition hours are a close condition when you are also the only cutter. Write the hours you will actually work. See transition and training. Non-competes have to be enforceable in the state and narrow enough to keep. A covenant that covers three counties will not hold. Read non-competes and confidentiality.

WARN and UFCW contracts are calendar items on larger headcount files. Most single-store independents are not WARN-covered. Confirm headcount before you ignore it. See handling employees. Minimum wage still belongs in the recast you show a buyer — state-by-state minimum wage.

Counsel who have never closed grocery will rediscover SNAP in week six. Send them working with attorneys and CPAs. Taxes on an asset sale are allocation. Start at taxes on selling a grocery store. This is not legal or tax advice.

A CIM that omits the lease abstract and the warehouse balance is a brochure. You want three years of financials, weekly sales that admit the slide, department mix, EBT settlements, a license list, and an honest inventory estimate at cost. Read red flags so you know what will kill the deal if you hide it. Read common reasons grocery sales fall apart and surviving due diligence.

Mark the playbook and book the hour

Say what you want after close: cash, a note the next operator can service, the building, or a part-time job in the case. Then say what you do not have: scan data, a written warehouse contract, or a SNAP history. Missing paper is not a moral failure. Hiding the slide is how the hour dies.

Bring the downloads you marked. Bring the wholesaler page with the balance circled. Bring the lease with remaining term highlighted. The valuation calculator lets a buyer change inputs. It will not invent a recovery multiple for you.

If the week is still sliding while you assemble the file, date the weekly sales on the teaser. A buyer who discovers a newer, weaker month in diligence will reopen price. An honest trailing line is faster than a surprise. See the timeline to sell so you know how long license clocks usually take once a bid is real.

Jason Taken will recast a distressed grocery in this order: the week you can prove, SDE a lender will believe, inventory quality, then landlord and SNAP clocks. The twin buyer page is buying a distressed grocery. See how it works and the FAQ.

Book a confidential intro. Bring last week’s sales if that is all you have. A declining store still sells on a file. That is a useful hour while vendors still stop at the back door.

How a buyer would price Selling a Distressed or Declining Grocery

Use this napkin recast on Selling a Distressed or Declining Grocery when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15.

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.

Frequently asked questions about Selling a Distressed or Declining Grocery

Can I wait until the warehouse cuts me off?

You can. The buyer pool shrinks and the lease conversation gets harder. Price the remaining week while vendors still deliver and the landlord still has a going concern to assign.

Will a buyer pay me for the turnaround they will run?

No. They will recast the trailing year you can prove. BizBuySell’s grocery sample averaged a 3.38 earnings multiple in 2025, with a 1.60–3.15 IQR for 2021–2025. Declining files usually sit toward the low end of that listing-site sample.

Should I put a vestibule sign up?

No. Employees learn from vendors and shoppers. A blind teaser and an NDA still matter when the week is down. A sign empties the stockroom before you have a bid.

Does SNAP stay with the store so I can promise EBT on Tuesday?

No. USDA FNS: the new owner files a new application and may not use your permit. Write that clock into the LOI so the bid is honest.

What do I bring to the intro?

Last week’s sales, the warehouse balance, and the remaining lease term. Mark the seller playbook, then book a confidential intro.
