Is Virginia grocery tax zero everywhere after 2023?
The state grocery tax ended January 1, 2023. Localities may still impose a 1% local option. Confirm Virginia Tax guidance and the specific locality before coding the POS.

Pick the corridor before you pick the multiple. An Annandale Korean or Vietnamese independent beside Eden Center does not share a week with a Hampton Roads Filipino box timed to ship schedules, a Richmond neighborhood store, or a Roanoke rural independent. Book a confidential intro with the corridor you will occupy, the lease abstract, and thirteen weeks of departmental sales—not a Commonwealth slogan. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — underwrites Virginia as a NoVA-versus-Tidewater occupancy collision, a local food-tax coding problem, and a Virginia ABC spirits wall. Email jason.taken@hedgestone.com when that stack is under NDA.
Northern Virginia is a high-occupancy map. Korean, Vietnamese, and other international independents cluster on Annandale corridors and around Eden Center. Specialty dry goods, produce, and prepared foods can carry margin a conventional southwest aisle never sees—and they demand cutters and receivers a seventy-hour owner cannot replace with hope. Language on the floor, brand lists, and evening family traffic are the week—not a Fairfax County slogan. Rent-as-percent-of-sales assumptions that work in Roanoke fail here. Drive parking, evening traffic, and co-tenancy with other ethnic retailers; a landlord plan that clears that mix is a price event. If the center’s other tenants are the trip generators, underwrite the risk that a redevelopment clears them.
Hampton Roads / Virginia Beach–Norfolk mixes military timing with Hispanic and Filipino independents. Pay weeks and deployment cycles move the basket. Underwrite the quiet week after a large ship leaves, not only the payday surge. PCS seasons can reshuffle neighborhood demand in ways a trailing-twelve averages away—ask for sales by week around known deployment windows when the seller will share them. Richmond is neighborhood independents and food-access sites—different mix, different night. Roanoke and southwest Virginia run smaller metros and rural independents where wholesaler terms often dominate value. Four corridors. Four files. Force the week into the corridor you are buying with the Buyer Underwriting Workbook.
Commonwealth scale—not a listings board: Vintage 2024 population 8,811,195 (July 1, 2024); County Business Patterns 2023 1,483 NAICS 445110 establishments, all legal forms. SNAP retailer counts stay null. FNS authorization does not transfer with the keys. Sequence: how to buy a grocery store step by step. Hub: buy a grocery store. Owner twin: sell a grocery in Virginia.
Virginia eliminated the state grocery tax beginning January 1, 2023. Local governments may still impose a 1% local option on groceries. Confirm Virginia Tax food guidance and the locality on the closing date. Prepared food and aisle grocery can still diverge under local rules. A Fairfax coding story is not a southwest county coding story—pull the locality. If the seller’s P&L was built while the state grocery tax still applied, do not treat pre-2023 remittance patterns as the post-close register truth. Tax returns help corroborate sales; they do not replace department scan data. Ask counsel about Virginia Tax clearance or successor-liability holdback on the asset sale. Repealed UCC Article 6 elsewhere does not erase Virginia sales-tax successor risk. See state grocery sales tax and bulk sales and tax clearance. Mis-coded prepared food can inflate “sales” a lender will haircut—fix the taxonomy before arguing multiples.
NoVA international prepared-food programs can be a large share of tickets. Get the local option right on those departments or you will misstate both remittance and margin when you recast.
Kroger banners, Food Lion (Ahold Delhaize), Giant Food (Ahold Delhaize), and Publix shape street price perception. Treat them as competitive pressure, not sold comps. C&S Wholesale Grocers, UNFI, and Associated Wholesale Grocers (AWG) terms travel with the buyer: drop minimums, over-advances, and personal guarantees. Read the warehouse letter before you argue a trophy multiple. Walk or price the payoff if you cannot assume the stack. A NoVA international independent may lean on specialty UNFI lines a Roanoke conventional box never orders—ask which truck prints the week. Richmond neighborhood files sometimes split between a primary C&S or AWG drop and a specialty UNFI trailer; know which departments die if either truck slips.
Count inventory at cost at close; retail tags are not cost. Hold back unsellable specialty SKUs on international corridors when the next operator will not turn them. Procedures: closing-day inventory count procedures. Working capital must fund the next C&S, UNFI, or AWG load while a new FNS application is pending. Over-advances sit as debt beside the acquisition note. Tidewater payday inventory builds that sit through a quiet deployment week are a cash trap—size working capital for the trough, not the surge.
Virginia Alcoholic Beverage Control Authority is a NABCA control-state agency. Beer and wine in grocery are common with the correct license. Spirits sell in Virginia ABC stores. Do not model a grocery spirits aisle because an ABC store sits in the same center. Incoming beer-wine privilege is not automatic with the keys. Ask whether package volume depends on a neighboring dry pocket or military base traffic that can move without warning. Park lag until ABC and local authority accept the incoming licensee inside DSCR. National worksheet: liquor license due diligence. Virginia’s addition is the spirits split. Treat ABC proximity as package competition, not grocery spirits entitlement.
On Hampton Roads corridors, base access rules and off-base shopping patterns can move beer-wine weeks when a carrier group deploys. On NoVA corridors, ABC store siting is competitive weather for package—still not a grocery spirits aisle. Keep those distinctions in the underwriting memo so a CIM that capitalizes “package” does not overstate what the grocery can keep.
DOL’s July 1, 2026 consolidated table lists Virginia at $12.77. NoVA market wages often run well above the table—restaurant and retail competition for bilingual front-end and specialty cutters can move the offer you must make. Recast meat, produce, and front end on the crew you will hire—especially where specialty cutters carry international mix. A Tidewater night crew that turns with ship schedules is not a Roanoke rural box with one long-tenured cutter. Confirm Virginia DOLI posters. Model overtime honestly on payday weeks in Hampton Roads; understating hours to clear DSCR is fiction a bank deposit test will catch.
Rebuild earnings with recasting a grocery P&L: replace unpaid owner hours, reverse related-party rent that disappears Monday, leave recurring shrink in earnings, and tie weekly sales to scan and EBT deposits. Demand thirteen months of departmental sales so military pay cycles and NoVA evening baskets stay visible. Run the SBA 7(a) payment and DSCR calculator after unpaid seller weeks are gone. Fold ABC beer-wine lag and local food-tax coding into the same calendar. A southwest low-rent note can still fail in NoVA if occupancy never entered coverage. Definition: what is DSCR for a grocery acquisition. Method: grocery store valuation.
Most independents lease. Build occupancy from base rent, CAM, taxes, and insurance you actually pay, divided by proven sales. Use the rent-as-percent-of-sales checker on the data-room lease. This pack attaches no public Virginia grocery rent-per-foot table—NoVA and Roanoke do not share one market anyway. Short remaining term without options is a price cut. Exclusive-use and co-tenancy language that collapses when a club format arrives belongs in the memo. Start lease due diligence and lease assignment early. Seller-owned buildings: recast ops on market rent and price realty separately—buying a store with real estate. A Richmond neighborhood landlord personality is not a Hampton Roads military-adjacent strip and not a southwest rural box. Federal HFFI and local food-access programs may touch Richmond or Hampton Roads tracts—verify notices; do not invent grant dollars for purchase-price math.
NoVA international centers can carry parking and signage rules that constrain evening traffic—the hours that often print specialty volume. Hampton Roads strips near bases can look full on payday Friday and empty mid-cycle; occupancy coverage must clear on the quiet week. Roanoke rural boxes more often fail on warehouse minimums than on rent-per-foot slogans—read the C&S, UNFI, or AWG letter first.
Retail food sits with Virginia Department of Agriculture and Consumer Services and local health desks. Fairfax paper does not close Norfolk or Roanoke. Last year’s inspection is not your permit. WIC sits with Virginia Department of Health — WIC. Virginia Lottery must re-paper when tickets are on the counter. Tobacco routes through Virginia Tax and ABC as applicable. Desk map: closing and license checklist. Annandale international prepared-food programs and Tidewater seafood cases can trigger different local health attention—call the desk that actually inspects before you treat a seller’s “clean file” as transferable.
USDA FNS: SNAP authorization does not transfer. File a new retailer application. “SNAP included” teasers are wrong. Do not invent a Virginia SNAP-retailer headcount. Put EBT / SNAP diligence on the LOI calendar. When EBT is material, fund payroll, rent, and the next warehouse drop as working capital while the FNS file is pending—see how much working capital do I need.
SBA 7(a) can finance ownership change. The published program maximum is $5 million—statutory loan-size maximum, not a target ask on an Annandale independent or a Roanoke rural box. Eligibility still lives in recast SDE, believable hours, inventory at cost, and a dated SNAP plan. No invented SOP equity-injection percents. NoVA occupancy and banner pressure keep many Virginia independents well below that maximum. Assemble equity, inventory at cost, working capital, closing costs, and FNS-gap reserve. Tools: cash-to-close estimator and how much money you need.
Lenders who shop Kroger or Food Lion will want department scan and EBT deposits that reconcile to the bank. Use verifying sales with scan data and evaluating a store’s P&L. Walk when cash never hits the bank. Kill-list: red flags that should kill a grocery deal.
Name transition hours in the APA when international mix depends on named people—transition periods and handling employees, union contracts, and WARN. First ninety days: post-closing 90-day plan. Date the corridor, ABC beer-wine class, local food-tax option, and health desk beside SNAP. After NDA: surviving due diligence.
Annandale and Eden Center files often turn on whether the incoming buyer keeps the specialty brand list and the bilingual front end that carries evening traffic. Hampton Roads files often turn on whether payroll and inventory levels survive the quiet week after a deployment—not the payday surge the CIM highlights. Write those corridor-specific risks into the LOI so diligence has a date, not a slogan.
Book a confidential intro with the corridor map, the lease, three years of returns, the ABC privilege class, the wholesaler letter, and an honest note on who runs meat. Jason will say whether the recast covers debt service and which Virginia desk still has to move.
These figures are a teaching walk-through for Buy a Virginia grocery when Annandale occupancy and Tidewater pay weeks collide, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.
| Input or output | Illustrative figure |
|---|---|
| Weekly sales (illustrative) | $92,000 |

| Recast SDE | $172,224 (3.6% of sales) |
| Inventory at cost | $341,714 (~14 turns) |
| Occupancy check | $148,304 / year (3.1% of sales) |
| Low going-concern | $634,495 at 1.70x SDE + inventory |
| High going-concern | $806,719 at 2.70x SDE + inventory |

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.
Bring proof of funds or a lender pre-screen, your format, and geography. Jason will tell you whether a store like this can clear SBA or seller-carry math.
Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.
Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.
Underwrite the deal before you fall in love with the store
Scan data, SNAP mix, rent-to-sales, and DSCR. If those four do not clear, the CIM photos do not matter.
