Can local option stop an AMCO transfer?
Yes. Wet, damp, and dry local option can bar alcohol entirely. AMCO must still approve the ownership change. Verify the community before you write a privilege into the CIM.

Alaska grocery deals fail when buyers treat the Bowl like a Lower 48 suburban strip and ignore barge calendars, local option, and borough tax. The week in Anchorage does not underwrite like Fairbanks, and Southeast ferry schedules change what “in stock” means. If you own the store, recast the P&L and keep the sale confidential so the dock grapevine does not outrun diligence. Book a confidential intro to put AMCO, DEC, and landlord consent on one timeline. Email jason.taken@hedgestone.com when you want that hour reserved.
Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — works both sides. Buyers still mapping the state should read buy a grocery store in Alaska. This page is the seller brief: how local option, sanitation, and long supply lines change a quiet exit.
Census County Business Patterns 2023 counts 210 NAICS 445110 establishments in Alaska. Census Vintage 2024 estimates 740,133 residents as of July 1, 2024. Two hundred ten boxes is a thin statewide industry, not a listings board. SDE from this recast is what a serious buyer underwrites—not a channel slogan from the Lower 48.
The alcohol desk is the Alaska Alcohol and Marijuana Control Office. NABCA notes that some Alaska jurisdictions adopted control-model features. Statewide grocery wine is not automatic; local option and package-store rules dominate. Spirits are not generally treated as a grocery set on national grocery-spirits lists. Wet, damp, and dry local option can bar alcohol entirely. AMCO must approve the ownership change; a transfer that would be routine in the Lower 48 can still die on a dry community map. Verify the borough and community before the CIM treats alcohol as cash flow. Liquor license due diligence is the longer note.
Retail food sits with the Alaska Department of Environmental Conservation, Food Safety and Sanitation. Call the desk that holds the current permit. Tobacco and related licensing can touch Department of Revenue and AMCO depending on the file. Alaska does not operate a traditional state lottery as of this research date—do not invent lottery as a deal item. WIC sits with the Alaska Department of Health — WIC. Write the sanitation jurisdiction after NDA; keep the blind teaser regional so it does not name the only box on a ferry run.
Alaska has no state sales tax. Some boroughs and cities levy local sales taxes that can apply to groceries. Confirm the municipality on this address and show remittance for this register. A buyer who models “Alaska = no tax” without checking the borough will mis-price prepared food and taxable merchandise.
Confirm any Department of Revenue business-tax clearance on an asset sale even when statewide sales tax is absent. Other taxes and successor practices can still apply. Counsel should confirm the current notice and any escrow holdback before closing.
The U.S. Department of Labor WHD table effective July 1, 2026 lists Alaska at $14.00. Recast labor on what this store pays. Confirm Alaska Wage and Hour posters. A Mat-Su crew already above $14.00 should not be modeled as if the next operator can cut to the floor overnight.
Counsel and a CPA first. Then a blind teaser that names a part of Alaska, a format, and inventory counted at cost—not the only independent on that stretch. NDA follows. The CIM carries departmental sales, the lease abstract, AMCO status, and local-option notes. Managers hear when assignment or transition hours need them. A vestibule sign on a tight Bowl corridor teaches the street early.
Recast owner compensation, documented one-time repairs, and personal items. Take related-party rent to market if the next operator will pay a third-party landlord. Reject a standing inventory adjustment as an add-back. Preparing three years of financials and verifying sales with scan data tie the week to filings. Inventory is counted at cost at close; how inventory is counted at closing is the procedure. Department the room. Hold back unsellable. Over-advanced warehouse product is debt.
Federal SNAP authorization does not transfer with ownership. USDA FNS requires a new retailer application. Bush and neighborhood boxes with a material EBT share need cash for the authorization gap. Write the filing into the LOI. This research pack left SNAP retailer counts null. What happens to SNAP authorization when you sell is the federal rule. Rural food-access programs exist in various federal notices—verify any specific program rather than inventing a subsidy dollar.
Anchorage Bowl independents that survive Carrs-Safeway and Fred Meyer pressure usually win on hours, specialty SKUs, or a stretch the banners left thin—not on matching banner labor schedules. Mat-Su growth can look strong until freight cost and labor at or above $14.00 are modeled honestly. Southeast ferry schedules change what “in stock” means for produce and dairy; underwrite outs and substitutions as part of the week, not as one-time noise. Fairbanks military and university demand does not erase Interior lead times. Write those logistics into the CIM after NDA so a Lower 48 buyer does not invent a mainland delivery calendar.
The Anchorage Bowl is the primary independent and banner market. Mat-Su / Wasilla–Palmer is a fast-growing commuter trade area with different hours than downtown Bowl boxes. Fairbanks and the Interior lean on military and university demand with long supply lines. Southeast—Juneau, Ketchikan, and ferry-dependent communities—is a logistics file as much as a merchandising file. Those are qualitative notes from the research pack. Do not invent metro population percentages or asking rents; grocery-relevant rent fields remain null here.
A buyer who wants “an Alaska grocery” without naming the stretch is not underwriting. A Southeast barge-dependent independent is a different week from a Mat-Su suburban box. Underwrite shrink, remaining lease term, and how freight lands on the P&L. Buying an ethnic market outside your community still applies when the mix is community-specific.
Carrs-Safeway (Albertsons Cos.), Fred Meyer (Kroger), and Three Bears Alaska are competitive context. Walk the set. See what they take and what they leave. Then return to this scan file and this lease. A banner multiple does not travel onto a ferry-run independent. An independent that tries to match banner labor schedules on a thin week will donate margin.
UNFI and C&S Wholesale Grocers appear in the research pack as named wholesalers. Wholesaler consent is a third calendar, especially when lead times are measured in barge weeks. Wholesaler and banner agreements when you sell is the longer note. Write who will stand the store into the CIM.
Occupancy is rent—base, CAM, tax, insurance—divided by this store’s sales. Pull both from the lease and the P&L. No invented dollar-per-square-foot rent belongs here. National listing-site multiples are method context only; they are not an Alaska sold-comp. Use the valuation hub and how to value a grocery store to argue from recast earnings on this file.
Lease due diligence covers assignment, remaining term, options, co-tenancy, and use. A landlord who rewrites rent as the price of consent changes SDE. If the seller owns the building, recast the store on a defendable market rent and price real estate separately. Selling with a lease versus real estate keeps the piles apart.
Debt financing still wants a lease the landlord will assign and a SNAP path the buyer can file. SBA 7(a) for grocery acquisitions is useful only when the week can carry the note—freight and seasonal volume can break a story that looks fine on a Lower 48 spreadsheet.
Date AMCO approval, DEC sanitation transfer, SNAP filing, and landlord consent as separate LOI steps. Protect those clocks in the seller LOI priorities. Training hours after close keep a Southeast mix alive—write them with transition planning language. Apply employee transition guidance when those rules apply. Write who opens and who receives freight into the LOI if those people are the recast.
Alaska diligence fights start with freight and local option, not with a national supermarket average. A Mat-Su suburban week can look familiar to a Lower 48 buyer until the first barge delay hits the P&L. A Southeast ferry-dependent independent can show strong summer weeks and thin winter weeks that a Bowl model will miss. Fairbanks Interior supply lines punish buyers who underwrite as if Anchorage trucks arrive daily. Ask for freight notes beside departmental sales. Ask how often the store substitutes, outs, and air-freights emergency SKUs.
Local option is the alcohol trap. Wet, damp, and dry maps can bar alcohol that would transfer routinely in the Lower 48. AMCO approval does not override a dry community. A CIM that treats package-store cash flow as grocery cash flow without verifying the community invents earnings. Price any privilege friction separately. Do not assume grocery wine is statewide.
Borough and city sales taxes can apply to groceries even though Alaska has no state sales tax. Anchorage, Mat-Su, and Southeast municipalities are not interchangeable remittance stories. Show what this register remits. Department of Revenue business-tax clearance can still matter on an asset sale when sales tax is absent—confirm with counsel.
Labor at the WHD $14.00 floor (effective July 1, 2026) is a floor, not a forecast. Many Bowl and Mat-Su crews already sit above it. Recast on actual wages and Alaska Wage and Hour posters. A buyer who “normalizes” down invents SDE.
Three Bears Alaska, Carrs-Safeway, and Fred Meyer shape what independents can keep. Walk their sets in the Bowl, then return to this scan file. A banner multiple does not travel onto a ferry-run independent. UNFI and C&S consent clocks matter more when lead times are measured in barge weeks—schedule them early.
Rural food-access programs exist in various federal notices. Verify any specific program before writing a subsidy into the CIM. Do not invent a dollar figure for marketing. SNAP restart risk is higher when EBT is a material share of a bush or neighborhood week—plan cash for the authorization gap.
Buyers shopping an Alaska search should treat Bowl, Mat-Su, Interior, and Southeast as distinct files. This site does not publish live Alaska inventory. Ask for a full year of scan, EBT settlement, and freight notes. Confirm local option and the sanitation desk on the same address before you write the closing Tuesday.
Bring three years of P&Ls, the lease, the last DEC inspection, and the AMCO file status. Grocery Store Business Broker will not invent a grocery-density figure, a rent range, or a SNAP-retailer census. We will recast the store you run and map AMCO, DEC, SNAP, and occupancy from this lease. Book a confidential intro to start. Email jason.taken@hedgestone.com for the hour in writing. About Jason Taken is the desk. Start with the recast—not a dock rumor.
Use this napkin recast on Price the Alaska week the barge actually feeds when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.
| Input or output | Illustrative figure |
|---|---|
| Weekly sales (illustrative) | $124,000 |
| Annual sales | $6,448,000 |
| Recast SDE | $264,368 (4.1% of sales) |
| Inventory at cost | $358,222 (~18 turns) |
| Occupancy check | $161,200 / year (2.5% of sales) |
| Low going-concern | $886,958 at 2.00x SDE + inventory |
| High going-concern | $1,072,016 at 2.70x SDE + inventory |
| Sketch DSCR on a note | 1.45 |
Rent at 2.5% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.
Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.
Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.
Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.
