Is Hy-Vee a sold-comp for my Iowa independent?
Hy-Vee sets trip expectations across much of Iowa. It is competitive weather, not a sold-comp for your box.

Hy-Vee, Fareway, Aldi, and Walmart are competitive context. Des Moines is Hy-Vee’s home market. Those banners set circular pressure and price perception. They are not live listings on this page and they are not a sold-comp for your box. Do not paste a Hy-Vee circular into a CIM. Independents still take trips those banners do not want — an older neighborhood, a language mix, hours a supercenter will not staff. Teach the buyer the weather. Do not pretend you are the weather.
Name the corridor in the blind teaser. Des Moines independents often sit in older neighborhoods against that dense banner map. Cedar Rapids–Iowa City carries corridor independents and university demand. The Iowa side of the Quad Cities lives with Illinois-border trade. Rural county seats are classic single-store towns where wholesaler terms dominate value. If you run a rural small-town grocery, say so. If you run a neighborhood grocery against Fareway, say that. The twin buyer page is buy a grocery store in Iowa.
Associated Wholesale Grocers, UNFI, and C&S Wholesale Grocers are the wholesale names in the pack. Over-advances and personal guarantees travel. Rural Iowa files often live or die on whether the incoming operator can keep the book and meet drop minimums. Sequence warehouse consent after an NDA — wholesaler and banner agreements. A close that ignores the warehouse letter reopens on Monday when the next drop is due.
A county-seat independent is not a Des Moines neighborhood store with more parking. Freight, drop minimums, and a thin labor bench are the recast. If the owner has been the night crew, say so. A buyer who annualizes a university-town week onto a county seat will retrade. Thirteen-period reporting, if you have it, is kinder than a single “average week.” Shoulder months in a college town and harvest weeks in an ag town are different stories. Put both on paper with scan data that shows the shape. Verifying sales with scan data and preparing three years of financials are the stack.
Iowa generally exempts eligible food for home consumption from state sales tax. Confirm Iowa DOR food versus prepared-food definitions. A deli and hot bar can be a different tax story than center-store. State grocery sales tax is the map. Confirm Iowa DOR tax clearance and successor-liability practice. UCC Article 6 bulk-transfer statutes have been repealed in most states; that is not the same as no tax successor risk — state bulk-sales notes. Put any escrow holdback in the APA with counsel.
The U.S. Department of Labor’s July 1, 2026 consolidated table lists Iowa at the federal $7.25 floor — Iowa equals that federal minimum. Confirm Iowa Workforce Development posters. Labor in Iowa City is not labor in a county seat. Recast hours against the crew you actually run. Owner pay and a documented one-time repair can move SDE. Recurring shrink cannot. Related-party rent comes out. Print the SDE worksheet — recasting a grocery P&L.
Iowa remains a NABCA control state for spirits wholesale. NABCA lists seventeen control states. Wine and beer retail is licensed. The Iowa Alcoholic Beverages Division is now administered with Iowa Department of Revenue. Spirits are in the control system, not a typical grocery-spirits state on national grocery-spirits lists. Verify any grocery agency-store arrangement and local privilege, including Sunday hours. The state must approve beer-wine privilege transfer; spirits remain in the control system. Read control state, state alcohol regimes, and transferring your liquor license. A buyer who underwrote a California grocery-spirits aisle will mis-read every Iowa independent.
Iowa Department of Inspections, Appeals, and Licensing and local health hold retail food. The incoming operator is a new file. WIC sits with Iowa Department of Health and Human Services — WIC. Iowa Lottery re-papers the incoming operator. Tobacco sits with Iowa Department of Revenue. Print the WIC, lottery, and tobacco checklist.
USDA FNS: SNAP authorization does not transfer. The new owner files a new application. This pack does not publish an Iowa SNAP-retailer count; that field is null. Do not invent one. EBT should reconcile to the SNAP story you run — what happens to SNAP when you sell. Federal Healthy Food Financing Initiative language may apply in rural grocery-preservation deals. This pack records no dollar figure. Do not invent a grant or write one into the purchase price. Pad working capital for the EBT gap.
66** five-year average; IQR 1.60–3.15 for 2021–2025; 0.43 average revenue multiple on the 2025 sold sample. Those are national listing-site grocery bands. This page does not invent an Iowa sold-comp set or a dollar SDE band. A warehouse guarantee that will not assign, a short remaining term, or a rural labor bench sits toward the lower end of that IQR. A clean file can sit higher. Apply the bands to recast SDE after Hy-Vee weather and control-state facts are visible.
National supermarket weekly averages are channel context only — not this independent’s run rate. A county-seat independent is not that sample. DSCR still has to clear. SBA 7(a) can finance a change of ownership; the published maximum is $5 million. Unreported cash will not survive — selling with unreported cash. Use the valuation hub.
Inventory is a separate line at cost, counted at close — how inventory is counted at closing. Department the room. Hold back unsellable and harvest overstock the buyer cannot turn. The lease is occupancy. Remaining term under twenty-four months without options is a price cut — lease due diligence. If you own the building — common in older Iowa independents — price the going concern and the dirt as two assets — selling with a lease versus real estate. This pack publishes no rent-per-foot. Co-tenancy and exclusive-use clauses still matter in a center that also holds Fareway or Hy-Vee. Pull them before the LOI.
Quiet process matters in a county seat where everyone already knows who is tired. Confidential sale starts with a teaser and an NDA. Employees and vendors should not learn from a sign. Should I tell my employees is a date.
Rural Iowa value often turns on whether the incoming operator can keep the AWG, UNFI, or C&S book and meet drop minimums without the seller living in receiving. Put the guarantee and any over-advance in the LOI. A Des Moines neighborhood independent against Hy-Vee weather still needs the same warehouse discipline; the banner set is denser, not simpler. A close that ignores the warehouse letter reopens when the Monday drop still names the seller on the personal guarantee.
Owned boxes are common in older county-seat independents. Price dirt separately with a real-estate licensee. Recast the store on a market rent you can defend. This pack publishes no Des Moines or county-seat rent-per-foot. Occupancy is this lease or this owned box divided by this sales tape. Cedar Rapids–Iowa City university weeks and Quad Cities border trade do not share one occupancy story with a harvest-week county seat.
Working capital has to cover beer-wine privilege transfer, Inspections and local health, SNAP downtime, and the next warehouse drop. College-town shoulder months need cash after move-out week. Ag towns need cash when harvest volume leaves and freight minimums do not. How much working capital is the qualitative question; size it from this store’s EBT share and this warehouse book. Do not invent an Iowa working-capital dollar.
Timeline: Iowa DOR beer-wine approval, local health, tax clearance, landlord, warehouse, FNS. Spirits stay in the control system — do not put a whiskey-aisle lag on a calendar that only holds beer-wine. Timeline to sell is the worksheet. Common reasons grocery sales fall apart lists warehouse non-consent and university-week annualization near the top for Iowa files. Surviving due diligence is the seller companion.
The LOI terms that matter for sellers should freeze inventory holdback, warehouse consent, and control-state beer-wine class. Allocation on the APA is a CPA conversation — taxes on selling a grocery store. A Des Moines older-neighborhood independent and a Quad Cities border box can share a warehouse house and still need different teasers; write the corridor before you write the multiple.
Start with operators who already live with Hy-Vee or Fareway across town, a control-state spirits map, and AWG or C&S terms. A tourist who wants a California grocery-spirits story will waste a week. Write the count rule into the LOI. Compare offers on cash at close, note terms, inventory treatment, and warehouse risk — comparing offers. Transition hours should name who can order the next drop — transition and training. People are the asset. A produce lead who stays ninety days is worth more than a wide non-compete. Post-closing 90-day plan is Monday when the cooler still has to run and FNS has not posted.
A funded Iowa buyer already understands Hy-Vee or Fareway weather, control-state beer-wine paper, and AWG or C&S drop minimums. Package harvest weeks and university shoulders as shape, not as one average week. Compare offers on cash at close, warehouse risk, and inventory holdback before anyone celebrates a headline multiple. Tools: valuation calculator and the SDE worksheet. Keep reading SNAP when you sell and wholesaler agreements when you sell. The twin buyer page is buy a grocery store in Iowa. Bring the warehouse guarantee and the beer-wine class when you book the hour.
Parent method: sell a grocery store. Download the Confidential Seller Playbook, circle the warehouse guarantee and the beer-wine file, and book a confidential intro. Jason Taken will recast the Iowa store you run — Des Moines neighborhood, Cedar Rapids–Iowa City corridor, Quad Cities border trade, or a county-seat box that turns on warehouse terms.
Bring warehouse letter, fifty-two weeks of scan, the lease abstract, and who runs meat. Then book a confidential intro. Quiet NDA outreach protects rural county-seat independents. Hold back unsellable. Restart SNAP for the buyer.
Quad Cities and Des Moines metro labor are not county-seat packing-town labor. Warehouse over-advances and personal guarantees travel — sequence consent after NDA. Control-state alcohol facts belong in the teaser so a tourist does not expect an open spirits aisle. Count night still departments the room; hold back unsellable and winter overstock the buyer cannot turn.
Bring Hy-Vee-weather honesty, Associated/warehouse guarantee status, alcohol-control facts, and fifty-two weeks of scan. Des Moines metro is not a county-seat box.

Use this napkin recast on Sell an Iowa grocery in Hy-Vee weather without copying the circular when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.
Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.
Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.
Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.
