Taxes on a grocery sale are an allocation problem, an entity problem, and a timing problem. They are not a percent of the headline someone quoted at the warehouse. Grocery Store Business Broker — the grocery practice of HedgeStone Business Advisors, led by Jason Taken — will put a grocery-literate CPA in the room early. This page teaches what to bring. It is not a tax opinion and it does not invent rates. Start at the seller hub if you still need the sale sequence.

Food retail is a high-turn, thin-net trade. FMI published a 2.1 percent average net profit for food retailers in 2025. That Speaks sample is why a sloppy allocation on a large stockroom can move the seller’s bill more than an argument about a tenth of a multiple. FMI’s $1 trillion in 2025 supermarket sales and 45,575 U.S. supermarkets in 2024 describe the channel. Your tax file is your entity, your depreciation schedule, and a count night.

The grocery fight is the split, not a slogan rate

On an asset sale — the usual independent path — purchase price allocation divides the check among inventory, furniture and equipment, a covenant not to compete, goodwill, and any real estate. Grocery sellers and buyers fight this because they want different classes. Inventory is typically ordinary income to the seller and the buyer’s opening cost of goods. Equipment can produce depreciation recapture. Goodwill is often the class sellers prefer. None of that is a rate this page will quote. Your CPA applies the Code to your facts.

Form 8594 is the IRS Asset Acquisition Statement under Section 1060. Both sides file. The two filings must match. If the seller’s 8594 and the buyer’s 8594 disagree on inventory, someone is getting a letter. Write the allocation into the APA. “We will allocate later” is how grocery people get examined. Read asset sale versus stock sale before you assume stock will paper over the fight.

BizBuySell grocery and supermarket sold businesses: 3.38 average earnings multiple in 2025; 2.66 five-year average; IQR 1.60–3.15 for 2021–2025. A 0.43 average revenue multiple on the 2025 sold sample is a sanity check. Those figures price a going concern on a listing-site sample. They are not a tax table. Recast SDE so you know what you sold — recasting a grocery P&L — then let the CPA allocate the check.

Suppose the going-concern check is $900,000 and sellable inventory at cost is $210,000. That is a teaching sketch, not a quote. If you try to call $50,000 of that stockroom “goodwill” to change character, you and the buyer will not have matching 8594s. Count the stockroom. Date it. Write unsellable rules. See how inventory is counted at closing. FIFO versus a messy room is how you start a fight at 2 a.m. and a second fight with the IRS.

Entity type changes who is even on the return

A disregarded LLC, a partnership, an S corporation, and a C corporation do not sell the same way. Stock of a C corporation can produce tax inside the company and again on the shareholder. Pass-throughs still have to allocate inside the asset sale. This page will not pick a structure for you and will not quote corporate or capital-gains rates. Bring the entity chart to working with attorneys and CPAs.

If the building sits in a different LLC than the store, you may have two sales. Recast the store on market rent, then price the dirt as a second asset — selling with a lease versus real estate. A sale-leaseback is a realty sale plus a lease. Each piece has tax. Do not blend them into one grocery multiple from BizBuySell.

A stock sale changes the seller’s character and the buyer’s basis. Independents rarely choose it except to keep a quota license or a contract that will not assign. The buyer then inherits history. Price that. See successor liability.

SBA 7(a) can finance a change of ownership; the published maximum is $5 million. Lenders care about structure. They also care that unreported cash is not in the file. Unreported cash will not survive SBA or a serious conventional buyer — selling with unreported cash. Sales-tax filings are a corroboration tool where food is taxed or partially taxed — state grocery sales tax.

Recapture is a schedule, not a vibe

If you took depreciation on cases, compressors, and scanners, selling those assets can recapture prior deductions. Real estate can have its own recapture character. The amounts come off your depreciation schedule, not off a blog. Bring the fixed-asset list. If the list is a shoebox, the CPA will still need it before you argue goodwill.

Related-party rent that juiced earnings will reverse on day one and can also confuse basis if you never treated occupancy honestly. Plug market rent into the recast even if the tax returns show a token number. Read preparing three years of financials.

FMI’s $668,377 average weekly sales per supermarket in 2025 and $19.59 weekly sales per square foot of selling area are channel samples. They do not compute your recapture. Scan data supports the sales story the returns already told — or shows a gap you should not try to hide.

Alcohol inventory is still inventory. NABCA lists 17 control states plus local-control pockets. In a control state you may not own a transferable spirits privilege to allocate as an intangible. Do not put “liquor license” on the 8594 as if it were a chain store in a license state. Read state alcohol regimes and transferring your liquor license.

USDA FNS: SNAP authorization does not transfer. There is no SNAP permit to allocate as a sold asset. The new owner files a new application. Read what happens to SNAP when you sell. Do not invent a tax basis in a number FNS will retire.

Clearance, bulk-sale notices, and money that stays in escrow

Tax agencies care about food retailers. Successor liability for unpaid sales tax is the usual grocery worry. Tax clearance belongs in escrow language. Bulk-sale or successor-liability practice can still exist after UCC Article 6 died. See state-by-state bulk sales.

Holdbacks exist because grocery has shrink and successor tax risk. A 60–90 day tax and inventory holdback is a negotiation, not a sourced “market standard” dollar amount in this pack. Write release conditions. Read escrow, holdbacks, and earn-outs. Earn-outs are a different instrument and a different tax timing question for the CPA.

A seller note can spread when cash arrives. Installment treatment depends on your facts, including whether inventory and recapture are ineligible for delay. If an SBA standby means you collect interest only for years, do not spend a tax result modeled on monthly principal. Size the note against DSCR first — how much seller note to carry — then ask the CPA when you recognize income.

WIC, lottery, and tobacco have their own tax and health agencies. Lottery contracts are often personal. Confirm before you count commission as durable. None of those privileges are a rate this page will invent.

The deal structure glossary collects notes, holdbacks, and allocation in one teaching pass. How to value a grocery store keeps the multiple on recast SDE. The valuation calculator is not a tax engine.

Confidentiality still matters while you assemble returns. Employees learn from vendors and shoppers. Read how to sell confidentially. Mark the Confidential Seller Playbook. Transition hours still belong in the close — transition and training.

Compare offers on cash at close, note terms, inventory treatment, license risk, and allocation — comparing offers. A higher headline with all inventory jammed into goodwill is not a better offer. It is a future letter.

Notes, covenants, and the cash you have not received

A covenant not to compete is often its own allocation class. Grocery non-competes have to be enforceable in the state and narrow enough to keep — non-competes and confidentiality. Stuffing price into a covenant to change character is a CPA and counsel problem. This page will not tell you a “safe” split. It will tell you the APA and the 8594 have to match whatever split you pick.

Consulting or transition pay is wages if it is wages. Do not relabel a year of floor work as goodwill. Write transition hours as a close condition — transition and training — and let payroll tax sit where it belongs.

Installment treatment on a seller note can delay recognition of some gain. Inventory and recapture often do not wait. If the count is a large share of the check, you may owe tax on stockroom character while the buyer still owes you on a standby. Model that before you spend the close. SBA standby makes the cash even slower. See how much seller note to carry. This pack does not invent an installment percentage.

State income tax, local business tax, and conveyance tax on a building are fact-specific. State grocery sales tax is about the register, not about your exit bill, but the filings still corroborate sales. Do not quote a neighbor’s combined rate as yours. Bring the CPA the same three years the buyer will see — preparing three years of financials.

Add-backs on the recast are not a tax election. Owner health insurance you add back for SDE may still have been deducted on the return. The buyer prices cash flow. The IRS already had the return. Keep those conversations in different columns so you do not “fix” SDE by rewriting history.

If you own multiple boxes, a shared entity can force a stock conversation you did not want, or an asset carve-out that needs its own 8594. Read selling multiple locations. A distressed sale still has allocation. Price inventory and the lease, not a turnaround novel — selling a distressed grocery.

Gift cards and loyalty float are liabilities. Write who takes them. A holdback can cover the run-off — escrow, holdbacks, and earn-outs. How brokers get paid is a separate check; do not bury it in goodwill to change a tax class.

A building close and a store close can fund the same week and still need two allocations. Do not assume grocery equipment and inventory ride a realty exchange. Keep the store APA and the deed on separate schedules even if the wire looks like one number. Read selling with a lease versus real estate again before you mix the checks.

How it works is the sale sequence. The timeline to sell is where a late 8594 fight blows a Tuesday. Put the CPA on the LOI, not in week six.

Bring the depreciation schedule to the confidential intro

Say in one sentence what you think you sold: assets, stock, store plus building, or you do not know. Then say what you do not have: three years of returns, a fixed-asset list, a count estimate, or a CPA who has closed grocery. Bring last week’s scans. Bring the related-party rent circled. Bring any clearance letter you already hold.

Jason Taken will recast the grocery file and flag the allocation fights a CPA will have to finish. The hour is for that map, not for a channel average and not for a rate quote.

Book a confidential intro. Bring the depreciation schedule even if it is dusty. That is a useful hour.

An illustrative recast on Taxes on selling a grocery store: allocation, entity, and clearance

Price language for Taxes on selling a grocery store: allocation, entity, and clearance is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL.

Input or output Illustrative figure
Weekly sales (illustrative) $92,000
Annual sales $4,784,000
Recast SDE $277,472 (5.8% of sales)
Inventory at cost $265,778 (~18 turns)
Occupancy check $148,304 / year (3.1% of sales)
Low going-concern $737,480 at 1.70x SDE + inventory
High going-concern $1,014,952 at 2.70x SDE + inventory
Sketch DSCR on a note 1.46

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.

Frequently asked questions about Taxes on selling a grocery store: allocation, entity, and clearance

What drives tax when I sell my grocery store?

How the price is split among inventory, fixtures, the covenant, goodwill, and any building; whether you sold assets or stock; your entity type; and when cash actually arrives if you carry a note. A CPA applies the Code to your facts. This page does not quote rates.

Why do grocery sellers fight about inventory on the allocation?

Inventory is usually ordinary income to the seller and cost of goods to the buyer. Equipment can bring recapture. Goodwill is often the line sellers prefer. IRS Form 8594 must match the APA. “We will allocate later” is how people get examined.

Do I need a tax clearance certificate to close?

Many grocery asset sales put clearance or an escrow holdback in the paper because successor sales-tax claims follow food retailers. State bulk-sale practice still exists in places even after UCC Article 6. Counsel writes the notice. Do not handshake it.

Does a seller note change when I pay tax?

Installment treatment is a CPA question on your facts. Grocery notes also sit on standby behind SBA 7(a). Do not spend a tax result you have not modeled. Bring the note terms to the CPA before you sign the LOI.

Is this tax advice?

No. Grocery Store Business Broker teaches deal process. A CPA who has closed grocery files signs the opinion. Jason Taken does not issue tax letters.
