Lead with SLA beer-only honesty and NYC versus Upstate wage tiers before you argue a multiple, then book a confidential intro. Jason Taken at Grocery Store Business Broker (HedgeStone) packages New York independents around borough-correct SDE, costed inventory, and SLA timing. Email jason.taken@hedgestone.com when borough and wage tier are ready.

New York CBP 2023 counts 8,320 NAICS 445110 establishments; Vintage 2024 population is 19,867,248. Borough density and upstate thin maps are different files. That is the densest grocery map in this batch. It is not a statewide sold-comp. FMI’s 2.1 percent average net for food retailers in 2025 is a channel sample. Your SDE is the recast. The New York metro page and the Buffalo metro page are city readings. This essay is the state file.

Beer in grocery, liquor in a different store

The named agency is the New York State Liquor Authority. Grocery stores may sell beer — and typically cider or wine products only if separately licensed. Wine and spirits are sold in liquor stores, not in standard grocery aisles. Liquor-store licenses have 200-foot and 500-foot rules and municipal constraints. A grocery beer license does not become a liquor-store license by sale. SLA must approve. Liquor license and does a liquor license transfer are the process questions. State-by-state alcohol regime is the map.

A buyer who underwrote a New Jersey plenary retail license or a New Mexico grocery-spirits class will mis-read every New York independent. A seller who capitalizes the liquor store next door as in-store margin is selling a story. Write the class the way SLA writes it in the CIM.

New York generally exempts eligible food for home consumption from state sales tax. NYC and local taxes follow the same food exemption for qualifying groceries; prepared food is taxable. Confirm Tax Bulletin ST-283 (Food and Food Products). State grocery sales tax is the clip. New York Tax Law bulk-sale notice — Publication 750 / Form AU-196.10 lineage — is a standard asset sale item. Confirm current Tax Department bulk-sale instructions and any escrow holdback with counsel. Successor liability and bulk sales belong in the memo.

$17 labor is not $16 labor

The DOL July 1, 2026 table lists $17.00 in New York City, Nassau, Suffolk, and Westchester, and $16.00 in the remainder of the state. Recast on the address. A Westchester independent that underwrites at $16 will reverse when payroll hits. Confirm New York DOL posters. Owner pay and a documented one-time repair can move SDE. Recurring shrink cannot. Related-party rent comes out. Print the SDE worksheet — recasting a grocery P&L. Handling employees, union contracts, and WARN if headcount or a contract is in the file.

NYS Department of Agriculture and Markets handles retail food in much of the state. NYC Department of Health and Mental Hygiene is a separate regime. Pull the permit on the door before you mail Albany. The incoming operator is a new file. WIC sits with New York State Department of Health — WIC. Tobacco sits with Tax and Finance and local desks, including NYC Sheriff where applicable. Lottery is a separate retailer contract. Walk WIC, lottery, and tobacco as its own calendar.

USDA FNS: SNAP authorization does not transfer. The purchaser applies as a new retailer. Do not invent a SNAP-retailer headcount this pack left null. What happens to SNAP authorization when you sell is the federal rule. Pad working capital for the EBT gap, especially on a Bronx, Brooklyn, or upstate neighborhood box that rings a material SNAP share.

Flushing, Jackson Heights, Long Island, Wegmans upstate

NYC Flushing, Sunset Park, and Chinatown are well-documented Chinese independent corridors. Jackson Heights and Richmond Hill carry South Asian and Latino independents. Washington Heights and the Bronx carry Dominican and other Latino independents. Long Island and the Hudson Valley mix suburban conventional with kosher and Hispanic independents. Upstate — Buffalo, Rochester, Albany, Syracuse — sits in a Wegmans competitive set with neighborhood independents in older cities. Those are qualitative notes. This pack left metro population and rent null.

A traveling buyer who wants “a New York grocery” without naming the borough or the upstate city is not underwriting. Buying an ethnic market outside your community applies in Flushing the same way it applies in Jackson Heights. If you run an Asian grocery, a Hispanic grocery, or a neighborhood grocery, say so in the first paragraph of the blind teaser. Kosher independents on Long Island and in the Hudson Valley deserve the same first-paragraph honesty when that is the trade.

Stop & Shop (Ahold Delhaize), Wegmans, ShopRite (Wakefern), and Key Food / Associated / other independents set trip expectations. Stop & Shop, Wegmans, ShopRite, and Key Food/Associated sets shape New York trip expectations. Flushing and borough independents still win importer lists those banners will not carry. Do not recast as a Wegmans clone. A Flushing independent does not recast as a Wegmans lookalike with better signage.

Wakefern Food Corp., C&S Wholesale Grocers, UNFI, and Krasdale / other NYC independents’ wholesalers invoice stores in this pack. Consent and drop minimums belong in the LOI. Wholesaler agreements when you sell are the first-week work. A close that ignores the warehouse letter reopens when the next drop is due.

Keep the rumor off Main Street in Flushing and off Broadway in Washington Heights. Confidential sale starts with a blind teaser and an NDA. Should I tell my employees is a date.

National bands on an 8,320-store map

66** five-year average, IQR 1.60–3.15, 0.43 average revenue multiple on the 2025 sold set. That band is national. It is not a Flushing sold-comp and it is not a Westchester occupancy premium. Apply it to recast SDE after market labor at $17 or $16, then add inventory at cost. This page will not invent a worked dollar sketch. A short lease, an SLA lag, or a wage recast the buyer cannot fund sits toward the lower end of that IQR. How to value a grocery store and the valuation hub are the method.

SBA 7(a) can finance a change of ownership up to the published $5 million maximum. SLA lag, NYC DOHMH or Ag and Markets timing, and wage recast all belong in the credit memo. DSCR still has to work. Unreported cash will not survive — selling with unreported cash.

If the building conveys, price dirt as a second asset with a real-estate licensee. Recast the store on a market rent you can defend. Selling with a lease versus real estate keeps the piles apart. Lease due diligence is assignment, remaining term, and exclusive use. This pack publishes no rent-per-foot. Remaining term under twenty-four months without options is a price cut unless options are real. Co-tenancy still matters in a center that also holds ShopRite or Stop & Shop.

Inventory is counted at cost at close. How inventory is counted at closing is the procedure. Department the room. Hold back unsellable and import overstock the buyer cannot turn. National supermarket weekly averages are channel context only — not this independent’s run rate.

Who can close a New York independent

Start with operators who already live with SLA beer class, $17 or $16 labor, and Wakefern, C&S, UNFI, or Krasdale terms. A tourist who wants a grocery-spirits aisle will waste a week. Write the count rule into the LOI. Compare offers on cash at close, note terms, inventory treatment, and SLA risk — comparing offers. Transition hours should name who can order on Monday and who holds the SLA contact — transition and training. People are the asset. A produce lead who stays ninety days is worth more than a wide non-compete. Post-closing 90-day plan is Monday when the cooler still has to run and FNS has not posted.

Borough calendars, bulk-sale notices, and $17 working capital

New York Tax Law bulk-sale notice practice is a standard asset-sale item — Publication 750 / Form AU-196.10 lineage. Confirm current Tax Department instructions and any escrow holdback with counsel before the APA locks. A Flushing independent and a Rochester Wegmans neighbor share a state and do not share a bulk-sale calendar or a health desk. NYC DOHMH files do not mail to Agriculture and Markets and expect the same reply.

Lease assignment in a Manhattan or Brooklyn center is a different conversation from an upstate neighborhood box, but the discipline is the same: remaining term, options, exclusive use, and CAM. This pack publishes no borough rent-per-foot. Occupancy is this lease divided by this sales tape. A Westchester file that underwrites labor at $16 will reverse when payroll hits $17 — put the address wage in the LOI credit memo.

Working capital has to cover SLA approval, health (NYC DOHMH or Ag and Markets), bulk-sale/tax clearance, SNAP downtime, and the Monday Wakefern, C&S, UNFI, or Krasdale drop. Bronx and Brooklyn EBT share needs more cash than a Long Island suburban week. Do not invent a New York working-capital dollar; size it from this store’s settlements. How much working capital is the qualitative tool.

Timeline: SLA, health desk, Tax Department bulk-sale, landlord, warehouse, FNS. Timeline to sell is the worksheet. Common reasons grocery sales fall apart lists SLA class confusion and wage-address mistakes near the top here. Surviving due diligence is the companion when the lender asks for bilingual scan and importer invoices on a Flushing file.

The LOI terms that matter for sellers should freeze inventory holdback, SLA class, and wage address. Allocation on the APA is a CPA conversation — taxes on selling a grocery store. Asset purchase agreement essentials keeps goodwill and inventory piles apart.

Book the New York intro

Bring the SLA class, the health permit (NYC DOHMH or Ag and Markets), three years of returns, and fifty-two weeks of scan that show whether the week is Flushing import, Jackson Heights South Asian, Washington Heights Latino, Long Island suburban, or Wegmans-upstate neighborhood. Grocery Store Business Broker will not invent a New York sold-comp or a SNAP-retailer count. We will recast the store you run.

A funded New York buyer already understands SLA beer class, $17 or $16 labor by address, and Wakefern, C&S, UNFI, or Krasdale terms. Package Flushing import books and Wegmans-upstate neighborhood trade as different files. Compare offers on cash at close, SLA risk, and wage recast before anyone celebrates a headline multiple. The sibling search essay is buy a grocery store in New York. Parent method remains sell a grocery store. Tools: valuation calculator and the SDE worksheet. Keep reading SNAP when you sell and state alcohol regimes. Bring the SLA class and the wage address to the intro.

Borough health desks and upstate county desks are not one calendar. SLA beer-only versus broader privileges change the cooler story — write the class the way SLA writes it. Flushing and other immigrant corridors need language and importer diligence. Wage address ($16 vs $17 tiers where applicable) belongs in the labor recast before any national band.

SLA class and wage address — then book

Bring SLA beer/wine class, the $16 or $17 wage address, borough-versus-upstate label, and three years of returns with scan. Flushing importer lists are diligence — not slogans.

How a buyer would price Sell a New York grocery on the State Liquor Authority class you hold

Price language for Sell a New York grocery on the State Liquor Authority class you hold is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.

Input or output Illustrative figure
Weekly sales (illustrative) $108,000
Annual sales $5,616,000
Recast SDE $292,032 (5.2% of sales)
Inventory at cost $312,000 (~18 turns)
Occupancy check $134,784 / year (2.4% of sales)
Low going-concern $852,259 at 1.85x SDE + inventory
High going-concern $1,231,901 at 3.15x SDE + inventory
Sketch DSCR on a note 1.47

Rent at 2.4% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.

Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.

Frequently asked questions about Sell a New York grocery on the State Liquor Authority class you hold

Can a New York grocery put whiskey on the same aisle as milk?

No. The State Liquor Authority treats grocery beer as a different class from package liquor stores. Wine and spirits stay in liquor stores. A grocery beer license does not become a liquor-store license because you sold the store.

Is New York City health the same as Agriculture and Markets?

No. NYS Department of Agriculture and Markets handles retail food in much of the state. NYC Department of Health and Mental Hygiene is a separate regime. Pull the permit on the door before you mail Albany.

Which wage belongs in Westchester versus upstate?

The DOL July 1, 2026 table lists $17.00 in New York City, Nassau, Suffolk, and Westchester, and $16.00 in the remainder of the state. Recast on the address, not on a statewide slogan.

Does a Flushing independent recast like a Rochester Wegmans neighbor?

No. Chinese independent corridors in Flushing, Sunset Park, and Chinatown run import books and language on the floor. Upstate neighborhood boxes sit in a Wegmans competitive set. Price the file, not the state name.

What New York tax notice belongs on an asset sale?

New York Tax Law bulk-sale notice — Publication 750 / Form AU-196.10 lineage — is a standard asset-sale item. Confirm current Tax Department bulk-sale instructions and any escrow holdback with counsel.

Sell on your terms, not on a listing site
