Wholesaler — The primary grocery supplier: a cooperative or a distribution house such as AWG, C&S, UNFI, SpartanNash, or a regional. The supply agreement, personal guarantees, rebate calendar, and any inventory over-advance are often more important to Monday’s shelves than the liquor sticker. Ask whether the book and the financing transfer. They often do not, automatically.

Read the agreement before you recast the rebate line. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — treats the house as a credit file, not as a logo on the trailer. Book a confidential intro when you have the contract, the guarantee, and the over-advance balance on one page.

The supply agreement is the store’s spine

Center store lives on that book. A banner program, planogram fees, and advertising bills sit in the same stack if the buyer will keep the fascia. Those charges are continuing costs on the recast if the buyer keeps the program. They are not one-time add-backs.

Is my wholesaler agreement transferable is the first question. Wholesaler and banner agreements when you sell is the longer reading. The wholesaler and cooperative directory is who the houses are. This page is how a grocery close uses the file.

DSD is a different spine: route drivers who own the bread, soda, and chip racks. They will keep delivering after a sloppy close only if someone is paying them. Introduce them in the transition period. Do not confuse a DSD credit hold with a warehouse refusal. You can have both.

Over-advances are debt

An inventory over-advance is the house financing the stockroom. It is a loan secured by goods. At close it is cash the buyer or the seller must retire, refinance, or have re-underwritten. It is not a one-time expense you add back into SDE. Adding it back is how a file pretends the room was free.

Show the balance next to inventory at cost. Paying for the room twice — once as a count check and once as a hidden house loan — is a sources-and-uses error. Working capital is the cash to buy the next load after that stack is clean. A buyer who spends the bankroll on the multiple and hopes the house will keep advancing is undercapitalized.

Personal guarantees travel with people, not with fixtures. The seller’s guarantee does not become the buyer’s because the APA said contracts assign. The house will want a new guarantee. Budget time for that underwriting.

Rebates, the book, and personal guarantees

A trailing rebate can be the difference between a tolerable grocery gross and a thin one. Annualizing last year’s rebate without a new agreement is fiction. Ask what resets on a change of ownership, what is earned but unpaid, and who keeps the unpaid check. Put earned-but-unpaid on the proration schedule.

Credit terms are the other silent multiple. Net-seven versus prepay changes working capital more than a debate about a tenth of a turn. Inventory turns still matter. They do not replace a credit line the house has not approved.

If the file has a house agreement, bring it, the rebate year, and the over-advance. Book the supply conversation. The hour is for debt and the next load, not for a logo on the dock.

How a buyer would price Grocery wholesaler on a store sale

These figures are a teaching walk-through for Grocery wholesaler on a store sale, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band.

Input or output Illustrative figure
Weekly sales (illustrative) $108,000
Annual sales $5,616,000
Recast SDE $202,176 (3.6% of sales)
Inventory at cost $351,000 (~16 turns)
Occupancy check $179,712 / year (3.2% of sales)
Low going-concern $785,678 at 2.15x SDE + inventory
High going-concern $927,202 at 2.85x SDE + inventory

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Frequently asked questions about Grocery wholesaler on a store sale

Does the wholesaler book automatically follow the grocery buyer?

Often no. The house re-underwrites the new owner, the guarantee, and the credit line. A store can go dark on center-store supply while that file sits. Ask before you count next week’s load as certain.

How should I treat an inventory over-advance on the recast?

As debt. The wholesaler financed the room. Paying it is cash out, not a one-time expense you add back into SDE. Show it on the sources-and-uses next to the inventory check.

Are rebates still the buyer’s in year one?

Only if the new agreement says so. A rebate calendar tied to the seller’s volume year can reset. Do not annualize a trailing rebate you have not been promised.

Is a DSD vendor the same as the primary wholesaler?

No. DSD is the route driver — bread, soda, chips, some dairy. The wholesaler is the warehouse book. Both must keep delivering. They are different contracts and different credit files.
