Grocery stores for sale in San Jose

Recast a San Jose grocery on Santa Clara County health, California ABC, and occupancy as a share of sales, then book a confidential intro with the lease and three years of returns. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — treats the South Bay independent as a license-and-labor file next to Safeway, Lucky, 99 Ranch, and Whole Foods / specialty, not as a rumor about tech wages in the parking lot. Statewide rules live on the California seller and buyer pages.

This pack does not publish a San Jose store count, Census population, or rent-per-foot table. Occupancy cost is left to verify from the lease. Do not import San Francisco Chinatown, Oakland Fruitvale, or San Diego Convoy into a San Jose teaser.

Story Road Vietnamese and Latino independents

East San Jose / Story Road is recorded as Vietnamese and Latino independents. That is two communities sharing a corridor, not one multiple. A Vietnamese independent is a produce, herb, fish, and import-credit file. A Latino independent on the same geography is a meat, tortilla, and language file. Underwrite the SKU mix in front of you. Do not invent a population percentage.

Asian grocery teaching applies when import terms and specialty equipment dwarf a conventional recast. Hispanic and Latino grocery teaching applies when the meat case and produce house are the earnings story. A buyer who has only run a conventional Lucky will mis-read both.

Drive Story Road if that is the store. A tour of downtown San Jose or a Cupertino specialty run will not teach you the file.

Milpitas and Berryessa Asian grocery files

Milpitas / Berryessa is recorded as Chinese and other Asian independents. 99 Ranch and other Asian banners are competitive context, not listings. An independent still has to explain the trips 99 Ranch does not take: a village SKU, a credit account, hours the banner will not staff.

Vendor terms, live seafood where it exists, and occupancy in a tight South Bay retail strip can move price more than a debate about the circular. Use national BizBuySell grocery bands. Do not invent an “Asian premium” multiple. Read drop minimums with UNFI, C&S, KeHE, and import houses that may sit outside those names. Wholesaler agreements belong in diligence.

Santa Clara County DEH and ABC transfer

California ABC plus Santa Clara County Department of Environmental Health are the two desks on a San Jose close. Off-sale beer and wine (Type 20) is common. Spirits need a different off-sale general privilege. Tract formulas can limit off-sale general. Transfer is a defined process, not a handshake. License value can be material. Transferring your liquor license is the clock.

Retail food is a new operator at County DEH. WIC sits with California Department of Public Health. California State Lottery is a transfer item if the store holds it. CDTFA successor liability is a standard California asset-sale item. Confirm current bulk-sale instructions. UCC Article 6 has been repealed in most states; California may still impose sales-tax successor liability.

USDA FNS: SNAP authorization does not transfer. File a new retailer application. Budget EBT downtime. This pack does not publish a SNAP-retailer headcount for San Jose. SNAP when you sell is the federal rule.

99 Ranch, Safeway, Lucky, and Whole Foods

Safeway, Lucky, 99 Ranch / other Asian banners, and Whole Foods / specialty are the competitive set recorded for San Jose. They are not sold listings. Buyers who only know Whole Foods will mis-read a Story Road independent. Buyers who only know 99 Ranch will mis-read a conventional Lucky-sized box that happens to sit in Berryessa.

FMI’s 2025 food-retailer net of 2.1 percent and $19.59 weekly sales per square foot of selling area are channel benchmarks. Do not paste them onto a Vietnamese independent as if they were the CIM. Scan, EBT, and the tax return are the sales story.

California payroll and occupancy without a rent table

DOL’s July 1, 2026 consolidated table lists California at $16.90. San Jose and neighboring cities may set higher floors. Confirm DIR and the city ordinance. Recast on the wages you will pay for night receiving and perishable skill, not on a floor that a going-concern South Bay store already exceeds.

Occupancy is rent and CAM as a share of sales. No public grocery rent table is attached. Remaining term and assignment consent in a high-demand retail market will move the multiple. Lease due diligence and lease assignment are not optional. Recast on market rent if the seller owns the dirt.

State sales tax generally exempts qualifying food for home consumption. Prepared food, hot food, and many fountain items are taxable. Confirm CDTFA Publication 31 for the register mix.

What a South Bay buyer should verify before the LOI

A San Jose LOI that skips Santa Clara County DEH, ABC class, and occupancy as a share of sales is a letter, not a grocery deal. Walk the LOI terms that matter for buyers with ABC transfer, DEH, FNS downtime, and inventory at cost written in. Sellers should read the LOI terms that matter for sellers so remaining term and ABC lag are not left as “reasonable efforts.”

Story Road Vietnamese independents and Berryessa Chinese independents fail diligence in different places. Import credit, live seafood, and a produce house personal to the seller show up more often on the Asian files. Meat, tortillas, and language on the floor show up more often on the Latino files. Ask for vendor aging, not a story. Buying an ethnic market outside your community is the hours and language conversation. A Lucky manager is not automatically a Story Road operator.

99 Ranch is competitive context. It is also a reminder that Asian banners already occupy South Bay trips. An independent still has to name the SKU the banner will not carry. Whole Foods / specialty is the wrong comparable for a full-line East San Jose supermarket and the wrong comparable for a compact Vietnamese independent. Use BizBuySell national grocery bands. Do not invent a “Silicon Valley grocery multiple.”

CDTFA successor liability belongs in escrow. Confirm current bulk-sale instructions. California State Lottery and WIC are separate files if the store holds them. WIC, lottery, and tobacco transfer is the checklist. Tobacco sits with CDTFA and local health.

Inventory is counted at cost. Long-tail imported dry grocery and a tired meat case both distort a handshake number. Hold back unsellable. Closing-day inventory belongs in the APA. Do not illustrate a homemade San Jose SDE dollar figure on this page. Recast the store, apply the IQR, add the count.

UNFI, C&S, KeHE, and import houses: read change-of-control. A Berryessa file that lives on the seller’s personal credit with an importer is not a turnkey supermarket. Red flags that should kill a grocery deal include oral leases, unreported cash, and a wholesaler who will not open an account for the buyer.

San Jose city wage ordinances can sit above California’s $16.90. Confirm DIR and the city before you tell an SBA 7(a) lender the DSCR works. Published 7(a) maximum is $5 million. Occupancy without a published rent table still has to be modeled from the lease. Remaining term in a tight South Bay strip can be the whole deal.

Sellers: put three years of returns, scan that ties to the return, the lease, ABC, County DEH, and EBT in a packet. Preparing three years of financials and verifying sales with scan data are the work. Quiet process means 99 Ranch does not hear the rumor from the sales floor. Confidential sale starts with a blind teaser.

Recasting a South Bay supermarket

Going-concern value is recast SDE or EBITDA times a negotiated multiple, plus inventory at cost. BizBuySell grocery sold sample: 3.38 average in 2025, 2.66 five-year average, IQR 1.60–3.15, 0.43 average revenue multiple in 2025. National listing-site figures, not a Santa Clara County comp set. Start inside the IQR. Short leases, ABC lag, and a 70-hour owner live at the low end. How to value a grocery store is the method.

SBA 7(a) can finance a change of ownership; published maximum is $5 million. Tie weekly sales to scan and EBT. Hold back unsellable on the count.

Sellers: shoppers talk. Start with a blind teaser and an NDA. Confidential sale keeps ABC and FNS off the floor while 99 Ranch is still in motion.

A Story Road Vietnamese independent that cannot show produce, herb, and fish contribution will be underwritten as a smaller 99 Ranch. A Story Road Latino independent that cannot show meat and tortilla contribution will be underwritten as a smaller conventional. A Berryessa Chinese independent that lives on the seller’s importer credit is a vendor-risk file, not a turnkey supermarket. Common reasons grocery sales fall apart include wholesaler refusal, ABC lag, and a landlord who will not assign. Write those clocks into the LOI.

Occupancy without a published rent table is still the South Bay constraint. Model rent and CAM as a share of sales. Remaining term in a strip that also houses an Asian banner will move the multiple more than a debate about tech parking lots. Those lots are not a Census figure in this pack. Do not invent one.

California State Lottery and WIC still have to move on a San Jose close if the store holds them. Queue them with ABC and County DEH. A Story Road file with a heavy EBT mix has to budget FNS downtime in cash. A Berryessa file with import vendors personal to the seller has to budget a wholesaler conversation before the LOI, not after. Timeline to sell a grocery store is longer when ABC tract scarcity and occupancy stack. Write the clocks into the letter.

Safeway and Lucky remain the conventional pair a South Bay shopper already knows. Whole Foods / specialty is the wrong comparable for Story Road. 99 Ranch is competitive context that an independent still has to differentiate on SKU and hours. The Monday after close, those banners are still on the trip. Working with attorneys and CPAs belongs on a California asset sale next to CDTFA clearance — counsel and the CPA sign the opinions.

A first-time buyer who has only run a conventional Lucky still has to underwrite Story Road language and Berryessa import credit as the store actually runs. Buying as a first-time owner is the hours conversation.

National multiples on a San Jose independent

This page does not publish a San Jose asking-price average. Use the national bands, then argue Story Road versus Berryessa as the file. If implied revenue at the ask sits far above 0.43, you are in a story.

Mark ABC, County DEH, city payroll, and FNS on a worksheet, then book a confidential intro with ABC, County DEH, the lease, scan, and EBT settlements. Grocery Store Business Broker will not invent a South Bay multiple or mix another city’s streets into your CIM. Bring the license report and the Story Road or Berryessa vendor file, not a city-name tour.

Worked math for Grocery stores for sale in San Jose

Use this napkin recast on Grocery stores for sale in San Jose when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.

Input or output Illustrative figure
Weekly sales (illustrative) $78,000
Annual sales $4,056,000
Recast SDE $190,632 (4.7% of sales)
Inventory at cost $202,800 (~20 turns)
Occupancy check $121,680 / year (3.0% of sales)
Low going-concern $584,064 at 2.00x SDE + inventory
High going-concern $774,696 at 3.00x SDE + inventory
Sketch DSCR on a note 1.40

Rent at 3.0% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.
