What does CIM stand for in a grocery sale?
Confidential information memorandum. The book after NDA. Not the blind teaser.

If the CIM skips the lease, the licenses, and a recast bridge, it is a brochure. The blind teaser qualified you. The NDA opened the door. The CIM is supposed to be the store on paper. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — writes that book as a file, not a flyer, and teaches the other side to annotate it. Sellers: build it from three years of financials. Buyers: mark it before you tour. Book a confidential intro when you want a CIM built or read on a live file.
FMI’s $1 trillion in 2025 supermarket sales and $19.59 weekly sales per selling square foot are channel facts. They are dangerous as a quote on a CIM. Your box is not the Speaks sample. The valuation hub is the method. How a sale works is where this book sits in the sequence.
Open the PDF and make a hole list before you read the adjectives. Lease abstract: yes or no. Remaining term and options: yes or no. Recast bridge with sources: yes or no. Weekly sales and a scan export: yes or no. License list with SNAP, alcohol, food, WIC, lottery, tobacco: yes or no. Inventory at cost by department: yes or no. Wholesaler and banner: yes or no. Excluded assets: yes or no.
Each “no” is a diligence item or a walk. A pretty produce photo does not replace a “no.” Surviving due diligence is the seller’s calendar after you mark those holes. Your annotation is how you refuse to be surprised.
A CIM that leads with a multiple and a lifestyle paragraph is selling a feeling. A CIM that leads with a week, a rent line, and a license clock is selling a store. Prefer the second. If you are the seller, write the second. How to sell confidentially is why the book still does not name the corner on page one if the teaser did not.
Mark questions in the margin as you go: “Where is the cost file?” “Who is the landlord?” “What class of alcohol?” Those notes become diligence requests and LOI outs. A clean CIM still needs that margin. A messy CIM needs it more. Do not wait for a call to discover you never asked.
Format should match a type page. An 8,000-square-foot box is not an independent supermarket because the CIM used the word supermarket. Open neighborhood grocery or rural grocery if that is what you have. This site does not invent CBP counts. The CIM should not invent a format either.
Book profit is a starting number. Recast financials are the deal number. Owner pay, a documented one-time compressor, and a personal auto can move SDE. Recurring shrink cannot. Related-party rent that juiced earnings will reverse. If the CIM has no bridge, build one or wait. Recasting a grocery P&L is the worksheet. Anatomy of a grocery P&L is the department map.
Add-backs that repeat every year are the business. A CIM that calls family payroll “discretionary” for three years in a row is asking you to staff a ghost. Banner fees belong in the recast if the fascia stays. Lottery commission belongs only if the contract is not personal. CAM true-ups belong as a risk, not as “extra SDE.”
BizBuySell grocery and supermarket businesses sold in 2025 printed a 3.38 average earnings multiple, a 2.66 five-year average for 2021–2025, a 1.60–3.15 interquartile range, and a 0.43 average revenue multiple. Those are national listing-site sold figures. They are not chain M&A. Price language in the CIM should match the method: recast SDE times a defendable multiple, plus inventory at cost. A revenue multiple in the book is a cross-check. It hides rent and labor. Use 0.43 to see whether the ask is in the atmosphere, then return to SDE. The multiples report is the sourced sample in one place.
FMI’s 2.1 percent average net profit for food retailers in 2025 is a reminder that grocery is thin. It is not this store’s recast. A CIM that quotes the channel net as if it were the box is using channel copy as a store fact.
SBA 7(a) buyers will not fund a brochure. SBA 7(a) can finance a change of ownership; published maximum is $5 million. Eligibility is on SBA’s program page. The CIM should not invent SOP line items. It should give a lender a week and a recast they can test DSCR on. SBA 7(a) for grocery is the loan essay.
Occupancy is often the mid-single digits of sales. A paragraph that says “favorable lease” is not an abstract. You need commencement, expiration, options, base rent, CAM history, assignment language, exclusive use, and co-tenancy. Lease diligence is the full read. The CIM should make that read possible.
Remaining term under 24 months without options is a price cut, not a footnote. A below-market related-party rent is a recast, not a feature. An exclusive the center already violated is a diligence item. A co-tenancy that depends on a dead anchor is a diligence item. Civilians discover those clauses in week six. You should discover them on page four.
Owned real estate is a second asset. Recast the store on market rent, then price the dirt. A CIM that buries a sale-leaseback fantasy inside the grocery multiple is mixing files. Selling with a lease versus real estate and buying a store with real estate are the two sides. Selling the building requires a real-estate licensee in that state.
Run the rent checker on the abstract, not on the adjective. If the CIM will not give you numbers that plug, the book is not finished. A seller who says the rent is “about” a percent of sales is asking you to do their homework. Make them show the invoice.
USDA FNS: SNAP authorization does not transfer. The new owner files a new application. A CIM that says “SNAP in place” as if you were buying the permit is wrong. Budget downtime. What happens to SNAP when you sell is the rule. EBT / SNAP diligence is the deposit trail that should already sit next to the sales page.
Alcohol is a class, a quota, or a control-state product. NABCA lists 17 control states plus local-control pockets. It is never “the liquor license” as one magical asset. A quota license has a scarcity price that should not be double-counted inside the grocery multiple. A control state may be a product relationship, not a transferable privilege. State alcohol regimes and liquor license diligence belong in the same sitting as the CIM.
WIC is a vendor file, not a sticker. Lottery is often personal. Tobacco sits with tax and health agencies. Food permit and any hot-food or kitchen add-on get their own line. Print the closing and license checklist and tick the CIM against it.
Attorneys who have never closed grocery will rediscover this list in week six. Hand them working with attorneys and CPAs with the book.
The CIM should show inventory at cost, by department, as a current guess. Retail tags are not cost. A single “$275,000 inventory” line with no department split is a rumor. Center store and meat do not share a clock. How inventory is counted at closing is the method the LOI must write. Closing-day count procedures is the night.
A stuffed back room in the photo essay is a cash-to-close problem. A pretty empty back room can be a hole problem. Neither is a reason to bury inventory inside the going-concern multiple. The cash-to-close estimator exists so the guess becomes a stack: equity, room, working capital, SNAP reserve.
If the CIM gives a turns number, ask which department. A blended turn that looks “healthy” can be grocery carrying a sick meat case. Shrink, margin, and turns is the operating read. The book should not get to hide behind one KPI.
DSD and the wholesaler book belong next to the guess. Over-advances are debt. Banner program charges are continuing costs if the sign stays. Wholesaler and banner agreements is the essay. A CIM that omits the supplier is omitting how the store eats.
A CIM written for operators looks like hours, mix, and a lease. A CIM written for tourists looks like “absentee” and a revenue multiple. Grocery of this kind is not absentee. Seller hours are labor you will hire. If the book brags about owner hours as if they were free, recast them.
Confidentiality is why the address may still be a corridor and a format. That is fair. Hiding the landlord’s name after NDA is less fair. Hiding a union, a WARN clock, or a personal lottery contract is how diligence becomes a re-trade. Handling employees, union contracts, and WARN should be a CIM sentence if it applies.
Unreported cash in a footnote — “actual sales higher” — is a walk for SBA and for a serious conventional buyer. Do not underwrite a drawer. Selling with unreported cash is the seller’s honest page. Your red pen is “no.”
Family or manager sales still need a real CIM. Soft language creates hard lawsuits. Selling to family or an employee does not waive the bridge.
If you are the seller, the book should match the data room you will open. A CIM that promises scan “upon request” and then stalls for three weeks has already told the buyer something. Put the export in the room. If you are the buyer, verifying sales with scan data is how you test the sales page. Evaluating a store’s P&L is how you test the earnings page. A CIM sales chart without a source footnote is art.
The LOI is where grocery deals are won or lost in English. Inventory rules, license outs, assignment, transition hours, and the holes you will diligence belong there. The LOI terms that matter for buyers and for sellers are the two checklists. Earnest money without those outs is a donation.
Comparing offers uses the same marks: cash at close, note, inventory treatment, license risk — not the CIM headline. A book that trained you to stare at the ask has already done its job for the wrong side.
Post-close language in a CIM — “easy transition,” “loyal staff” — is a wish. Write hours. Transition and training is the essay. The 90-day plan is what Tuesday actually needs.
Jason Taken and HedgeStone are not licensed business brokers in every state. Check the rule that applies to your deal. The CIM is teaching and a process document. It is not a license claim and it is not a listings board.
Sellers: when the folder is ready to become a book, book a confidential intro. Bring the three years, the lease page, and the license list. Buyers: when the PDF is marked, bring the hole list, the cash you can document, and the hours you can staff. That is enough to decide whether the CIM is a store or a brochure.
These figures are a teaching walk-through for How to read a grocery CIM, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band.
| Input or output | Illustrative figure |
|---|---|
| Weekly sales (illustrative) | $141,000 |
| Annual sales | $7,332,000 |
| Recast SDE | $227,292 (3.1% of sales) |
| Inventory at cost | $458,250 (~16 turns) |
| Occupancy check | $190,632 / year (2.6% of sales) |
| Low going-concern | $878,740 at 1.85x SDE + inventory |
| High going-concern | $1,140,126 at 3.00x SDE + inventory |
| Sketch DSCR on a note | 1.43 |
If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.
Book the intro call with your side of the table ready: seller files or buyer capital. The calendar is the only next step.
Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.
Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.

Grocery deals turn on licenses, inventory, and a recast a lender will believe. Book the intro and bring the file.

No. Annotate the book first. A tour is a reward for a week and a lease you can already see.
Treat book earnings as unproven. Build the bridge yourself or wait for one.
Only as a cross-check. Revenue multiples hide rent and labor. Return to recast SDE.
After NDA, in or beside the CIM. A book that withholds the export is asking you to underwrite a paragraph.
