What is a standby seller note?

A standby seller note is deferred purchase price that stays behind senior debt. The seller typically does not collect principal — and sometimes does not collect interest — until the lender’s standby agreement says payments may start. It is a pause, not a gift.

If you are selling, read how much to carry before you treat a standby note as retirement income. If you are buying, read how seller financing is structured for the rest of the instrument. Then book a confidential intro with the payment you need and the DSCR the bank is actually underwriting. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — will not let folklore replace the standby page.

Standby is a pause, not a gift

A paying seller note starts a calendar at close. A standby note exists because a senior lender — often an SBA 7(a) shop — will not let that calendar compete with the bank. The seller still has a principal balance. The seller may still have collateral, usually junior. What the seller does not have is a monthly check the buyer must send on day one.

That distinction is the whole term. People say “the seller is carrying paper” and mean a paying note. People say the same sentence and mean standby. Those are different cash-flow stories. The APA and the standby agreement have to use the same story.

Standby is not a holdback. A holdback sits in escrow and may release. Standby is a loan that is told to wait. Standby is not an earn-out. An earn-out is a bet on future mix. Grocery earn-outs are hard because the buyer controls the aisle after Monday.

Standby is also not forgiveness. The principal is still owed. A seller who “forgets” the note because payments were silent will still have a balance when the bank lifts the pause. Buyers who treat silence as a cancelled debt find that out when the first amortization hits.

Why grocery 7(a) files use a standby note

SBA 7(a) can finance a change of ownership. The published maximum is $5 million. Grocery purchases often need more total consideration than the bank will fund once inventory at cost, fees, and reserve are on the table. The residual becomes seller paper. If that paper amortizes immediately, annual debt service jumps and DSCR on the recast can fail.

FMI’s 2.1 percent 2025 food-retailer net sample is why the bank cares. Thin profit plus two full debt services is how a passing store fails credit. Standby is the mechanical answer: keep the senior loan payable, park the seller’s principal.

This page will not invent a federal standby duration or a required seller-note percent. Those are SOP and lender habits, not facts in the research pack. Ask the credit shop what they will accept on this file. Write that answer into the LOI so the seller is not surprised at commitment.

A seller who hears “standby” for the first time at the commitment letter will often walk. Preview it when you discuss price. A slightly lower cash-at-close number with a paying note can be a better living than a higher headline with a silent note. That is a preference, not a rule.

BizBuySell’s 3.38 average earnings multiple on grocery and supermarket businesses sold in 2025 is a sold-sample valuation fact. It does not decide standby. A higher price with a silent note is still a higher price. The seller has to want that structure.

What the seller stops collecting, and for how long

Read the standby agreement. Some forms allow interest-only to the seller. Some require full silence. Some limit acceleration. Some require the seller to keep the note outstanding if the buyer refinances. Counsel owns the form. The grocery habit is to walk the seller through a simple calendar: what hits their account in month one, month twelve, and after the standby ends.

If the seller’s living expenses assume a paying note, standby is a different deal. Price may need to move. Cash at close may need to move. The seller may decide not to carry. Those are honest outcomes. Pretending standby is “the same as carrying” is how closings die at the commitment letter.

Buyers should not spend the payment they are not making. USDA FNS: SNAP authorization does not transfer. The cash that is not going to the seller in month one often needs to go to loads and the new application. See how much working capital.

Wage resets still hit. The Department of Labor consolidated minimum-wage table is the floor. Standby does not create slack in payroll.

How standby changes DSCR math

DSCR is annual cash flow divided by annual debt service. During standby, the seller payment may be zero or interest-only. The ratio looks better. After standby, the payment appears. A recast that only works during the pause is a time bomb. Model both periods.

If you are choosing tools, is seller financing better than SBA is the decision page. Standby is what happens when you pick both. How seller financing is structured is rate, collateral, and the inventory true-up. Keep the three pages in their lanes.

A balloon that comes due the month standby ends is a second shock. Model the payment that starts, not only the payment that is missing. If the recast cannot carry both the bank and the awakened note, the structure is wrong even if the commitment letter likes the pause.

A first-time buyer who needs 7(a) will meet standby often. That is not a verdict on the store. It is a verdict on the stack. See can I buy with an SBA loan.

Read the standby before you count cash at close

The seller hub and buyer hub both live with this term. How a sale works starts after NDA. The SBA 7(a) guide is the senior-loan essay. The SDE worksheet keeps the earnings honest so the ratio means something.

Book a confidential intro. Bring the standby paragraph if you have a term sheet, or the monthly number you thought you were getting if you do not. Jason Taken would rather reset the price than let a seller plan a retirement on a note the bank has told to wait.

How a buyer would price What is a standby seller note?

Use this napkin recast on What is a standby seller note? when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15.

Input or output Illustrative figure
Weekly sales (illustrative) $168,000
Annual sales $8,736,000
Recast SDE $358,176 (4.1% of sales)
Inventory at cost $728,000 (~12 turns)
Occupancy check $235,872 / year (2.7% of sales)
Low going-concern $1,336,899 at 1.70x SDE + inventory
High going-concern $1,802,528 at 3.00x SDE + inventory
Sketch DSCR on a note 1.49

Rent at 2.7% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.

Frequently asked questions about What is a standby seller note?

Is standby the same as a paying seller note?

No. A paying note starts amortization at close. A standby note waits. The seller’s retirement check is different under each.

Why do grocery 7(a) files use standby?

So the bank stays senior and annual debt service on the recast still covers. SBA 7(a) can finance a change of ownership up to the published $5 million maximum; the residual often sits on standby.

Does standby last forever?

It lasts for the period in the standby agreement. Read that document. Folklore about “two years” is not a citeable rule on this page.

Can the seller take interest during standby?

Sometimes, if the lender allows interest-only. Sometimes the note is fully silent. The paper decides, not a rumor.

What should I bring if standby is on the table?

The payment you need to live on and the DSCR the bank is underwriting. Book a confidential intro before you treat standby cash as real.
