Grocery stores for sale in San Diego

Book a confidential intro

Recast the San Diego independent against the banner that actually sits on the shopper’s trip, then book a confidential intro with the ABC license report, the County of San Diego DEH file, and the lease. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — treats this metro as a California off-sale and occupancy problem with two distinct independent geographies: Chula Vista / South Bay Mexican independents, and the Convoy District’s Korean and other Asian independents. Statewide CDTFA and ABC detail live on the California seller and buyer pages.

Do not invent a San Diego store count, Census population, or rent-per-foot range. Those fields are null. Occupancy is a ratio from the lease and the P&L. Do not paste Los Angeles Koreatown or San Jose Story Road into a San Diego teaser.

South Bay Mexican independents and border trade

Chula Vista / South Bay is recorded as Mexican independents with border-adjacent trade. That is a qualitative corridor note, not a population percentage and not a invented share of sales from crossings. Border-crossing volume is real. This pack does not invent a percentage. Underwrite it from the store’s scan, cash mix, and hours — not from a rumor about Tijuana traffic.

A Hispanic and Latino grocery next to Northgate and a Vons will live or die on the produce table, the meat case, and whether the owner’s hours are in the recast. Northgate is competitive context in this metro, not a sold listing. The independent still has to explain the trips Northgate does not take: a specific village SKU, a credit account, a butcher who knows the regulars.

Drive South Bay if that is the file. A tour that only hits coastal conventional grocery will not teach you Chula Vista. Statewide California notes on the Los Angeles Basin are a different market. Keep those streets out of this CIM.

Convoy District Korean and Asian files

Convoy District is recorded as Korean and other Asian independents. Equipment, live tanks where they exist, import credit terms, and a produce house that is not a conventional wholesaler can dwarf a simple supermarket recast. Read the Asian grocery teaching: valuation is closer to a specialty-food operation than to FMI supermarket averages. Use the national BizBuySell grocery sample, not a homemade “Asian premium” multiple.

UNFI, C&S, and KeHE (specialty) appear in California independent supply. Import vendors may sit outside those names. Read drop minimums, over-advances, and whether the relationship is personal to the seller. Wholesaler agreements belong in diligence.

Do not blend Convoy with South Bay because both are “ethnic.” Language, SKU, labor, and credit terms differ. A buyer who has run a Mexican independent in South Bay still has to underwrite Convoy as a new file.

California ABC and San Diego County DEH

California Department of Alcoholic Beverage Control plus County of San Diego Department of Environmental Health own the two clocks that stall San Diego grocery closes. Off-sale beer and wine (Type 20) is common in grocery. Spirits require a different off-sale general privilege. Off-sale general licenses are limited by census-tract population formulas in many areas. Verify the ABC license report. Transfer is a defined process and is not automatic with the asset purchase. License value can be material. Transferring your liquor license is the workstream.

Retail food is a new operator file at County DEH, sitting with California Department of Public Health’s statewide frame. WIC sits with California Department of Public Health. California State Lottery is a real transfer item if the store holds it. Tobacco sits with CDTFA and local health. CDTFA successor-liability and tax-clearance practice is a standard California asset-sale checklist item. Confirm current bulk-sale instructions. UCC Article 6 has been repealed in most states; California may still impose sales-tax successor liability. Confirm with counsel.

USDA FNS: SNAP authorization does not transfer. The new owner files a new retailer application. Budget EBT downtime in cash and in the landlord conversation. This pack does not publish a SNAP-retailer headcount for San Diego. SNAP when you sell is the federal rule.

Vons, Ralphs, Food 4 Less, and Northgate

Vons / Albertsons, Ralphs, Food 4 Less, and Northgate are the competitive set recorded for San Diego. They are not listings here. An independent still has to name the trip those banners miss. Food 4 Less is a price and warehouse-club-adjacent pressure. Ralphs and Vons are conventional full-line. Northgate is the Hispanic banner a west-of-I-5 independent will actually feel.

FMI’s $19.59 weekly sales per square foot of selling area (2025) is a supermarket channel benchmark, not this Convoy box’s number. FMI’s 2.1 percent food-retailer net is not a multiple. Do not paste either onto a CIM as if they were the store.

Occupancy as a ratio, not a published rent table

This pack did not attach a public CBRE or Cushman grocery-rent table for San Diego. Occupancy is rent plus CAM plus insurance as a share of sales. Model it from the lease. Recast on market rent if the seller owns the real estate, then price the dirt as a second asset. Lease due diligence and lease assignment move San Diego files because remaining term is often the binding constraint in California coastal retail.

DOL’s July 1, 2026 consolidated table lists California at $16.90. Many cities set higher local floors. Confirm DIR and the city before you underwrite payroll. A recast that uses the state floor in a city with a higher ordinance is not a recast.

State sales tax generally exempts qualifying food products for home consumption. Prepared food, hot food, and many fountain and hot-to-go items are taxable. Some district taxes can still apply to non-food merchandise. Confirm CDTFA Publication 31 (Grocery Stores) for the register mix.

CDTFA, ABC class, and a San Diego close packet

A San Diego asset sale is a CDTFA clearance problem, an ABC transfer, and a County DEH new-operator file on the same calendar. Confirm current CDTFA bulk-sale instructions. Successor liability is a standard California checklist item. Hold a piece of the price in escrow until clearance posts. Bulk sales and tax clearance is the statewide teaching. Counsel signs the opinion.

Put the ABC license report in the first qualified packet: Type 20 versus off-sale general, any dual-party or escrow already opened with ABC, and whether a census-tract formula makes a spirits privilege scarce. A South Bay Mexican independent and a Convoy Korean independent can hold different classes. Do not assume beer-and-wine because the store looks like a supermarket. Read the wall. Liquor license due diligence is the workstream.

County of San Diego DEH is a new file for the incoming operator. Plan the application, the inspection, and any construction that a tired vestibule will trigger. WIC (California Department of Public Health) and California State Lottery are separate if the store holds them. Tobacco sits with CDTFA and local health. A CIM that skips those lines will meet a re-trade when the buyer’s CPA maps the register.

Inventory is counted at cost. South Bay produce and meat, and Convoy import dry grocery, fail in different ways. Hold back unsellable. Long-tail imported SKUs still have to be on the count or carved out. How inventory is counted at closing belongs in the LOI. Do not illustrate a homemade San Diego SDE dollar figure here. Recast the store against the BizBuySell IQR, then add the count.

SBA 7(a) can finance a change of ownership; published maximum is $5 million. A fundable file still needs hours a lender will believe. A 70-hour owner in Convoy is not a manager. Recast payroll at California $16.90 and at any higher city floor before you tell a lender the DSCR works. How much money you need is the cash conversation, including FNS downtime and ABC lag.

Sellers: put three years of returns, scan that ties to those returns, the lease with options, ABC, DEH, and EBT settlements in a packet before the first call. Preparing three years of financials and verifying sales with scan data are the sequence. Asset sale versus stock sale is the structure talk with counsel.

Buyers: underwrite occupancy as a share of sales before you tour. Confirm whether border-adjacent volume shows up in scan as a real mix or as a story. This pack will not invent a crossing percentage. Drive Chula Vista if that is the file. Drive Convoy if that is the file. Do not buy a city name.

Recast, SNAP, and a confidential San Diego sale

Going-concern value is recast SDE or EBITDA times a negotiated multiple, plus inventory at cost. BizBuySell grocery sold multiples: 3.38 average in 2025, 2.66 five-year average, IQR 1.60–3.15, 0.43 average revenue multiple in 2025. National listing-site sample, not a San Diego sold-comp set. Start inside the IQR. Short ABC clocks, short leases, and a 70-hour owner live at the low end. Grocery store valuation is the method.

Sellers: shoppers talk. Start with a blind teaser and an NDA. Keep ABC and FNS off the sales floor. Confidential sale is the sequence. Unreported cash will not survive a SBA 7(a) file. Published 7(a) maximum is $5 million. That is a ceiling.

California State Lottery, WIC, and tobacco are Monday-after-close problems if the store holds them. The incoming operator cannot treat those as stickers. Queue the applications next to ABC and DEH. A Convoy file with a heavy import mix still has to ring SNAP on a new FNS permit. A South Bay file with a heavy EBT mix has to budget the dark stretch in cash. Neither geography gets a SNAP-retailer headcount on this page. The sourced fact is non-transfer.

Northgate, Vons, Ralphs, and Food 4 Less will still be on the trip the Monday after close. The independent’s job is the SKU and the hours those banners do not take. A South Bay Mexican independent that cannot show produce and meat contribution will be underwritten as a smaller Northgate. A Convoy Asian independent that cannot show import terms will be underwritten as a smaller specialty run. Shrink, margin, and turns is how you prove otherwise.

BizBuySell bands on a San Diego independent

This page does not publish a San Diego asking-price average. Use the national bands, then argue South Bay or Convoy as the file in front of you. If implied revenue at the ask sits far above the 0.43 sold-sample average, you are in a story. Occupancy as a share of sales, ABC class, and County DEH lag will move the check more than a debate about the beach.

Mark the ABC line, the DEH line, and FNS downtime on a worksheet, then book a confidential intro with ABC, DEH, the lease, scan, and EBT. Grocery Store Business Broker will not mix another city’s streets into your CIM and will not invent a border percentage to juice the multiple. Bring South Bay or Convoy as the file, not a city-name tour.

Worked math for Grocery stores for sale in San Diego

These figures are a teaching walk-through for Grocery stores for sale in San Diego, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.

Input or output Illustrative figure
Weekly sales (illustrative) $92,000
Annual sales $4,784,000
Recast SDE $148,304 (3.1% of sales)
Inventory at cost $239,200 (~20 turns)
Occupancy check $110,032 / year (2.3% of sales)
Low going-concern $491,317 at 1.70x SDE + inventory
High going-concern $661,866 at 2.85x SDE + inventory
Sketch DSCR on a note 1.35

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.
