Purchase price allocation — How the total price on a grocery asset sale is split among inventory, fixtures and equipment, a covenant not to compete, goodwill, and any real estate for tax. The split does not change what the store earned. It changes who pays which tax, and when.

Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — wants the classes written while the APA is still a draft, not after the count. Bring the CPA, the inventory estimate, and the fixture list. Book a confidential intro when the headline price is real enough to label.

Inventory is a class, not a multiple trick

Grocery custom is to pay inventory at cost as its own check at close. That number is also a tax class. To the seller it is often ordinary income. To the buyer it is the cost of the goods on the shelf. Pushing inventory into goodwill to “simplify” the multiple is how a seller understates ordinary income and a buyer overstates depreciable or amortizable basis — until the returns are compared.

Do not invent a percentage split on this page. The count will move the inventory class. Write the method: cost, unsellable rules, who pays the crew. How inventory is counted at closing is the night-of procedure. Allocation is the tax label that has to follow that night.

Fixtures and equipment are another class. A buyer wants basis to depreciate. A seller may prefer more goodwill. Neither side should assign numbers that the asset list cannot support. The APA schedules — not a CIM paragraph — are where the cooler, the saw, and the POS live.

Form 8594 has to match the APA

IRS Form 8594 is the Asset Acquisition Statement under Section 1060. Both parties file. The class totals have to agree. If the seller’s inventory class and the buyer’s inventory class disagree, someone is explaining it to the Service. “We will allocate later” on a grocery close is how that letter gets written.

Put the agreed classes in the APA. If you use a holdback or an inventory true-up, say how the 8594 will be amended or how the true-up stays inside the inventory class. Taxes on selling a grocery store is the longer tax map. This page is the split. Counsel and the CPA own the return. Grocery Store Business Broker does not prepare Form 8594 and does not list a state brokerage license here.

The non-compete is often its own class. That can matter for amortization on the buyer side and for ordinary-versus-capital treatment on the seller side. If the covenant is real, allocate it as a real promise with a real dollar — not a token line that counsel will not defend.

Realty, stock deals, and the LOI

If the dirt sells with the store, do not pour the building into grocery goodwill. Recast operations on a market rent first, then let the CPA allocate the realty. Asset sale versus stock sale is the fork when a license will not move; a stock deal has a different tax story and may not use 8594 the same way. Do not mix those packets on one signature page.

The LOI can flag that allocation will follow the APA and the count. It should not pretend the split is optional. APA essentials is where exhibits earn their keep.

When the price is close enough to label, Book a confidential intro. Bring the CPA’s first pass at classes and an honest inventory guess. The conversation is how grocery files keep the 8594, the APA, and the count on the same numbers — not how to hide the stockroom inside a multiple.

How a buyer would price Grocery purchase price allocation

These figures are a teaching walk-through for Grocery purchase price allocation, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band.

Input or output Illustrative figure
Weekly sales (illustrative) $108,000
Annual sales $5,616,000
Recast SDE $202,176 (3.6% of sales)
Inventory at cost $312,000 (~18 turns)
Occupancy check $179,712 / year (3.2% of sales)
Low going-concern $716,352 at 2.00x SDE + inventory
High going-concern $857,875 at 2.70x SDE + inventory

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.

Frequently asked questions about Grocery purchase price allocation

Why do grocery sellers and buyers fight the allocation?

Inventory is typically ordinary income to the seller and the buyer’s cost of goods. Goodwill is a different tax result. The split changes after-tax cash even when the headline price does not.

Can we leave Form 8594 until after close?

You can try. Both sides still file, and the two forms must match. A grocery deal that says “allocate later” is how people get a letter. Put the classes in the APA.

Does allocation change the earnings multiple?

No. Allocation is tax labeling of a price you already negotiated. Recast SDE, then count inventory at cost as its own check. Do not hide the stockroom inside goodwill to make a multiple look tidy.

What if the building sells with the store?

Realty is a second asset with its own basis and depreciation story. Do not dump the building into grocery goodwill. Recast the store on rent, then allocate the dirt separately with the CPA.
