When does the NDA get signed?
Before the CIM, scan data, or employee details are shared. The NDA should bar approaching staff, vendors, the wholesaler, and the landlord without the seller’s consent during marketing.

Mark the trade area on a map, put a grocery NDA in front of anyone who wants the CIM, and book a confidential intro before a buyer “just stops by.” Grocery Store Business Broker — the grocery practice of HedgeStone Business Advisors, led by Jason Taken — treats confidentiality as a process. A non-compete that tries to ban food in a whole state is not a process. It is a clause that dies.
Sellers come here to keep the crew from learning in the vestibule and to define what they will not open after close. Buyers come here to make sure they are actually buying the goodwill. Both sides need the same two documents: an NDA that is signed before scan data leaves the folder, and a covenant that matches how this box draws baskets.
How to sell a grocery store confidentially is the outreach sequence — blind teaser, qualified list, no public ad. This page is the paper that makes that sequence hold, and the restriction that makes the price mean something after Monday.
The NDA is signed before the CIM, scan data, or employee details are shared. In grocery it should bar approaching staff, vendors, the wholesaler, and the landlord without the seller’s consent during marketing. Buyers who “just stop by the store” after an NDA are how confidentiality dies in a small town.
A generic tech NDA is the wrong instrument. It does not name the beer driver, the produce house, or the district manager at the banner. Write those counterparties. Write that a tour is scheduled, not improvised. Write that copies of the P&L are not forwarded to a cousin who “might be interested.” Counsel owns the form. You own the guest list.
Proof of funds before the CIM is not rudeness. It is how you keep tire-kickers from reading your meat-department hours. Grocery Store Business Broker will ask for that on the intro. Jason also sees grocery paper through Jaken Finance Group, which is how a DSCR conversation stays in the room with people who can close.
FMI’s $1 trillion in 2025 supermarket sales and 45,575 U.S. supermarkets in 2024 describe a channel. Your independent is a rumor mill with a parking lot. FMI’s 2.1 percent average net profit for food retailers in 2025 is why a leaked sale becomes a shrink event. Thin net does not survive a month of employees shopping the deal in the break room.
A seller’s promise not to open or back a competing grocery belongs in a defined radius and a defined time. Grocery radii should reflect the actual trade area of that box, not a copied twenty-five-mile industrial clause from another CIM. A rural box may draw twenty miles of highway. A city neighborhood grocery may lose shoppers after six blocks. Write the map you can defend, not the map that sounded tough.
Name the activity. “Food” is how clauses die. Competing grocery — a supermarket, a neighborhood grocery, a specialty market in the same format — is something a judge and a buyer can understand. Backing a son’s store, lending the wholesaler guarantee, or consulting for the banner down the street are the sidelines that steal goodwill. Write those if they are the real risk. Do not write a ban on working at a restaurant unless that is actually the competitive threat.
Term is negotiated. This pack does not invent a standard number of years. Longer is not automatically better if the state will not enforce it. Narrow and keepable beats wide and decorative. Counsel in the store’s state owns that opinion. Do not paste a coastal clause onto a Midwestern file and call it done.
BizBuySell grocery and supermarket businesses sold in 2025 printed a 3.38 average earnings multiple, a 2.66 five-year average for 2021–2025, and a 1.60–3.15 interquartile range. Those figures assume you sold a going concern. A seller who opens across the street has not sold one. The multiple does not survive that. Price the covenant like you price inventory at cost: as a real term, not a brochure line.
A seller who keeps a second store two miles away has not sold you the goodwill. Disclose the other boxes before the LOI. Write whether they stay, sell later, or convert. A family that owns three independents and is selling one is a common file. The non-compete has to say which parking lots are still theirs.
Selling to a family member or employee still needs a real price and a real restriction. Soft language creates hard lawsuits. A parent who “helps out” at the cousin’s market two miles over is the fact pattern. Write the help.
Selling multiple locations needs a shared recast and a shared covenant plan. A non-compete that covers store A and forgets store B’s trade area is how you sell a hole. Owned real estate is a second asset. Recast the store on market rent, then cap the building. A seller who keeps the building and opens a market in the next pad has not retired. They have a new lease.
Buyers: ask who the seller will work for. A consulting deal with the wholesaler, a job at the banner, or a quiet interest in a dollar-store grocery aisle can be the same competitive fact as a new fascia. Comparing offers means cash, note, inventory, licenses, and whether the seller is actually leaving the trade.
Employees learn from vendors and shoppers. Confidentiality is a process, not a speech. Sequence the calls: qualified buyer under NDA first, then landlord when you need assignment, then wholesaler when you need consent, then department leads, then the floor. A DSD driver with a story will reach the courtesy clerk before your memo does.
Do not put a vestibule sign up. Do not let a buyer walk the aisles with a clipboard during the Saturday rush. Do not send the scan data to an email list “to see who is interested.” Blind teasers exist for a reason. Read the confidential-sale guide and then keep the guest list short.
The wholesaler over-advance is still debt. Banner consent is still a contract. Those conversations are how rumors start. Have them on purpose. Wholesaler and banner agreements when you sell is the consent calendar. This page is why that calendar is quiet.
Shoppers notice a tour. Regulars notice a new person photographing the meat case. If the format is an ethnic market, language on the floor is part of confidentiality too. A buyer who does not speak the language and wanders asking prices is a press release.
Non-competes have to be enforceable in the state and narrow enough to keep. That is the sourced teaching. This pack does not publish a state-by-state enforceability table and does not invent a federal rule. Some states treat employee covenants and sale-of-business covenants differently. Sale-of-business restrictions are often the ones that survive when they are tied to goodwill you actually sold. Employee-style bans copied into an APA are the ones that get cut.
A clause that tries to ban the seller from any food business anywhere in the state is the teaching example of a dead sentence. A clause that bars a competing grocery within the mapped trade area for a keepable term is the teaching example of a sentence worth paying for. Counsel signs the opinion. The broker does not.
SBA 7(a) can finance a change of ownership up to the published $5 million maximum. Lenders like a seller who is leaving. They also like paper their counsel will defend. A decorative statewide ban is not comfort. A mapped, signed, state-aware covenant is.
Do not use the non-compete to paper over a license you cannot transfer. SNAP authorization does not transfer. Alcohol is a class, a quota, or a control-state product. WIC, lottery, and tobacco are other counterparties. A covenant does not replace those files. It protects the goodwill those files sit on.
The LOI terms that matter for sellers and the LOI terms that matter for buyers should name the radius, the term, the formats, and any excluded stores. Put the same words in the APA. Earnest money without a covenant outline is how week six becomes a rewrite.
Consider a carve-out if the seller is taking a job that is not grocery — a distributor desk, a farm, a non-food retailer. Consider a buyout if the seller later wants to invest outside the radius. Write those as options, not as folklore. Holdbacks exist because grocery has shrink and successor tax risk. A holdback can also sit behind a covenant breach. That is a negotiation, not a threat in the CIM.
Transition hours are a close condition. They are also a confidentiality condition. A seller who stays on the floor after close is teaching the buyer, not shopping a new site. Write that. A seller who disappears on Friday and opens a market on Monday is why the covenant exists.
Family files and manager files still need the map. A handshake that “Dad won’t compete” is not a term. Asset purchase agreement essentials is where the schedule lives. Working with attorneys and CPAs is who drafts it.
Keep employee confidentiality and the seller covenant in different folders. A clerk NDA is not a sale-of-business restriction, and a sale covenant is not a substitute for paying people on Friday. If you want department leads quiet during marketing, say so in the process memo and pay them on time. If you want the seller out of the trade, say so in the APA with a map. Mixing those two papers is how a buyer thinks the crew is bound and the seller thinks a speech was enough.
A leaked process is also a valuation event. Shrink rises when the floor shops the deal. Regulars change baskets when they think the meat cutter is leaving. The first 90 days get harder before you even close. That is why the NDA names vendors and why the tour is scheduled.
Sellers: mark the seller playbook, draw the trade area, list every other store the family owns, and decide what you will not open. Buyers: mark the Buyer Underwriting Workbook and write whether the goodwill is actually for sale. Both sides recast SDE before they argue a multiple. Recurring shrink stays in the earnings. A leaked process is how shrink gets worse before close.
Post-close, the first 90 days are vendor trust, shrink, and not changing the mix for sport. A seller who is quietly backing a competitor in that window has stolen the 90-day plan. Read it anyway — post-closing 90-day plan — and keep the covenant where you can find it.
When the map is marked and the NDA is the one you will actually use, schedule the confidential intro. Bring the sketched trade area, a list of other family stores, and a one-sentence read on what the seller will do after Monday. That is enough to start packaging a file that still has a crew and a customer when the sign changes.
Price language for Non-competes and confidentiality in grocery sales is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL.
| Input or output | Illustrative figure |
|---|---|
| Weekly sales (illustrative) | $78,000 |
| Annual sales | $4,056,000 |
| Recast SDE | $235,248 (5.8% of sales) |
| Inventory at cost | $225,333 (~18 turns) |
| Occupancy check | $121,680 / year (3.0% of sales) |
| Low going-concern | $660,542 at 1.85x SDE + inventory |
| High going-concern | $931,077 at 3.00x SDE + inventory |
| Sketch DSCR on a note | 1.44 |
Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.
