Lease assignment — Landlord consent to move the store lease to the buyer. In grocery it is often the critical path. Personal guarantees, remaining term, exclusive-use language, assignment fees, and a possible rent recast decide whether the box is an asset or a countdown. Fourteen months with no options is a different file than five years plus two five-year options.

Abstract the lease before you argue SDE. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — will not price a supermarket on a handshake occupancy story. Book a confidential intro with the lease PDF, the rent ledger, and the last CAM recon. The hour is for consent risk, not for a trophy remaining-term rumor.

What the landlord actually has to sign

Most grocery leases forbid assignment without written consent. Some require financials, a business plan, and a fee. Some let the landlord recast rent to “market” as the price of yes. Underwrite occupancy after that recast. Triple-net plus CAM can already make a “cheap” base rent expensive. A consent that adds another dollar per square foot is a new P&L. FMI publishes $19.59 weekly sales per square foot of selling area for supermarkets in 2025. That is a channel sales figure, not your rent target. What is a reasonable rent-to-sales ratio is the occupancy test. Lease due diligence is the reading list.

Co-tenancy can cut rent or open a termination if a named anchor goes dark. Exclusive-use can look protective until it carves out dollar stores and pharmacies. Read which side you are on. A grocery that is the last reason a strip stays leased can find a landlord who fights assignment because losing the banner empties the parking lot. That fight is leverage. It is also delay.

How do I evaluate the lease is the buyer checklist. Can I sell if my lease is ending is the seller clock. Remaining term under two years without options is a price cut, not a footnote.

Guarantees, owned dirt, and the lender

The seller’s personal guarantee may survive assignment. Some landlords want the buyer on a new guarantee and still keep the seller. A seller who thought they were done with the strip is not done. Write the release into the consent package, or price the leftover risk. If the seller owns the building, assignment may be the wrong word — you are buying or leasing from the same person. Selling with a lease versus real estate and a sale-leaseback change the occupancy math. Recast the store on the rent a third party would charge before you mix dirt and operations.

SBA 7(a) is a common grocery acquisition tool. The program page states a $5 million maximum and lists change of ownership as an eligible use. It still needs a lease a credit committee can live with. A missing consent is not cured by a guarantee brand. Conventional lenders are the same: no box, no loan.

Condition the letter of intent on assignment in form acceptable to the buyer and the lender, with a deadline that matches alcohol and SNAP clocks you already know you cannot skip. Do not let the APA say “all licenses and leases convey” if the landlord has not seen the file. Then book the intro. Bring the lease, the options, and any estoppel the landlord already issued. Occupancy is the store. The multiple waits.

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Frequently asked questions about Lease assignment for a grocery sale

Can I close a grocery asset sale without landlord consent?

Usually not if you need the box. Most supermarket leases bar assignment without written consent. A lender will not fund a store that cannot occupy the aisle.

What happens to the seller’s personal guarantee at assignment?

Read the lease. Some landlords release the seller. Some keep the seller on the hook and add the buyer. That leftover guarantee is a deal point, not a footnote.

Can the landlord raise rent because of the sale?

Some forms let the landlord recast rent or charge an assignment fee when consenting. Underwrite occupancy after that recast, then talk price.

Does SBA 7(a) care about the assignment?

Yes. A 7(a) grocery acquisition still needs occupancy a lender can live with. The program maximum is $5 million. It does not replace a missing consent.
