Tax clearance certificate — A state revenue-agency letter stating that the seller’s sales, use, or employer taxes are paid, or that the agency will not pursue the buyer if the notice process was followed. Practice varies; some states make it mandatory on grocery asset sales.

New Jersey’s bulk-sale certificate process is a classic grocery-deal gating item; other states use different forms.

Operators, lenders, and buyers do not use this word the way a generic small-business blog uses it. On an independent grocery file it shows up in the recast, the count, or the license calendar.

Why it matters on a grocery close
