Does the liquor license travel with the bill of sale?
No. State or local alcohol agencies must approve the incoming licensee. An asset sale does not assign the privilege by recital.

Pull the face of the liquor license, mark the alcohol line on the closing and license checklist, and book a confidential intro with that folder next to the lease abstract. Grocery Store Business Broker — the grocery practice of HedgeStone Business Advisors, led by Jason Taken — packages the privilege as an agency file. It is not a slogan on the CIM.
Alcohol is state or local permission to sell beer, wine, and/or spirits. In grocery it may be a beer-and-wine permit, a quota package license, or — in a control state — an agency appointment. It is not a federal SNAP-style permit. The rules are state-specific. A Florida quota license or a Massachusetts package-store license can be worth more than the grocery SDE. Price those separately.
This is the seller process page. The buyer who needs to verify the privilege on this exact address should read liquor license due diligence. The map of regimes lives on state-by-state alcohol.
Start with the paper on the wall and the agency database, not with the word “liquor.” What class is it. What address is printed. Who is the licensee of record. Does the privilege cover beer only, beer and wine, or spirits. New York grocery beer is a different class than a package liquor store. California Type 20 off-sale beer and wine is not an off-sale general spirits privilege. Texas beer and wine in a wet county is not a package-store spirits license.
If the CIM says “full liquor” and the face says beer, you have a credibility problem before anyone tours. If the CIM omits alcohol and the wine aisle is a third of margin, you have a packaging problem. Recast the P&L so beer, wine, and spirits — if they exist — can be seen. Turns are not one number. Center store and wine do not share a clock. Inventory at cost on the alcohol set is still a close count. Retail tags are not cost.
An asset sale does not assign the privilege by recital. The agency that issued it has to approve the incoming licensee. Local boards often sit on top of the state file. Illinois is ILCC plus a local liquor commissioner. Massachusetts is the local board plus ABCC. Nevada is often the county or city board in Clark or Washoe plus state tax licensing. Write the actual counterparties. Do not write “the liquor board” as if there were one.
NABCA lists 17 control states: Alabama, Idaho, Iowa, Maine, Michigan, Mississippi, Montana, New Hampshire, North Carolina, Ohio, Oregon, Pennsylvania, Utah, Vermont, Virginia, West Virginia, and Wyoming. NABCA also describes 18 control jurisdictions when counting Montgomery County, Maryland, and notes additional local-control pockets in Alaska, Maryland, Minnesota, and South Dakota.
In Pennsylvania or Utah, “the grocery liquor license” is usually the wrong phrase. Spirits sit in the state store system — Fine Wine & Good Spirits in Pennsylvania, DABS stores in Utah, Virginia ABC stores, New Hampshire Liquor & Wine Outlets, county ABC stores in North Carolina. Grocery may hold beer, and sometimes wine, under a separate retail privilege. Idaho, Alabama, and Mississippi typically keep spirits out of the grocery aisle. Maine, Michigan, Ohio, Oregon, Vermont, and West Virginia can mix licensed beer and wine with agency or contract spirits arrangements. Verify the appointment on this store. Do not assume a supermarket-aisle spirits story.
Minnesota municipal liquor towns and some South Dakota cities can bar a private off-sale privilege entirely. A muni town may have nothing private to transfer. Alaska local option can be wet, damp, or dry. Kentucky wet, dry, and moist counties still define whether beer and wine even exist. Package-store quotas in a wet Kentucky county are a different asset than a grocery beer license.
If you sell grocery in a control state, tell the truth in the teaser: beer and wine retail, state spirits channel, or an agency appointment that is a separate contract. An agency liquor-store appointment in Maine, Montana, Ohio, Oregon, or Vermont is not automatic with the grocer’s asset sale. The division that appointed the store has its own file.
A quota license is a limited off-premise privilege issued only up to a population or municipal cap. Transfers can carry a market price separate from grocery SDE. Not every state uses quotas. Confirm the ABC list before the LOI treats the license as included at book value.
Florida’s quota liquor series is a well-known limited class. The grocery may own it, lease it, or sit next to a package store that owns it. Massachusetts Section 15 package-store licenses are quota-limited by municipality. New Jersey plenary retail distribution licenses are population-quota limited in many towns and are often a scarce asset sitting beside a grocery that only sells beer. Wisconsin municipal Class “A” liquor quotas are a classic deal issue. California off-sale general licenses are limited by census-tract formulas in many areas. Kentucky package quotas are material in wet counties.
BizBuySell grocery and supermarket businesses sold in 2025 printed a 3.38 average earnings multiple, a 2.66 five-year average for 2021–2025, and a 1.60–3.15 interquartile range. Those figures price a grocery going concern on a listing-site sold sample. They do not price a scarce quota. If you bury a six-figure privilege inside a 2.5× grocery multiple, you will either give it away or pick a fight at the allocation table. Form 8594 and purchase-price allocation are where counsel and the CPA earn their keep. Do not invent a license appraisal in the CIM.
FMI’s 2.1 percent average net profit for food retailers in 2025 is thin-net context for the grocery. Alcohol margin can look rich next to that. It can also vanish if the privilege does not move. Recast before you argue. Owner pay can move SDE. A quota you cannot transfer cannot.
The privilege is attached to a premises. A lease assignment that the landlord will not sign can strand a transferable license. A license that the agency will not move to a buyer who fails a background check can strand a signed APA. Lease diligence and the alcohol file belong in the same week. Remaining term under twenty-four months without options is a price cut before anyone talks about wine.
Local option still kills files. Arkansas dry counties, Georgia Sunday and city rules, Kansas cereal-malt versus full-strength, Tennessee wine-in-grocery opt-in, Texas wet-dry maps, and Oklahoma’s split between grocery strong beer and package spirits are not trivia. They are whether the aisle you are selling exists.
Sunday hours, distance rules, and school or church buffers show up in the agency packet. This pack does not invent those distances. Pull the statute or the local rule for the address. Hawaii licenses by county commission. Maryland licenses by county board, with Montgomery County Alcohol Beverage Services as a NABCA control jurisdiction. Do not write a statewide sentence over those maps.
Inventory night needs rules for the alcohol set: what is unsellable, who pays the crew, how disputes resolve. FIFO versus a messy back room is how you start a fight at 2 a.m. Write the count rules in the LOI the same day you write the transfer condition. How inventory is counted at closing is the grocery method. Wine and spirits still count at cost.
Do not date the close to a rumor. This pack does not publish how long an ABC, ATC, TABC, SLA, or local board takes. Quota and control files can add process. That is a qualitative fact, not a stopwatch. Ask the agency that owns this privilege. Some files close with a hold or a temporary authority if the state issues one. Some files wait. Write which one you are doing. Transition hours can introduce the beer distributor. They cannot invent an approval.
DSD vendors will keep delivering after a sloppy close only if someone is paying them. The beer and wine houses are counterparties. Put them on the consent list next to the wholesaler. An over-advance on the grocery wholesaler is still debt. It is not an add-back.
Multi-store sales need a shared license calendar or they unravel store by store. A beer privilege in one county and a quota package license in the next are not “the liquor.” A control-state grocery next to a license-state grocery in the same chain is two regimes. Write a one-page grid: store, class, agency, quota or appointment, and whether the incoming owner can hold it. Selling multiple locations is the recast. This grid is the alcohol process inside the recast.
If you do not sell alcohol, say that once and stop. Do not pad the CIM with a spirits fantasy a buyer will price and then subtract. A halal or kosher file that refuses beer is an operating constraint, not a missed add-on. Adding beer after a close can destroy the franchise the buyer just paid for. Tell that truth early.
You can say the class, the agency, and that transfer requires approval. You can say whether spirits are grocery, package, or control-store. You can say a quota series exists and will be priced apart from grocery SDE. You cannot promise a date. You cannot call a beer permit “full liquor.” You cannot treat an agency appointment as sold with the coolers.
Confidential outreach still applies. A vestibule sign that you are selling, plus a wine aisle the regulars care about, is how employees and competitors learn together. Read how to sell a grocery store confidentially. Buyers who “just stop by” after an NDA are how small-town files die.
SBA 7(a) can finance a change of ownership up to the published $5 million maximum. Lenders still want a privilege the borrower can operate. A CIM that omits the lease abstract and the license class is a brochure. Comparing offers means cash at close, note terms, inventory treatment, and license risk — not the headline price.
Tobacco sits with tax and health agencies. WIC is a vendor file. Lottery is often personal. Those are other folders. See WIC, lottery, and tobacco checklists. Do not hide them inside the alcohol paragraph.
Mark the seller playbook and the SDE worksheet. Recast the grocery. Separate inventory at cost. Then write one page that names the alcohol privilege, the agency URL, the address on the face, and whether any quota or agency appointment is a second asset. The LOI terms that matter for sellers should repeat that page.
If you already know the harder federal file is SNAP, that authorization still does not transfer — the buyer files a new FNS application — and that work lives on the SNAP seller guide. Alcohol remains the state file you can start this week by pulling the license report.
When the ABC folder is marked, schedule the confidential intro. Bring the license face, any quota documentation, the lease, and a one-sentence read on whether beer, wine, or spirits actually pay the rent. That is enough to start packaging the transfer as a process instead of a hope.
These figures are a teaching walk-through for Transferring your grocery liquor license, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band.
| Input or output | Illustrative figure |
|---|---|
| Weekly sales (illustrative) | $168,000 |
| Annual sales | $8,736,000 |
| Recast SDE | $270,816 (3.1% of sales) |
| Inventory at cost | $624,000 (~14 turns) |
| Occupancy check | $235,872 / year (2.7% of sales) |
| Low going-concern | $1,165,632 at 2.00x SDE + inventory |
| High going-concern | $1,436,448 at 3.00x SDE + inventory |
| Sketch DSCR on a note | 1.46 |
Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.
Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.
Print these, mark them up, and bring the marked copy to the intro. They are educational. They are not a valuation letter and not a listing. All downloadable guides.
Have the file ready so the hour is a recast, not a scavenger hunt. Then pick a time.
