Lottery retailer — State lottery retailer contract to sell tickets and pay winners. The contract is typically personal to the retailer and is not an automatic transfer when a grocery sells; the buyer applies to the lottery agency as a new retailer. On a grocery sale the term is used the way operators and lenders use it, not a non-food textbook definition.

If lottery commission is a material earnings line, treat a gap between contracts as a deal risk, not a rounding error.

Operators, lenders, and buyers do not use this word the way a generic small-business blog uses it. On an independent grocery file it shows up in the recast, the count, or the license calendar.

Why it matters on a grocery close

A CIM that name-drops Lottery retailer without tying it to SDE or inventory at cost is decorating. 2.1% average net profit for food retailers in 2025 (FMI Speaks sample) is channel context. 3.38 average earnings multiple on grocery/supermarket businesses sold on BizBuySell in 2025 is a sold-sample multiple, not a definition of Lottery retailer.

If Lottery retailer changes cash at close, write the mechanic into the LOI. If it is only vocabulary, put it in a footnote and move on.

Read EBITDA, add-backs, shrink, turns, SNAP authorization, asset sale, and DSCR as needed. The glossary hub lists the rest.

Illustrative, not a quote. For a Lottery retailer, recast SDE of $287,017 at 1.82×–3.08× plus $145,073 inventory at cost frames a going-concern band of about $667,444 to $1,029,085. The 2.59× midpoint lands near $888,447. Lease remaining term and license lag can move the check more than the multiple.

Checklist: Lottery retailer

Illustrative, not a quote. Keep the conversation on Lottery retailer, scan data, and license clocks — not on a neighbor’s rumor multiple.

FIFO versus a messy room is how you start a fight at 2 a.m.

APA schedules are where the real store lives: contracts, equipment, excluded assets. That is how a grocery file is actually read.

EBT deposits should reconcile to the SNAP story. A gap is either mix, downtime, or fiction. Put it in the CIM or it will show up as a re-trade.

Lease remaining term under 24 months without options is a price cut, not a footnote. See also SDE, inventory at cost, shrink, SNAP authorization.

Lottery contracts are often personal. Confirm before you count commission as durable.

Transition hours are a close condition. Write them. That is how a grocery file is actually read.

HFFI and state healthy-food programs change; do not quote a stale dollar cap. Put it in the CIM or it will show up as a re-trade.

Inventory night needs rules: what is unsellable, who pays the crew, how disputes resolve. See also lease diligence, liquor transfer, recasting a P&L.

The LOI should say how inventory is counted and how licenses are conditioned.

Scan data is the adult conversation. A weekly-sales spreadsheet without department mix is a rumor. That is how a grocery file is actually read.

Banner fees and program charges belong in the recast as continuing costs if the buyer will keep the fascia. See also SDE, inventory at cost, shrink, SNAP authorization.

WIC is a vendor file, not a sticker on the door. Put it in the CIM or it will show up as a re-trade.

Read turns, DSD, wholesaler, asset sale. Cross-check how a sale works and the FAQ. Format pages live under sell an independent supermarket and buy an independent supermarket. Tools: valuation calculator, cash-to-close, rent checker.

Attorneys and CPAs who have never closed a grocery file will rediscover SNAP in week six. That is how a grocery file is actually read.

Recast before you argue a multiple. Owner pay, one-time legal, and personal autos can move SDE; recurring shrink cannot.

Wholesaler over-advances are debt. They are not a cute add-back. See also lease diligence, liquor transfer, recasting a P&L.

SNAP authorization does not transfer. Budget downtime in cash and in the story you tell the landlord. Put it in the CIM or it will show up as a re-trade.

Unreported cash does not survive SBA. It also does not survive a serious conventional buyer. That is how a grocery file is actually read.

Ethnic mix without language on the floor is a shrink plan.

Seller notes often sit on standby behind SBA. Read the standby, not the folklore. See also SDE, inventory at cost, shrink, SNAP authorization.

A CIM that omits the lease abstract is a brochure. Put it in the CIM or it will show up as a re-trade.

Selling to family or a manager still needs a real price and a real note. Soft language creates hard lawsuits. That is how a grocery file is actually read.

DSD vendors will keep delivering after a sloppy close only if someone is paying them.

Owned real estate is a second asset. Recast the store on market rent, then cap the building.

Tax clearance belongs in escrow language, not in a handshake. That is how a grocery file is actually read.

A rural box can be a good living and a terrible loan. Those are different questions. Put it in the CIM or it will show up as a re-trade.

DSCR is annual cash flow over annual debt service. Hope is not a ratio. See also turns, DSD, wholesaler, asset sale.

Comparing offers means cash at close, note terms, inventory treatment, and license risk — not the headline price.

Multi-store sales need a shared recast and a shared license calendar, or they unravel store by store. That is how a grocery file is actually read.

Turns are not one number. Center store and wine do not share a clock. Put it in the CIM or it will show up as a re-trade.

A below-market related-party rent juiced the earnings and will reverse on day one. See also lease diligence, liquor transfer, recasting a P&L.
