Name the SLA class and the health desk before you name a borough. Then book a confidential intro with the license printout and three years of numbers you can recast. A grocery beer license in Queens and a package store on the same block are not the same SLA class, even when both teasers say New York. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — treats a New York grocery as an SLA beer file, not a California-style off-sale general. Statewide tax and agency rules live on the New York seller page and buyer page. This essay is the metro file: beer versus liquor stores, city health versus Agriculture and Markets, city versus upstate as qualitative structure, and three immigrant books that do not share a produce house.
FMI’s 2025 supermarket sample — $1 trillion in channel sales, $668,377 average weekly sales, $19.59 per square foot, and a 2.1 percent food-retailer net — describes the channel. It is not a Roosevelt Avenue Saturday. BizBuySell’s grocery and supermarket sold sample is the only sourced earnings multiple set here: 3.38 in 2025, 2.66 five-year average, interquartile range 1.60 to 3.15, and 0.43 times revenue. Those attach to recast earnings. They are not a Manhattan asking-price table.
SLA: beer in grocery, wine and spirits in liquor stores
New York State Liquor Authority issues the privilege. Grocery stores may sell beer, and typically cider or wine products only if separately licensed. Wine and spirits are sold in liquor stores, not in standard grocery aisles. Package liquor stores are a separate license class. Liquor-store licenses have 200-foot / 500-foot and municipal rules. Grocery beer licenses are a different class. Confirm SLA. SLA must approve a transfer. A grocery beer license does not become a liquor-store license by sale.
A CIM that calls a Key Food “full liquor” is a misread unless a separate package store sits next door as its own legal file. Ask SLA which class sits on this address before you tour the aisle. Read state-by-state alcohol regime, liquor license, and liquor-license due diligence. The liquor versus no-liquor essay is the format fork. Do not fold a neighbor’s package store into grocery SDE.
Tobacco sits with New York State Department of Tax and Finance and, in the city, local enforcement including the NYC Sheriff lane this pack records. Confirm the desk for the address.
NYC DOHMH versus Agriculture and Markets
NYC DOHMH food service versus NYS Agriculture and Markets retail is a split this pack records on purpose. Name the desk that owns the address. A Brooklyn prepared-food program and an upstate retail-food store are not the same close calendar. Do not copy a DOHMH workplan onto an Albany or Rochester Ag & Markets file. A new operator is a new permit, not a sticker on the walk-in.
Put health next to landlord consent. Lease assignment and lease due diligence are often the critical path on a city leasehold. This pack does not publish a New York rent-per-foot. Occupancy is a ratio from the lease and the P&L. Use the rent checker.
If the seller owns the box, recast the store on market rent first. Buying a store with real estate keeps the stacks apart. A related-party rent is not SDE.
New York Tax Law bulk-sale notice (Publication 750 / Form AU-196.10 lineage) is a standard asset-sale item. Confirm current Tax Department bulk-sale instructions. UCC Article 6 bulk-transfer statutes have been repealed in most states; that repeal does not erase tax successor risk. Read bulk sales and tax clearance.
Stop & Shop, Wegmans, ShopRite, and Key Food
Stop & Shop, Wegmans at the outer metro / upstate edge, ShopRite, and Key Food / Associated independents are the competitive set this pack records. They steal trips. They do not set a multiple. An independent still has to explain the language, the produce house, or the hours those banners will not copy. Do not price “a little under ShopRite.” Do not treat a Wegmans opening as a sold-comp.
Wakefern, C&S Wholesale Grocers, UNFI, and Krasdale appear on many New York independents. Confirm drop minimums, over-advances, and whether the incoming owner gets an account. Wholesaler agreements are a close item. FMI counted 45,575 U.S. supermarkets in 2024. Your fascia is one contract. Keep independent versus banner honest.
City versus upstate is qualitative structure from this pack, not a store count. Upstate notes in the state file point to a Wegmans competitive set and neighborhood independents in older cities. Long Island / Hudson Valley notes point to suburban conventional plus kosher and Hispanic independents. Those are corridor notes. This page will not invent a density figure or a population share.
Flushing, Jackson Heights, and Washington Heights are three books
Flushing / Sunset Park / Manhattan Chinatown is recorded as Chinese and broader East Asian grocery independents. Jackson Heights / Richmond Hill is recorded as South Asian and Latino independents. Washington Heights / Bronx is recorded as Dominican and other Latino independents. Those notes are qualitative. This page does not invent share-of-population percentages. A Flushing seafood rack and a Washington Heights produce program can share a city and not share a warehouse. Recast each book on its own shrink and its own language. If the seller is the only closer who can order, write Tuesday hours into the LOI.
An Asian grocery, an Indian / South Asian grocery, and a Hispanic / Latino grocery are different supply books. Buying an ethnic market outside your community is the tourist warning. If the seller is the only closer who can order, write transition hours into the LOI. The ethnic versus conventional essay is the format fork.
Recast department mix. Produce and meat can sink a storewide gross margin. Read shrink, margin, and turns and verifying sales with scan data. Tie weekly sales to scan and EBT deposits.
City wage $17 versus $16 elsewhere
The DOL consolidated table effective July 1, 2026 lists $17.00 in New York City, Nassau, Suffolk, and Westchester, and $16.00 in the remainder of the state. Confirm NY DOL and NYC paid-safe-sick-leave rules. A recast that uses $16 inside the five boroughs is a labor hole. Related-party hours that vanish at close are not an add-back. Put the wage you will actually pay back into the recast, then run the DSCR calculator. Read state-by-state minimum wage.
SBA 7(a) can finance a change of ownership; the published maximum is $5 million. The file still has to look like a grocery. Read SBA 7(a) for grocery.
New York generally exempts eligible food for home consumption from state sales tax. NYC and local taxes follow the same food exemption for qualifying groceries; prepared food is taxable. Confirm Tax Bulletin ST-283 (Food and Food Products). See grocery sales tax.
FRESH and zoning as a verify item
NYS and NYC have had FRESH / food-retail incentive programs. Verify the current HPD or ESD notice rather than a stale abatement schedule. This page will not invent a dollar cap or a tract map. NYC FRESH / zoning incentives are a licensing quirk this pack flags for verification. Treat them as a current-notice item, not as a priced add-back.
Federal and local food-access programs may apply. This page records no dollar figure.
SNAP does not transfer; lottery and WIC are new contracts
USDA FNS: SNAP authorization does not transfer. The new owner files a new retailer application. Budget cash for the gap. Read SNAP when you sell and EBT diligence. This page does not publish a SNAP-retailer headcount for New York City or New York State.
WIC sits with New York State Department of Health — WIC. Lottery is a New York Lottery retailer contract. WIC, lottery, and tobacco checklists belong on a dated workplan next to SLA. Hold back unsellable on the count. Closing-day inventory is a procedure. Recasting a grocery P&L is the earnings method.
What city versus upstate changes on the close calendar
City versus upstate is qualitative structure from this pack, not a store count and not a homemade multiple. In the five boroughs, expect DOHMH, a $17 wage on the DOL table, and often a Key Food / Associated or ShopRite competitive set. Outside the city — including the $16 remainder of the state — expect Agriculture and Markets on many retail-food files and, at the outer metro and upstate edge, a Wegmans competitive set the state file already notes. Do not copy a Flushing workplan onto a Rochester independent. Do not copy a Buffalo neighborhood file onto a Washington Heights bodega-scale grocery and call it the same New York deal.
Liquor-store proximity rules (200-foot / 500-foot and municipal) matter when someone tries to treat a neighbor’s package store as part of the grocery. They do not turn a grocery beer license into a wine aisle. Confirm SLA. Write beer-license approval as a close condition. The LOI terms that matter for buyers should name SLA, the health desk, and the landlord.
Krasdale and other independents’ wholesalers sit next to Wakefern, C&S, and UNFI on many city files. Confirm which house actually drops this store. A Key Food relationship is a cooperative conversation. Confirm eligibility, deposits, and whether the incoming owner keeps the fascia. Independent versus banner is the fork if the buyer wants the sign more than the store.
Bring three years of P&Ls, a scan export, the SLA class, and the health-desk name to the first call. Preparing three years of financials is the seller’s job. How to read a CIM is the buyer’s filter. A CIM that pastes 3.38× onto an unrecast tax-return profit is selling a listing-site average.
Buying versus starting is the honest question if the only reason you want the box is a FRESH rumor. Verify the current HPD notice. This page will not invent an abatement schedule.
New York multiples sit behind the SLA file
Going-concern value is recast SDE or EBITDA times a negotiated multiple, plus sellable inventory at cost. Start from the national sold sample and subtract lease holes, SLA lag, health-desk timing, and a store that still needs the seller. The valuation hub and how to value a grocery store are the method. Use the valuation calculator on this recast.
Sellers: keep the rumor off the sales floor. Start with a blind teaser and an NDA. Read confidential sale. Buyers: how to buy step by step is the sequence. Mark the Buyer Underwriting Workbook. Then book a confidential intro with the borough or county named and the SLA class printed. Jason Taken will not invent a New York sold-comp to paper over a beer license that cannot become a liquor store. If the box is upstate, say the county and the health desk so a city DOHMH workplan is not copied onto an Agriculture and Markets file.
How a buyer would price Buying or selling a New York grocery store
Price language for Buying or selling a New York grocery store is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.
Rent at 2.2% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.
Book the intro call with your side of the table ready: seller files or buyer capital. The calendar is the only next step.
