What happens to SNAP authorization when you sell

Print the closing and license checklist, mark the SNAP line, and book a confidential intro with the FNS packet in the same folder as last year’s EBT settlements. Grocery Store Business Broker — the grocery practice of HedgeStone Business Advisors, led by Jason Taken — treats SNAP retailer authorization as a federal file you can package, not as a sticker the bill of sale moves.

USDA FNS is plain. SNAP authorization does not transfer. A SNAP permit is valid only for the location and owners on record. If you sell the store, the new owner may not use your permit and must file a new application. That sentence is the deal. Everything else on this page is how you sell around it without surprising the buyer, the landlord, or the lender.

This is a seller page. The buyer-side reconstruction of mix and sanctions lives on EBT and SNAP diligence. Read both if you want the same file told from both sides of the table.

The FNS permit is this owner at this address

The authorization is not “the store accepts food stamps.” It is USDA Food and Nutrition Service permission for named owners at a named premises. Change the owners and the permit does not follow the coolers. Change the legal entity in a way FNS treats as a new owner and you have the same problem. A stock sale does not create a secret shortcut just because the EIN looks familiar to you. Ask counsel what the agency will see. Do not guess from a forum.

EBT is the card rail at the register. It is not the permit. EBT volume can be huge on a neighborhood box and still be worthless as a transferable asset. The rail shuts off for the incoming owner when the old authorization ends. Matching EBT deposits to the P&L is how you prove the week. It is not how you move the permit.

FMI’s channel facts describe a supermarket sample: $1 trillion in 2025 supermarket sales, 45,575 U.S. supermarkets in 2024, $668,377 average weekly sales per supermarket in 2025, and $19.59 weekly sales per square foot of selling area. Those numbers are useful so you do not paste a national week onto an 8,000-square-foot independent. They do not change the FNS rule. This pack does not publish state SNAP retailer counts. Those fields are null. Do not invent a local density story to dress the CIM.

What a sale does to the authorization

On an asset sale — the usual grocery close — the buyer is purchasing equipment, inventory, and a going concern. The buyer is not purchasing your FNS number. Write the schedules that way. If a draft APA lists “all licenses and permits” as if SNAP were a city food permit that assigns, strike it and replace it with the federal sentence: new owner, new application.

A buyer who says “we will just keep your terminal until ours lands” is asking you to leave them on a permit they cannot legally use. That is not a transition courtesy. It is a problem for both of you. Transition hours can teach the cut room and introduce vendors. They cannot lend an FNS permit.

If EBT is a small slice of the week, say so with settlements, not with a shrug. If EBT is the engine — common on many independent and ethnic boxes — say that too, and price the file as a store that must survive a new FNS application. SBA 7(a) can finance a change of ownership up to the published $5 million maximum. It does not finance a fantasy that the permit rides along. Unreported cash that “makes up for” EBT does not survive SBA and it does not survive a serious conventional buyer.

How EBT shows up in the week you are selling

A serious operator will ask for EBT settlement reports, scan data, sales-tax filings, and the wholesaler trail. Those four should tell one story. A gap is mix, downtime, or fiction. Your job as seller is to put that folder together before anyone tours. A weekly-sales spreadsheet without department mix is a rumor. Scan is the adult conversation.

Department gross margin can hide a SNAP-heavy grocery aisle next to a meat case that loses money. Recast SDE before you argue a multiple. BizBuySell grocery and supermarket businesses sold in 2025 printed a 3.38 average earnings multiple, a 2.66 five-year average for 2021–2025, and a 1.60–3.15 interquartile range on that sold sample. Those are national listing-site figures. They are not a premium for “we take EBT.” A SNAP-heavy week can support volume and still need a discount if the incoming owner cannot ring that volume on day one.

FMI’s 2.1 percent average net profit for food retailers in 2025 is a reminder that grocery is thin. Independent net is commonly discussed in a roughly 1–3 percent working range. That range is not an official NGA census in this pack. Treat it as conversation, not a quote. Thin net means an EBT hole is not a rounding error. It is a week you have to fund.

WIC is a different program on a different clock. Do not bundle it into the SNAP paragraph of the CIM. Lottery is often personal. Tobacco sits with tax and health agencies. Alcohol is a class, a quota, or a control-state product. SNAP is the federal food-benefit file. Keep the folders separate so a buyer can underwrite each one.

Cash the buyer needs while a new file is pending

The glossary teaching is the right one: build a cash-flow gap for the weeks or months a new owner may operate without EBT. That is a planning sentence. It is not a published FNS processing time. Do not put a number of days on the CIM. Do not promise the buyer a date FNS has not given that buyer. Ask the buyer to budget working capital for a store that might have to run on card, cash, and WIC — if WIC is even still theirs — until a new SNAP authorization lands.

Working capital is the cash to buy the next load, meet payroll, and survive that gap. Inventory at cost is a separate check at close. Retail tags are not cost. The buyer who underwrites only the down payment and forgets the SNAP reserve is a buyer who will miss a payment to your wholesaler or bounce the note. You do not want that person. Point them at the cash-to-close estimator and at how much money you need before you argue about price.

If you are carrying a seller note, the SNAP gap is your credit risk too. A note that only works if EBT never pauses is not a note. Read any standby behind SBA. The senior lender will not treat your folklore as collateral.

Family and manager sales do not get a softer FNS rule. Selling to a family member or employee still needs a new application if the owner of record changes. A son who has run the floor for a decade still files. A stock sale that keeps the same names on the FNS record is a counsel question, not a slogan. Soft language about “we will keep Dad’s number live” is how you create a hard problem for people you care about.

A rural box can be a good living and a terrible loan when EBT is the week and the incoming operator cannot fund the gap. Those are different questions. Say which one you are selling. A distressed or declining store still has a permit that ends. Price the inventory and the lease. Do not sell a turnaround novel that assumes the buyer rings your EBT on day one.

Put the SNAP condition in the LOI and the APA

The LOI terms that matter for sellers should say, in words a lender can repeat, that SNAP does not transfer, that the buyer will file a new application, and that close is not conditioned on FNS having already approved that application unless you have actually agreed to wait. Waiting for a federal file you do not control is how dates slip and inventory ages. Many files close with the buyer funding the gap. Some files wait. Write which one you are doing. Do not leave it in a handshake.

The APA schedules are where the real store lives. List the current authorization as seller’s, ending at close. List the buyer’s obligation to apply. Do not list the FNS number as a conveyed asset. Tax clearance still belongs in escrow language. Bulk-sale or successor-liability practice can still exist after UCC Article 6 died. Those are tax and creditor problems. They are not a SNAP transfer.

Attorneys and CPAs who have never closed a grocery file will rediscover SNAP in week six. Hand them this page and working with attorneys and CPAs before they draft “all permits assign.” See asset purchase agreement essentials so the schedules match the store you are actually selling.

Tell the landlord a going-concern story, not a rumor

The landlord cares whether rent clears after Monday. If EBT is material, the assignment conversation should include a sentence about a possible SNAP gap and how the incoming tenant funds it. A lease with twenty-four months or less and no options is already a price cut. Adding an unexplained EBT hole on top of a short term is how lease diligence kills a file. Assignment, exclusive use, and co-tenancy are the clauses civilians find late. You should find them before the teaser goes out.

The wholesaler cares whether the next load gets paid. An over-advance is debt. It is not an add-back. Banner fees stay in the recast if the buyer keeps the fascia. None of that substitutes for the FNS rule. Wholesaler and banner agreements when you sell is the consent calendar. SNAP is the federal calendar. Run them in parallel.

Confidentiality still matters. Employees, vendors, and shoppers will announce a sale if you put a vestibule sign up or let a buyer “just stop by.” Read how to sell a grocery store confidentially. The SNAP file can be prepared without telling the front end you are leaving.

Bring the FNS packet to a confidential intro

Mark the seller playbook and the SDE worksheet. Recast owner pay and one-time items. Leave recurring shrink in the earnings. Separate inventory at cost. Then put the SNAP sentence on the first page of the process memo: does not transfer; new owner applies; budget a gap; do not invent a clock.

If you already know alcohol is the harder privilege, read transferring your liquor license next. If WIC, lottery, or tobacco carry the week, read those checklists. SNAP still sits on its own federal rail.

When the folder is marked, schedule the confidential intro. Bring three years of P&Ls and returns, a year of weekly sales with EBT settlements, the lease abstract, and the current FNS permit. Say in one sentence what you want after close — cash, a note, the building, a job — and say whether EBT is a slice or the engine. Missing paper is not a moral failure. Hiding the EBT mix on the call is how the hour dies. That is enough to start packaging the file.

An illustrative recast on What happens to SNAP authorization when you sell

Use this napkin recast on What happens to SNAP authorization when you sell when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15.

Input or output Illustrative figure
Weekly sales (illustrative) $141,000
Annual sales $7,332,000
Recast SDE $344,604 (4.7% of sales)
Inventory at cost $611,000 (~12 turns)
Occupancy check $249,288 / year (3.4% of sales)
Low going-concern $1,248,517 at 1.85x SDE + inventory
High going-concern $1,541,431 at 2.70x SDE + inventory
Sketch DSCR on a note 1.49

Rent at 3.4% of sales is the occupancy check. If the real lease is higher, the SDE in this table is too generous until you recast to market rent.

Bring three years of P&Ls, weekly sales, and the lease abstract to the intro call. Jason will tell you whether this band is even in the conversation.

Frequently asked questions about What happens to SNAP authorization when you sell

Does SNAP transfer when I sell my grocery store?

No. USDA FNS: SNAP authorization does not transfer. A SNAP permit is valid only for the location and owners on record. The new owner may not use your permit and must file a new application.

Can the buyer keep ringing EBT on my permit after close?

No. After ownership changes, the buyer cannot accept SNAP on the seller’s permit. Build a cash-flow gap for the period the new owner may operate without EBT.

Is this legal advice?

No. It is grocery-deal process. Counsel and a CPA sign the opinions.

Do you publish SNAP retailer counts by state here?

No. State SNAP retailer counts are null in this research pack. The sourced fact is the federal non-transfer rule.

Where do I start if EBT is a real aisle in my store?

Print the closing and license checklist, mark the SNAP line, and book a confidential intro with the FNS packet and last year’s EBT settlements.

Sell on your terms, not on a listing site

HedgeStone Business Advisors runs a quiet process: recast, qualified operators, and a close that survives the count. The only next step is the intro call.
