Holdback — A slice of price left in escrow after close to cover indemnities, tax notices, or inventory disputes. Common on grocery asset sales because shrink surprises and tax successor claims tend to appear after the keys change hands. On a grocery sale the term is used the way operators and lenders use it, not a non-food textbook definition.
A 60–90 day tax and inventory holdback is a negotiation, not a sourced “market standard dollar amount” in this pack.

If Holdback changes cash at close, write the mechanic into the LOI. If it is only vocabulary, put it in a footnote and move on.
