Book a confidential intro with proof of funds, perishable hours you can staff or a partner who has them, and a map that names Anchorage Bowl, Mat-Su, Interior, or Southeast—not “Alaska” as one store. Grocery Store Business Broker — HedgeStone Business Advisors, led by Jason Taken — underwrites an Alaska independent as freight first, then a recast and a DSCR test. Email jason.taken@hedgestone.com if you already have the warehouse letter and the borough’s local-option status.

Census Vintage 2024 estimates Alaska at 740,133 people as of July 1, 2024. Census County Business Patterns 2023 counted 210 establishments in NAICS 445110 (supermarkets and other grocery retailers except convenience), all legal forms. That is industry headcount, not listings, and not a SNAP-retailer census. This pack left SNAP retailer counts null. USDA FNS authorization does not transfer. Carrs-Safeway (Albertsons Cos.), Fred Meyer (Kroger), and Three Bears Alaska set banner weather. They are not your sold comps.

Supply lines decide whether the week is real

Interior and Southeast independents live on long supply lines. Barge schedules, ferry weather, and air freight for perishables are repeating costs. Put them on the recast before anyone argues a multiple. A Lower 48 CIM that treats freight as “normal grocery COGS” will overstate SDE. Leave recurring shrink in the earnings. Reverse related-party rent that will not survive Monday. Tie weekly sales to scan data and EBT deposits.

FMI’s national channel facts—roughly a trillion dollars in 2025 supermarket sales and a thin average net in its Speaks sample—describe the Lower 48 shelf, not a Juneau barge week. Use them only as a reminder that grocery margins are tight before freight. This page will not invent Alaska asking-price means or fake SDE dollars. UNFI and C&S Wholesale Grocers terms travel with the buyer: drop minimums, over-advances, and personal guarantees. Read the warehouse letter before you tour.

Anchorage Bowl is the primary independent and banner market. Mat-Su / Wasilla–Palmer is a fast-growing commuter trade area. Fairbanks and the Interior carry military and university demand with long supply lines. Southeast—Juneau, Ketchikan—runs ferry- and barge-dependent independents. Drive the logistics story. Do not price a ferry independent as if it were a Bowl conventional box. Sibling process for owners lives on sell a grocery in Alaska.

DEC Food Safety is the permit desk, not a sticker

Retail food sits with Alaska Department of Environmental Conservation, Food Safety and Sanitation. Incoming operators need a current food establishment approval for the address and the operator. A prior owner’s clean inspection is not your permit. Put DEC on the critical path beside landlord consent and any local business license.

Alaska has no state sales tax. Local boroughs and cities may levy local sales taxes that can apply to groceries—confirm the store’s municipality before you trust register “sales” language on a teaser. Confirm any Department of Revenue business-tax clearance on an asset sale; absence of statewide sales tax does not erase other tax clearance questions. Bulk sales and tax clearance still belongs in counsel’s memo.

AMCO local option can erase the beer aisle

Alaska Alcohol and Marijuana Control Office must approve an ownership change. NABCA notes some Alaska jurisdictions adopted control-model features. Statewide grocery wine is not automatic; local option and package-store rules apply. Spirits are not generally treated as a grocery product here—package-store licenses dominate. Local option can classify a community wet, damp, or dry and can bar alcohol entirely. Verify the borough before you model package gross profit. Liquor license due diligence is the national worksheet; Alaska adds a community vote that can zero the aisle.

WIC sits with Alaska Department of Health — WIC. That is a vendor file. Alaska does not operate a traditional state lottery as of this research date; verify before listing lottery as a deal item. Tobacco and related youth-access rules should be confirmed with counsel against the store’s current privileges.

Wage floor, hired cutters, and the payment ratio

DOL’s July 1, 2026 consolidated table lists Alaska at a $14.00 state minimum—above federal. Confirm Alaska Wage and Hour posters. Recast unpaid owner weeks into hired labor at rates a lender will believe for Anchorage versus Interior staffing. A seventy-hour owner who is also the only cutter is key-person risk on a ferry schedule, not a wage savings.

DSCR is annual cash flow over annual debt service after that recast. Hope is not a ratio. Run the SBA 7(a) payment and DSCR calculator once freight and hired labor are in the model. AMCO lag belongs in the calendar. What is DSCR for a grocery acquisition is the definition. The valuation hub is the method.

Cash that buys the next load while EBT is dark

Cash to close is equity plus inventory at cost plus working capital plus closing costs plus a reserve through the FNS gap—and enough to keep freight moving. The cash-to-close estimator exists so you stop surprising yourself. How much money you need is the same stack in prose.

Inventory is counted at cost at close. Retail tags are not cost. Hold back unsellable on the count. Closing-day inventory procedures keep that argument off the floor. Working capital buys the next UNFI or C&S load. An over-advance is debt. If you cannot assume the guarantee, price the payoff or walk. How much working capital do I need is the buyer worksheet.

USDA FNS: SNAP authorization does not transfer. The incoming owner files a new application. A teaser that says “SNAP included” is wrong. EBT / SNAP diligence belongs in the LOI. EBT downtime is a cash problem and a landlord story. Freight does not pause when the PIN pad is dark. Budget the reserve. Print the closing and license checklist.

SBA size against a thin Alaska file

SBA 7(a) can finance a change of ownership. The published program maximum is $5 million—a ceiling, not a quote. Eligibility and repayment still live in the store file: recast SDE after freight, hours a lender will believe, inventory at cost, and a SNAP plan that is a dated calendar. This page will not invent SOP equity-injection percents.

Most Alaska independents live well below that ceiling because the recast cannot carry a larger payment. Buying the building is a second credit conversation. Recast the store on market rent first. Buying a store with real estate is two prices. Rural food-access and bush-logistics subsidies exist in various federal programs; do not invent a state grant amount. Verify if a specific program is in play—never as purchase-price math.

Bowl, Mat-Su, Interior, and Southeast leases are not interchangeable

Occupancy is base rent plus CAM plus taxes and insurance you actually pay, divided by sales you can prove. Run the rent-as-percent-of-sales checker on the lease in the data room. This pack does not attach a public Alaska grocery rent-per-foot table. Remaining term under twenty-four months without options is a price cut. Lease assignment starts before the lender asks.

Lease due diligence covers exclusive use, co-tenancy, and CAM true-ups. Mat-Su growth does not waive parking and competing banners on the first drive. Fairbanks military demand does not erase long supply risk. Southeast ferry independents are not Bowl suburban boxes. If the seller owns the real estate, recast ops on market rent and price realty separately. Assignment language is often the whole critical path on a leased Alaska independent.

Scan, transition, and the first hard week after close

A lender will ask for department scan and EBT deposits that reconcile to the bank—especially when freight and weather can explain a soft week. A gap is mix, downtime, or fiction. Verifying sales with scan data is the adult conversation. Evaluating a store’s P&L is the test after the recast. If the seller’s week only works because cash never hits the bank, walk. Red flags that should kill a grocery deal exists so you stop touring a story.

Transition hours belong in the APA. A cutter who leaves Friday on a ferry schedule and a buyer who cannot hire one by Monday is how the loan week fails. Transition periods and handling employees, union contracts, and WARN belong in the LOI when the mix depends on named people. Post-close, the first 90 days are vendor trust, shrink, and not changing the mix for sport. Read the post-closing 90-day plan. How to buy a grocery store step by step is the sequence; the buyer hub is the method.

Interior ice and Southeast ferry calendars belong in the LOI

An Anchorage Bowl file can look familiar to a Lower 48 underwriter until freight and local option show up. A Fairbanks / Interior file adds military and university demand with supply lines that punish a missed barge. A Southeast ferry independent can lose a week to weather that never appears on a Phoenix CIM. Write those calendars into the LOI beside AMCO local-option status and DEC Food Safety. Do not let a Mat-Su growth narrative erase parking, competing banners, and rent as a share of sales on the first drive through Wasilla–Palmer.

Proof of funds must cover equity, inventory at cost, working capital through FNS downtime, closing costs, and freight that continues when EBT is dark. A buyer who can only fund a Lower 48 “ten percent” stack will discover Alaska on week two. Bring the warehouse letter—UNFI or C&S—with drop minimums and guarantee language highlighted. Bring a hire plan for meat and produce that survives ferry schedules. Bring three years of returns with months that show ice season, not only summer tourism weeks if the store sits on a visitor corridor.

Carrs-Safeway, Fred Meyer, and Three Bears set banner weather; they do not set your multiple. Local borough sales tax—if any—belongs in register diligence even though Alaska has no statewide sales tax. Department of Revenue business-tax clearance still belongs on the closing checklist. Rural food-access subsidies may exist in federal programs; verify a specific notice before anyone treats a grant rumor as purchase-price math. Surviving due diligence is the national calendar; Alaska adds freight and local option that many teasers omit.

What “cash to close” means when the barge does not wait

An Alaska buyer who treats working capital as a percentage of purchase price will underfund the store. Size cash against the next UNFI or C&S drop, inventory counted at cost on closing day, payroll at the $14.00 floor through FNS downtime, rent, and freight that continues whether or not the PIN pad works. Holdbacks for unsellable product matter more when long supply lines leave aging cases in the cooler. Over-advances on the wholesaler statement are debt—price the payoff if you cannot assume the guarantee.

Lender questions will ask how you staff meat when the only cutter leaves on a Friday ferry and how you prove sales when weather explains a soft week. Answer with department scan that reconciles to the bank, not with a story about summer tourism. Answer with AMCO local-option status in writing, not with a neighbor’s package store. Answer with DEC Food Safety as a dated desk on the critical path. The buyer hub is national method; this page is the Alaska freight file.

Book a confidential intro with the lease abstract, three years of returns, the AMCO local-option status, the DEC food file, and an honest freight schedule. Jason will tell you whether the recast covers debt service after barge cost—and which Alaska desk still has to move.

Worked math for Price an Alaska grocery only after freight survives the recast

Use this napkin recast on Price an Alaska grocery only after freight survives the recast when you book the call. It is labeled illustrative. BizBuySell's 2025 grocery sold-business earnings multiple averaged 3.38, with a 2021-2025 IQR of 1.60-3.15. State pages add the tax, wage, and alcohol-agency facts for this jurisdiction. They do not invent a local sold-comp set.

Input or output Illustrative figure
Weekly sales (illustrative) $124,000
Annual sales $6,448,000
Recast SDE $303,056 (4.7% of sales)
Inventory at cost $322,400 (~20 turns)
Occupancy check $212,784 / year (3.3% of sales)
Low going-concern $837,595 at 1.70x SDE + inventory
High going-concern $1,231,568 at 3.00x SDE + inventory
Sketch DSCR on a note 1.47

If weekly sales or shrink move 8 percent, the SDE and the note move with them. That is why Jason Taken starts with scan data and the lease, not with a neighbor's rumor multiple.

Bring proof of funds or a lender pre-screen, your format, and geography. Jason will tell you whether a store like this can clear SBA or seller-carry math.

Frequently asked questions about Price an Alaska grocery only after freight survives the recast

Where does barge and ferry cost belong in the underwriting?

Interior and Southeast independents live on long supply lines. Freight is a repeating operating cost, not a one-time add-back. Recast SDE after that cost, then test DSCR. A Lower 48 multiple that ignores ice season or a missed barge will fail the first hard week.

How can local option change the alcohol gross I model?

Alaska Alcohol and Marijuana Control Office must approve an ownership change. Local option can bar alcohol entirely in a community where a Lower 48 buyer would treat beer as automatic. Verify the borough before you model package-store gross profit.

What does the 210-establishment CBP figure measure?

County Business Patterns 2023, NAICS 445110, all legal forms. It is industry headcount—not a for-sale list and not a SNAP-retailer count. This pack left SNAP retailer counts null.

Why is working capital thicker on an Alaska close?

You still fund inventory at cost, the next UNFI or C&S load, and EBT downtime while a new FNS application is pending—on top of freight that does not pause when the PIN pad is dark. That stack is cash to close.

Does Mat-Su growth let me stretch rent as a share of sales?

Wasilla–Palmer is a fast-growing commuter trade area, not a waiver of occupancy math. A Bowl box and a Southeast ferry independent do not share a landlord story. Run the actual lease.
