Grocery stores for sale in Providence

Rhode Island is small enough that a buyer can drive the competitive set in an afternoon and still get the alcohol class wrong. Providence grocery deals fail on DBR class, the municipal liquor board, and a Massachusetts trip the CIM never mentioned — not on a missing “city multiple.” Jason Taken at Grocery Store Business Broker (HedgeStone Business Advisors) wants the license class, the local-board correspondence, and weekly scan on the table before anyone argues a number. The Rhode Island seller page and Rhode Island buyer page carry statewide statute. This essay is the metro: Stop & Shop, Shaw’s, and Dave’s Marketplace; Latino and long-standing neighborhood independents on Federal Hill, Olneyville, and Broad Street; a $16.00 wage floor on the DOL table; food generally exempt from state sales tax with prepared food taxable. No CBSA population, no density count, no rent table in the pack.

Massachusetts is a neighbor, not a statistic

Operators mention Massachusetts border shopping as a real competitive factor. That is true. This research pack does not invent a leakage percentage. Do not write “X percent of sales leave for Massachusetts” into a CIM. Drive the line. Read the scan. Ask whether the independent wins on hours, language, and SKUs that a Massachusetts banner will not carry. Competition analysis is the method without a fake share. A seller who hides the Massachusetts trip is selling a rumor. A buyer who ignores it is buying one.

Stop & Shop (Ahold Delhaize) and Shaw’s (Albertsons Cos.) take the conventional suburban and in-town trip. Dave’s Marketplace is a regional independent banner that punches above a “third chain” footnote in a small state. An independent still has to name the basket those three leave on the table. C&S Wholesale Grocers, UNFI, and Wakefern appear on Rhode Island invoices. Transfer terms come from the warehouse. Independent versus banner if you are deciding format.

Federal Hill, Olneyville, and Broad Street are named in the research file for Latino and long-standing neighborhood independents. Qualitative only. Neighborhood grocery and sell a neighborhood grocery are closer to many of those boxes than a supermarket conversion story. Language at the register and the produce house are underwriting lines. Hispanic grocery if that is actually the book.

Federal HFFI may apply in Providence tracts. No dollar figure is recorded. Do not capitalize a grant.

DBR class plus the city or town board

Rhode Island is a license state, not a NABCA control state. Package-store class versus grocery beer class matters. Spirits are not a grocery-aisle product on the sourced grocery-spirits list this site uses. Class limitations and municipal boards are real. DBR plus the local board must approve. Transfer is not automatic. Liquor license and liquor-license due diligence are the checklists. A teaser that says “full liquor” without the class is a Providence rumor.

Put the class, the municipality, and the last board correspondence in the CIM. A buyer who models Massachusetts package-store economics on a Rhode Island grocery beer class will mis-price the file.

Food tax, meals, and the $16 wage

Rhode Island generally exempts eligible food for home consumption from state sales tax. Prepared food is taxable. Confirm Division of Taxation food-versus-meals guidance for the register mix. A hot program coded as grocery will fail a recon. Grocery sales tax by state is the map. POS has to match the statute, not a memory of “food is exempt.”

The DOL July 1, 2026 table lists Rhode Island at $16.00. Confirm RI DLT posters. Small-state density does not make labor cheap. Model the closer you will actually hire. What is a good profit margin is a labor-and-occupancy question after that recast. FMI’s 2.1 percent food-retailer net sample is a channel reminder, not your add-back list.

Rhode Island Department of Health issues retail food permits and runs WIC. Rhode Island Lottery is a separate retailer contract. Tobacco sits with the Division of Taxation. Walk WIC, lottery, and tobacco. USDA FNS SNAP retailer authorization is federal and tied to named owners. The new owner applies. The old authorization does not ride the bill of sale. How do I check EBT compliance history belongs in diligence. Budget FNS downtime in working capital.

Ask revenue counsel whether this state still wants a bulk-sale notice, tax clearance, or successor-liability holdback on a Providence asset sale — repealed UCC Article 6 is not a free pass. What is a bulk sales law is the vocabulary. Most independents close as an asset sale. APA essentials is the contract page.

This pack publishes no Providence asking rent. Occupancy is a share of sales. Dense small-state real estate still has remaining term, exclusive-use, and co-tenancy to read. Exclusive use and co-tenancy if the center is the story. Landlord consent belongs in the LOI.

Price language in a small state

This site does not publish a Providence asking-price average. The sourced national grocery sold sample is BizBuySell: 3.38 average earnings multiple in 2025, 2.66 five-year average, IQR 1.60–3.15, 0.43 average revenue multiple on the 2025 sold sample. Apply it to recast SDE after $16 labor and actual occupancy, then add inventory at cost. A local-board lag or a short lease moves you inside the IQR. No worked SDE dollar sketch on this page. How to recast a grocery P&L and add-backs are the earnings hygiene.

SBA 7(a) can finance a change of ownership; published maximum $5 million. Seller financing versus SBA if the credit file is thin. How is seller financing structured is the note language.

Federal Hill hours, Olneyville mix, and Broad Street labor

Those three names in the research file are not interchangeable. Federal Hill can still carry a long-standing Italian neighborhood story alongside Latino independents. Olneyville and Broad Street often run a different ticket: household shopping, EBT weeks, and language at the register. Drive each. Staff each. Do not average them into “Providence ethnic.” Should I buy an ethnic market is the fork. Buying an ethnic market outside your community if you need the warning in writing.

Seasonal volume in Newport and South County is a different file from a Providence neighborhood box. If someone hands you a “Rhode Island grocery” teaser that is actually a summer tourism store, recast the shoulder. This page is Providence. Do not import a beach week into a Broad Street P&L.

Inventory night in a dense small-state independent is tight backstock and a produce rack that turns fast. Write holdbacks for unsellable. How do I value inventory when selling is the count language. Shrink if the recast assumes a supermarket average with no history.

What the municipal board will actually ask

Character, police letters, and whether the class is even available in that municipality. DBR stamps are not the end of the story. Build board calendars into the LOI. A closing date that ignores the next board meeting is a fantasy. The LOI terms that matter for buyers and the LOI terms that matter for sellers are where you put that calendar. Earnest money should survive a board delay, not vanish because someone was optimistic.

If the building is in play, Rhode Island real estate is a second closing. Recast the store on market rent first. Dense in-town leases still have assignment, exclusive-use, and remaining term. Buying a store with real estate is the realty essay. This pack has no rent table.

Pawtucket and Central Falls sit in the broader metro story as Cape Verdean and Latino independents in the state file. If that is the actual store, underwrite that book — do not paste a Federal Hill multiple onto it. Warwick, Cranston, and East Bay suburban conventional is yet another file. Name the city.

Warwick suburban versus a Providence neighborhood ticket

The state file names Warwick, Cranston, and East Bay as suburban conventional. That is Dave’s, Stop & Shop, and Shaw’s territory more than a Broad Street independent. If the store is Warwick, recast it as suburban conventional — remaining lease, banner neighbors, $16 labor — not as a Federal Hill import book. Newport and South County seasonal tourism is a third file. Do not import a July beach week into a year-round Providence P&L.

Cape Verdean and Latino independents in Pawtucket and Central Falls need language and a produce house you cannot swap from a conventional C&S drop. If that is the store, underwrite that book. Caribbean / African market only if that is actually the greeting and the importer. Do not guess from a town name.

SBA 7(a) can finance a change of ownership; published maximum $5 million. DBR plus the municipal board will dominate the calendar. How long does it take to sell a grocery store is an agency-clock answer in Rhode Island. Seller financing how much to carry if the credit file needs a note. Standby agreement if SBA is in the stack.

A first-time buyer who has only shopped Stop & Shop will still trip on a local liquor board and a Massachusetts neighbor the CIM never mentioned. Buying as a first-time owner is honest. How to buy a grocery store step by step is the sequence.

Rhode Island Department of Health is both the retail-food desk and the WIC agency. That is a small-state convenience that still means two files: the food permit and the WIC vendor number. Do not treat them as one stamp. Lottery remains a third contract with Rhode Island Lottery. Build all three into the close calendar beside DBR and the municipal board.

How a Providence seller should sequence the rumor

Vendors on Atwells and Broad Street talk. A window sign is a shrink event in a city this small. Start with a teaser that hides the address, then an NDA, then a CIM for operators who can fund a DBR-and-board calendar. Nearby Dave’s-competitive independents and multi-store operators who have already sat in a municipal hearing are the list. A Massachusetts operator who has never faced a Rhode Island local board is a longer close, not a better multiple.

Inventory should be counted on a night that matches the store: a Federal Hill late close is not a Warwick suburban night. Hold back unsellable. Write the protocol into the APA. Closing-day inventory count procedures is the method.

Keep the rumor off Atwells Avenue. How do I find grocery stores for sale is not a vestibule sign in a city this small. Start with a teaser and an NDA. Nearby operators who already survived a local board are the list. A DBR class without a municipal hearing date is not a close calendar. Book a confidential intro with the DBR class, the board file, and the warehouse letter. The seller hub and buyer hub are national. This page is the Providence file. DBR and the municipal board file should sit in the same folder as the warehouse letter before anyone tours.

How a buyer would price Grocery stores for sale in Providence

These figures are a teaching walk-through for Grocery stores for sale in Providence, not a quote and not a sold comp. Order of operations: weekly sales, recast SDE, inventory at cost, then a multiple band. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.

Input or output Illustrative figure
Weekly sales (illustrative) $92,000
Annual sales $4,784,000
Recast SDE $172,224 (3.6% of sales)
Inventory at cost $299,000 (~16 turns)
Occupancy check $148,304 / year (3.1% of sales)
Low going-concern $669,282 at 2.15x SDE + inventory
High going-concern $841,506 at 3.15x SDE + inventory
Sketch DSCR on a note 1.38

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.

Frequently asked questions about Grocery stores for sale in Providence

Does a Rhode Island grocery license transfer just because DBR stamps it?

No. Rhode Island Department of Business Regulation plus the local liquor board must both approve. Class matters: package-store class is not grocery beer class. Approval is not automatic with the asset purchase.

Can I put spirits on a Providence grocery aisle?

Rhode Island is not a grocery-spirits state on the sourced list this site uses. Confirm the DBR class. Do not model a spirits endcap you cannot legally operate.

How should I treat Massachusetts stores when I underwrite a Providence independent?

As a real competitive neighbor. Shoppers do cross the border. This research pack does not publish a leakage percentage. Drive both sides of the line and read the scan. Do not invent a share of sales lost to Massachusetts.

Is Dave’s Marketplace just another chain to ignore?

No. Dave’s is a regional independent banner that sets expectations in this small state. Stop & Shop and Shaw’s still take conventional trips. An independent has to explain the hours and mix those three do not cover.

What wage goes into a Providence recast?

The DOL July 1, 2026 table lists Rhode Island at $16.00. Confirm Rhode Island Department of Labor and Training posters. A recast that only works on unpaid family hours will fail when you staff to the statute.
