Scratch lottery off the deal checklist unless counsel finds a different product. Nevada runs no traditional state lottery, so a valley CIM that books ticket cash as earnings is borrowing another state’s template. What still belongs on the calendar is Clark County’s liquor board, Southern Nevada Health District, and an import floor on Spring Mountain or East Las Vegas that Smith’s, Albertsons / Vons, WinCo, and Sprouts will not duplicate. Jason Taken at Grocery Store Business Broker (HedgeStone Business Advisors) sequences that board hearing before anyone argues a multiple. Put the liquor class, the SNHD permit, and three years of returns in one folder, then book a confidential intro. Write jason.taken@hedgestone.com if the hour needs to be on a calendar invite.

Nevada seller and buyer maps are at sell a grocery store in Nevada and buy a grocery store in Nevada. Keep Reno–Sparks and Tahoe seasonal boxes off this page. Henderson conventional banners are valley weather only. The file in front of you is Spring Mountain tanks, East Las Vegas produce, the Clark County board, and SNHD.

No lottery — and two floors that do not share a freezer

Spring Mountain / Chinatown holds Asian independents. Recast live tanks, dry import, and a buyer who can restock from the same houses. Sell an Asian grocery and buy an Asian grocery are the format essays.

East Las Vegas holds Mexican independents. Recast produce, meat, and hours on that mix. Sell a Hispanic grocery is the format essay. Do not paste a Spring Mountain live-tank story onto an Eastside Hispanic independent, and do not paste a Smith’s center-store story onto either. Keep corridor notes qualitative. North Las Vegas / eastside Hispanic corridors appear in the Nevada state notes as a related valley pattern — recast the address you are actually buying.

Buying an ethnic market outside your community is required if the buyer does not already shop that floor. A tank clerk or produce cutter who stays ninety days is worth more than a wide non-compete. Write transition hours into the LOI.

Smith’s takes the Kroger-banner trip. Albertsons / Vons takes the conventional trip. WinCo takes a warehouse-price trip. Sprouts takes the perimeter and vitamin trip. The independent has to explain which of those trips it still wins. Strip-adjacent volume stories still have to survive scan data — tourist stories are not a recast. Competition analysis is the method. Verifying sales with scan data is the discipline.

UNFI, Associated Food Stores, and C&S appear as supply names. Confirm drop minimums and over-advances. Wholesaler and banner agreements when you sell stays off the sales floor. Quiet packaging matters because valley shoppers and warehouse reps talk — put the NDA in front of scan. How to sell a grocery store confidentially is the worksheet.

Clark County liquor board and SNHD

Nevada licenses alcohol through Nevada Alcoholic Beverage Control and through county or city boards that actually sit the hearing. In the valley, Clark County’s liquor board is the desk that decides timing. Grocery wine is ordinary once the local board approves. Spirits can sit in grocery under Nevada’s framework, but Clark County and city boards write the practical path — privilege-tax licenses included. Neither the board nor state tax licensing moves on a handshake. A Henderson conventional box can face a different board personality even when the same state agencies still apply, so confirm the board that covers the street. Walk the privilege with liquor license due diligence and the national map at state-by-state alcohol regime.

Retail food for this metro is Southern Nevada Health District. Incoming operators file a new retail food operation. Do not assume a Washoe County health file on a Clark County store. Surviving due diligence is the seller companion when a buyer asks for the SNHD permit number.

WIC sits with Nevada Division of Public and Behavioral Health. Tobacco sits with Nevada Department of Taxation. WIC, lottery, tobacco still matters for WIC and tobacco — strike lottery unless verified.

Nevada generally exempts eligible food for home consumption from state sales tax. Prepared food is taxable. Confirm Nevada DOR food guidance and code the Spring Mountain hot line and the East Las Vegas steam table. State-by-state grocery sales tax is the statewide clip.

Ask Nevada Department of Taxation counsel about tax clearance and successor liability. A repealed bulk-transfer statute elsewhere does not erase Nevada successor risk. Bulk sales and tax clearance belongs in the memo. If the building conveys, close it with Nevada real-estate counsel. BizBuySell lists Nevada as treating business brokerage as a real-estate-licensed activity with a business broker permit — confirm NRED; this is not a claim that Jason holds that license.

Recast under Nevada’s $12.00 floor

Nevada sits at $12.00 on the DOL WHD consolidated table effective July 1, 2026. Confirm Nevada Labor Commissioner posters for the valley file. Model labor on that floor, then on what this store pays. State-by-state minimum wage is the table.

Sellers who price from weekly sales alone sit through a recast. Restore owner compensation. Keep documented one-time repairs. Pull personal items. Take related-party rent to market if needed. Recasting a grocery P&L and preparing three years of financials are the homework. Anatomy of a grocery P&L and shrink, margin, and turns show whether that floor still leaves SDE.

Counsel and a CPA first, then a blind teaser that names a Spring Mountain or East Las Vegas format — not the only Chinatown tank program facing WinCo. Funded operators see the CIM after NDA. Managers hear when the liquor board, SNHD, or assignment needs them.

Most valley independents lease. Confirm the file. Put assignment in the LOI. This pack left Las Vegas asking rent null — do not invent a dollar-per-foot. Occupancy is rent as a share of sales from the actual lease. Lease due diligence and the rent checker are the tools. If the seller owns real estate, split the assets — selling with a lease versus real estate.

Inventory counts at cost. Hold back unsellable. How inventory is counted at closing is the night procedure.

FNS restart while the board is in session

USDA FNS issues SNAP retailer authorization to named owners. The Las Vegas buyer files a new application; the seller’s EBT permission does not convey. Plan cash if EBT is material. Write the filing into the LOI. What happens to SNAP authorization when you sell and EBT and SNAP due diligence are the notes.

Credit can use SBA 7(a) for a change of ownership when the note stays inside the agency’s published $5 million maximum. Underwriters still ask whether Clark County’s board will finish, whether FNS will accept the new retailer file, and whether the landlord will assign — see SBA 7(a) for grocery acquisitions. A seller note can bridge board lag when the bank will not; seller financing is structure, not a shortcut past SNHD. Cash to close has to absorb EBT dark weeks, board hearing gaps, SNHD lag, and a UNFI or Associated Food Stores Monday drop. Size that stack with how much working capital and the buyer cash to close tool. Food-access programs may exist in valley tracts; this pack attaches no dollar figure, so treat incentives as a call, not a CIM line.

Valley heat and strip-adjacent traffic can fool a CIM that annualizes a convention week. Ask for a full year of scan so tourist spikes do not set the multiple. Residential East Las Vegas and Spring Mountain regulars are the week that has to survive January. Write that seasonality into the diligence room without inventing a percentage.

Employees and WARN belongs in the LOI when the mix depends on named people. Post-closing 90-day plan is Monday when the Spring Mountain tanks still have to run and FNS has not posted.

National sample on a valley file

Treat BizBuySell’s 2025 grocery sold average of 3.38× earnings (2.66× five-year, IQR 1.60–3.15, 0.43× revenue) as a national sample — never a Strip-proximity premium. Clark County liquor-board lag and remaining term usually matter more than a tourist story. Walk valuation hub and how to value a grocery store.

Buyers shopping a Nevada search should treat Las Vegas as Clark County files, not as a Reno paste. Sequence Clark County liquor board, Nevada ABC / tax licensing, SNHD, FNS, and landlord — and no lottery file unless verified. The LOI terms that matter for buyers is the longer list. Timeline to sell is the calendar. Red flags includes lottery as a department on a Nevada CIM.

Strip-adjacent weeks versus residential Eastside weeks

Convention and Strip-adjacent traffic can inflate rings that residential East Las Vegas and Spring Mountain regulars will not match in January. Ask for a full year of scan before anyone annualizes a convention week. Tourist stories are not a recast. Verifying sales with scan data is the discipline.

Henderson conventional banners are valley weather. Confirm whether the liquor board at the address is Clark County or a city board with a different calendar. Privilege-tax licenses and local-board rules set the practical path for grocery wine and spirits. Transfer is not automatic.

Nevada’s lack of a traditional state lottery is a CIM trap for operators who copied another state’s template. Strike lottery as a department, add-back, or ticket inventory unless counsel verifies a different product. WIC and tobacco still belong on the close calendar. WIC, lottery, tobacco is the national worksheet with lottery struck.

UNFI, Associated Food Stores, and C&S drop minimums still hit while the board is in session. Size working capital for board lag, SNHD, SNAP, and the Monday drop. Invent neither a population share nor a rent-per-foot. Competition analysis keeps Smith’s, Albertsons / Vons, WinCo, and Sprouts as weather.

Privilege-tax licenses and NRED brokerage notes

Privilege-tax licenses and local-board rules set the practical path for grocery wine and spirits. Verify the class. BizBuySell’s Nevada brokerage-permit note is a diligence call with NRED, not a claim that Jason holds that permit. The published SBA 7(a) maximum remains $5 million; the lease still has to outlast the note.

Prepared food is taxable; eligible food for home consumption is generally exempt. Code the Spring Mountain hot line and the East Las Vegas steam table as the deli they are. Evaluating a store’s P&L is the test. Landlord assignment is still a person. CAM and exclusive use matter in a center that also holds Albertsons or Sprouts.

Book the Las Vegas intro

Bring the lease, three years of returns, the liquor-board class, and an honest note on who runs the Spring Mountain or East Las Vegas floor. Grocery Store Business Broker will not invent a metro population, a grocery-density figure, a rent range, or a lottery line. We will recast the store you run and map the Clark County board, SNHD, SNAP, and occupancy from this lease.

Book a confidential intro to start that file. Email jason.taken@hedgestone.com if you want the hour in writing. About Jason Taken is the desk. Bring the SNHD permit number if you have it. The next step is the board calendar and the recast, not a vestibule sign.

How a buyer would price Transfer a Las Vegas grocery through Clark County

Price language for Transfer a Las Vegas grocery through Clark County is (recast SDE x a defendable multiple) + inventory at cost, plus or minus lease and license risk. The table is one consistent example for this URL. Metro pages talk corridors and operators. They do not invent asking rents or establishment counts.

Input or output Illustrative figure
Weekly sales (illustrative) $168,000
Annual sales $8,736,000
Recast SDE $506,688 (5.8% of sales)
Inventory at cost $624,000 (~14 turns)
Occupancy check $305,760 / year (3.5% of sales)
Low going-concern $1,485,370 at 1.70x SDE + inventory
High going-concern $1,992,058 at 2.70x SDE + inventory
Sketch DSCR on a note 1.53

Inventory is cash at close, not a multiple. Confusing the two is how sellers over-ask and buyers under-cash the wire.

Frequently asked questions about Transfer a Las Vegas grocery through Clark County

Who actually approves alcohol on a Las Vegas grocery close?

Nevada Alcoholic Beverage Control / local licensing applies, and county and city liquor boards are decisive in Clark and Washoe. This pack names the Clark County liquor board as decisive for Las Vegas. Local board plus state tax/licensing must approve; transfer is not automatic. Off-premise wine is common in grocery with local board approval. Nevada generally allows spirits in grocery; Clark County sets the practical rules.

Does a Las Vegas grocery include lottery as a deal item?

Nevada does not operate a traditional state lottery. Verify before listing lottery as a deal item, ticket inventory, or a CIM add-back. Do not copy a California or Arizona lottery schedule onto this file.

Who inspects a Las Vegas grocery for retail food?

Southern Nevada Health District is the local health desk named in this pack (state food-permit notes also name Washoe and other local health for other Nevada metros). Incoming operators file as a new retail food operation.

How should a Spring Mountain independent be priced versus East Las Vegas?

Spring Mountain / Chinatown holds Asian independents. East Las Vegas holds Mexican independents. Recast import, produce, and labor on each floor. Do not paste a Smith’s or WinCo earnings story onto either.

What wage floor should a Las Vegas buyer model?

DOL’s July 1, 2026 consolidated table lists Nevada at $12.00. Confirm Nevada Labor Commissioner posters for the store you are buying.
